SCOPE OF WORK: Your Scope for the subjected work shall include Excavation,Backfilling,PCC,Reinforcement,Shuttering,Fixing of Foundation Bolt,RCC,Grouting,Backfilling,Disposal of excess materials for Inter Plant Fuel Gas and Industrial Gases Piping for Rourkela Steel Plant,SAIL. As per enclosed Schedule of Price. 2. PRICE: Your total order value is Rs. --------------only. The contract price is inclusive of all taxes. Your rates shall remain firm and not subject to any cost escalation. The detailed price break up for the above said price shall be as per the enclosed Schedule of Price. 3. TERMS OF PAYMENT: a) Rs. --------------shall be paid to you as advance against delivery of-------.Same shall be deducted from your first bill. b) 90%shallbe paid against progressive bills. c) 10% shall be held as retention and shall be released after 06 months of completion of total work. All payment shall be made to you by a/c payee cheque from our site office located at RSP. Payments shall be made within 15 days of submission of your bills to our Project Office at site, duly approved and accepted by our Supervising Engineer. TDS as applicable shall be deducted from your bills. 4. COMPLETION PERIOD: You shall complete the work within -----days from the start of work / issue of Work Order. 5. LIQUIDATED DAMAGES: a) Towards Late Delivery: @1% of total contract price per week of delay or part thereof, subject to maximum of 5% of total contract price. b) Towards Non-Performance: Any deviation and damages caused due to faulty workmanship of contractor shall be rectified at contractors cost including recovery of cost of material. c) Safety Related Penalty: Rs. 10000/- per accident for first accident and thereafter Rs.20000/- per accident. For fatal accident the penalty shall be Rs.50000/- per accident. 6. GUARANTEE: You will guarantee for workmanship for a period of 12 months from the date of successful completion of work. 7. DEFECT LIABILITY AGAINST WORKMANSHIP: 06 months from the date of successful completion of job. 8. LIMIT OF LIABILITY: Maximum 100% of total order value. 9. PATENT LIABILITY: The liability of contractor under any kind of patent infringement with respect to this order shall be unlimited. 10. RISK PURCHASE: In event of contractor defaulting in executing full or part of work to be completed under this

contract to UBEL within a reasonable time agreed between the parties, UBEL shall have the right to execute the same from other source at contractors cost and expenses including incidental expenses. 11. ARBITRATION & APPLICABLE LAW: Any dispute arising shall be referred to and finally resolved by arbitration under the Rules of the Indian Council of Arbitration (ICA Rules) as amended in force from time to time. The seat of arbitration shall be Mumbai. This contract shall be exclusively governed by Indian law. 12. OTHER TERMS AND CONDITIONS: a) All required Machines, Tools & Tackles like Excavators, Tractors & Trailers, De-watering Pumps, Mixture Machines, Vibrators, Binding Wire, Welding Machines, Electrodes, Cover Block, etc. shall be in your scope. b) Foundation Bolts and Insert Plates shall be fixed as per drawings approved for execution from RSP / UBEL with accurate levels & alignments. c) Reinforcement steel & Structural Steel & Foundation Bolts shall be provided by UBEL. However reconciliation of issued material shall be submitted with progressive bills duly checked by our material / store in charge. d) All works shall be done as per specifications provided by our site supervisors and acceptable standard. e) Construction Power and Water will be made available to you free of cost at suitable points. f) Payments for all labours engaged by you shall be your responsibility and UBEL shall in no way be responsible for any liabilities of the labours engaged by you for this work. All labour payments shall be made on the 7thday of every month. g) Transportation, Conveyance, Fooding, Lodging, Retrenchment, Bonus, Leave and other such liabilities of your workmen / staff as per contract Labour (R & D) Act 1970, 1971 and notification in force from time to time shall be arranged by and borne by you and we will be indemnified and in case any expenses are incurred on your behalf, the same will be recovered from your account. h) You shall abide by all statutory provisions of law like PF, ESI, etc. i) Should any of the materials being used by you for this work be found below acceptable standards, you shall arrange to replace the same immediately on notice by our Supervising Engineer. j) Changes in layout if required shall be incorporated by you as per directions of our Project Manager. k) Testing of materials supplied by you shall be under your scope and at your expense. l) Any re-work that may required to carry out due to faulty workmanship or raw materials, the same shall be carried out by you at no extra cost to us. You are requested to sign and stamp on each page on a duplicate copy of this order including drawings / specification / data sheets etc. and return to us a token of your acceptance.
