The UCC applies as background law for commercial relations. As the LAW adopted in all states, it takes precedence over contracts because provisions become unenforceable by violating or requiring a party to violate law. The common law governs much about contracts, but statutes govern them also. Statutes always take precedence over common law. Otherwise, the valid contract IS the law of the agreement between two parties and courts must enforce it. A violation of the contract becomes an injury and the injured party may seek redress in court. Once a party materially breaches the contract, a court might not impose a penalty on a breach by the other party. Fla Constitution article I SECTION 10.Prohibited laws.No bill of attainder, ex post facto law or law impairing the obligation of contracts shall be passed. SECTION 21.Access to courts.The courts shall be open to every person for redress of any injury, and justice shall be administered without sale, denial or delay. In a mortgage foreclosure action, the court shall sever for separate trial all counterclaims against the foreclosing mortgagee. The foreclosure claim shall, if tried, be tried to the court without a jury.
