 1) EXECUTIVE SUMMARY

RRES Venture is an organization cohesively formed by the understanding of

personnel who are pursuing or with shared common objective to realize and
structured to reality their creativity of technology with intellectual knowledge,
expertise and experiences into the field of Renewable Regenerative Energy, that
is how the name of the company, Renewable Regenerative Energy System
(RRES). Henceforth, the criterion of the set objective is to enhance the daily life
of individuals using electrical energy without the fear of surrounded toxic gas
and waste heat. As the name RRES stands, it represents green energy from the
developers and researchers with an upright attitude of the individuals involved in
this project development, providing clean or zero carbon emission electrical
power generation to present and future mankind, which thereafter further
development of this kind to upkeep and create newer and better concepts.

Our RRES Generator can be functioned as the following:

a) Backup power system

b) Small area streets lightings

c) Construction sites

d) Electric vehicle

e) Others

As a fundamental concept, RRES Generator performs by consuming short

duration electricity and providing several or more periods of electricity. In such
way, if system would base on Newtonian 2nd Law of Energy Conservation would
constitute a 100% intake and 80% output, 20% loss. This happened in a
derivative of time displacement or instantaneous; which is true. RRES Generator
implies concept of prolongation of time displacement. Even with a 20% loss
would constitute to a gain in output as power is equal to free work done
multiplies time. When this is achieved, eradication of system losses would
convert into additional power into the system or power gained. The main core of
the patented device is termed as Drag-Denial Device. It could also be name as
System-Loss Killer.

When fundamental of the RRES Generator is set forth, it would be the main core
for Electric Vehicle Power Pack System, thus replacing conventional petrol and
diesel engines. On the other hand, if RRES Generator in cascaded placement, it
can be assumed as a conventional generator set. These are the two main
objectives for RRES Venture to proceed.

2) INTRODUCTION OF RRES GENERATOR

RRES Venture has researched and developed a prototype electrical energy
system that provides minimum 70% or more electrical output or 30% or less
consumption of intake electricity. The system efficiency would top an estimated
90%. In another words, its minimal electrical consumption could reach to as low
as 10% or less to the original consumption of 100% compared to all appliances
used. In the minimal efficiency scenario, when full sunlight is in capacity, it would
provide a near 99% output electricity with system independence. In case of
nightfall, the system would self adjust to 50% - 60% output capacity with partial
grid dependence. Ironically, if system were battery dependence, then it would
bring its efficiency benchmark to daytime similarity.

Our prototype would be the basic and fundamentals of future RRES Generator
and Power Units towards industrial and commercial purposes.

3) PROTOTYPE OF RRES GENERATOR

At this present prototype, we have concentrated 1 design of RRES Generator for

data collection. However, it would be paramount to understand and realize its
effects upon severe ambient condition such like humidity; thermodynamics
unbalance effects, parabolic material stress, and self-sustained efficiency. The
result collected would use to determine all future RRES Generator products.

Previously, a primitive prototype was developed to verify its course of result in

several segments. However, they cannot determine its proper operation and
functionality, but objective of energy yield has been attained. To present, we
have designed, fabricated, and partially assembled the new prototype with 85%
completion. The output of the prototype would yield 3 phase electrical output
and 1.8 to 2.7 times energy yield. In such case, operating behaviour looks
Newtonian’s Law has been defied but it does not. When operation of all
functional aspects have been tabulated in derivative forms, then Newtonian’s
Law is still applied. However, every aspect of work done must fetch along with
frictional loss, as they are inseparable pair; otherwise, there will be no work
done. Therefore, the patented main core of the RRES Generator, Drag-Denial
Device is used for loss conversion into power gain. The amount of loss estimates
at 5% - 8%. This is a unique counteraction device to bring forth the efficiency of
the RRES Generator.

 5) DETAILS OF RRES VENTURE REQUEST

The following descriptions state the rights and request of the RRES Venture:

A) Total equity value of said invention wholly owned by inventors at S$

1,296,000.00.

B) Investor can share the assigned ownership rights up to 100% of the total
equity value in order to form S$ 2,592,000.00. This would form 50-50
share by investor and inventor.

C) Inventors’ minimal shares of 50% shall not be diluted regardless of

amount of investment by investor.

D) When confirmation of first new prototype, per share will value at 1.57 from
1.

E) Inventors have all veto rights of assignments. Inventors will concentrate

all movements of R&D for future inventions and application purposes only.

F) Investor holds all sole rights to manufacture, sales and marketing. Investor
has no rights to take over IP rights of the said invention or future
inventions by RRES Venture.

G) Inventors will perform its function as present and future R&D under one
shelter with the investor as it expands regionally or globally. Both parties

 function as one entity, and must yield truthfulness and faithfulness in
order to upkeep the cyclic compassion among the inventors, investors and
the users for humanitarian purposes.

H) Upon agreed investment as per above, inventors will assist in technology

transfer to sole or intended investor; as only assigned by inventor (non-
exclusive rights).

I) Inventors shall received 2% of all gross sales by the investor.

J) Upon approval by investor, the amount shown in APPENDIX A reflects the

cost for completion of the new prototype swiftly, and it will be an upfront
of payment (non-refundable) to initiate his interest to our joint venture.
The amount in APPENDIX A is inclusive of the investment by the investor.

K) In a case when investor does not favour the 50% of the joint venture
shares, then they have the right in any favour would invest an amount
beginning from 25% of the inventors total equity shares.

L) Upon affirmation of agreement, investor shall oblige to complete NDA

(non-disclosure agreement), MOU (memorandum of understanding), LOI
(letter of intention), and HPCC (humanitarian practice code of conduct);
refer to APPENDIX B for a brief HPCC clause.

M) All details, assessments, drawings, jotters, pictures, and any other related
document about the said invention or future inventions shall be kept
confidential. Only intended recipient or recipients assigned by the
inventors are authorized to withhold secrecy documents and information
as part of technology transfer. Any body or bodies with non-regard to the
contained partnership regardless in the set or subset of the said invention
must understand and realize the critical effects of the IP rights issue and
breach of secrecy matters.

N) Further terms and conditions can be discussed as to refine all shares and
rights in a later part before affirmation of joint venture.

APPENDIX B: HPCC (humanitarian practice code of conduct)

1) RRES Venture practices Humanitarian Practice Code of Conduct

(HPCC). The statement implies the important clause of the creation of this
invention to an eventual setup of this company. The major implication to
this movement is to provide green and renewable energy after many years
of researches and development. By putting this technology into actual
commercial and industrial use would subside global warming and reduce
toxic gas and waste in our living environment; gradually transforming the
living environment back to a healthy state. The next implication is to
provide and help places of poor countries without infrastructure of
electricity network, providing near free electrical energy for their villages
and countryside or truly suburban areas and so on. Improving the lifestyle
of the Third World countries by providing limitless electricity to power

 facilities such as water needs, telecommunications, lightings and so on. In
the HPCC clause also signifies providing shared technology or lifestyle of
the First World with the people of Third World Countries, thus transforming
the living lifestyle and upkeep cleanliness and happiness.
