Recent years have shown tremendous increase in trade relations between China and India, businessmen from
both the countries are exploring opportunities in each other’s jurisdiction. It is important that businesses
embark on their ventures on a right footing. Understanding the legal environment and pitfalls will allow these
businesses to grow and concentrate on their businesses.

This seminar aims to make the audience aware of the practical problems that one may have to face while
conducting their business in China and how a company may handle such problems. Secondly, this seminar
will introduce the dispute resolution mechanisms in China and also how one can protect intellectual property
rights against potential infringers.

Aloysius Wee is the Managing Partner of Dacheng Central Chambers LLP. Aloysius is in his 14th
year of practice. His background had been in civil litigation with particular emphasis on Intellectual
Property Disputes, Building and Construction Law, Real Estate Transactions, Landlord Tenant
Disputes and Management Corporation matters. Aloysius has since 1997 advised on various
development projects and conveyancing transactions for the Far East Group Companies, Heeton
Limited and other property developers.

The China Practice Group is currently Aloysius's main developmental focus. He advises on various
cross-border joint ventures involving China and in the area of mergers and acquisitions of Chinese
companies. Advising Singapore clients on entry strategies into China and investments in China is
his current expertise given his network in China. He is actively involved in cross border real estate
transactions, represents developers (foreign & local) and individuals in their cross border sales and
purchase of real property.

Aloysius also contributed before the Select Committee on the Building Management and Strata
Management Bill, giving feedback on this piece of legislation emanating from his vast involvement
with this area of the law.

Aloysius is a lecturer at the Singapore Chinese Chamber of Commerce, conducting training on


China’s laws, regulatory framework and market entry strategies. He is a regular speaker at training
sessions for Knight Frank Estate Management Pte Ltd, Far East Organization, AIA and many other
commercial organizations.

Aloysius is also legal advisor to the Muscular Dystrophy Association (Singapore) and
Entrepreneurs Club (Singapore). He sits on the Board of Governors for Tay Leck Teck Foundation
a charitable foundation and was recently appointed as Legal Advisor to the Dalian Shide Talent
Development Football Club – A S-League Club in Singapore.

Rishi is an accredited specialist with extensive experience in all aspects of


international corporate finance, capital markets, mergers & acquisitions and international taxation.
Having worked in three different jurisdictions i.e. India, China and Singapore, he advises clients with a
global approach to a particular transaction. Rishi has considerable experience in cross-border corporate
and finance transactions, and has advised multi-national, public and private companies, financial
institutions, and government and multi-lateral institutions.

Prior to joining Dacheng Central Chambers LLP, Rishi worked with one of the most reputed Indian law
firm, where he regularly advised clients on a broad range of corporate matters, foreign direct investment
and mergers and acquisitions. Rishi has provided clients with legal services for the whole investment
process, including comprehensive analysis on the Indian legal framework of foreign investment laws
and regulations, due diligence, analysis on investment structure, participation in business negotiation,
assisting clients in coordinating with government authorities. Some of the recent transactions that he has
been involved in are:

• Advised on acquisition of power generation plant by an Indian power major from China.

• Advised and assisted in setting up of branch/liaison/project offices of companies from USA,


Singapore and China etc in India.

• Advised an Indo-Gulf construction company on the structuring their business in India.

• Advised Indian rice major to acquire a Californian corporation.

• Advised Indian pharmacy major in the acquisition of biomed business and structured the
acquisition.

• Advised clients on foreign direct investment/private equity in Single brand retailing, textile,
construction and defence sector.

• Advised and structured the business model of hydro mechanical equipment manufacturer for
bidding and assisted client to secure power project contracts from Indian Government.

• Advised Axis Bank Ltd, Singapore in the foreign currency loan documentation in a cross border
acquisitions and also drafted the respective agreements.

• Advised a textile major from Italy to inter into the Indian market and structured the definitive
joint venture and other related agreements with the Indian company.

Ms. Lee is an executive senior partner of Dacheng Law Offices (Shanghai) and
member to Shanghai Bar Association. Ms. Lee was qualified as a Chinese lawyer in 1997 and joined
Dacheng Law Offices in February 2004. Prior to Dacheng, she had been practicing law at the People's
Procuratorate and Magna Law Firm in the Shanghai. Ms. Lee is a well regarded Chinese lawyer in the area of
banking and finance and has participated in transactions worth several billions US dollars covering general
banking business, bilateral loans, syndicate loans, equipment financing and leasing and NPL disposition. She
has represented banks, non-banking financial institutions, funds and domestic enterprises. Some of her
clients included China Merchants Bank, Shanghai Bank, China Bank, Shanghai Pudong Development Bank,
Cinda Assets Management Company, Oriental Assets Management Company, CFS, Orient Fortune Assets
Management Co. Ltd, International Far Eastern Leasing Co. Ltd., Shenghua Group, etc.

Ms. Lee has extensive experience in foreign direct investment, acting as the outside counsel for renowned
companies such as General Electric, Boeing, Carl Zeiss, Konecranes, H&T, Johnsonfitness, etc, rendering
legal services to international investors in investment and establishment, merger and acquisitions and project
finance in China. She has provided clients with legal services for the whole investment process, including
providing comprehensive analysis on the Chinese legal framework of foreign investment laws and
regulations, due diligence, analysis on investment structure, participation in business negotiation, assisting
clients in coordinating with government authorities. Some of the notable transactions that she has been
involved in are:

• Represented a well-known foreign investment bank in its purchasing of ten billion RMB worth NPL in
package from China Orient Assets Management Corporation and established the JV Contract (2007)

• Represented a Chinese Assets Management Corporation in its purchasing of 2 billion RMB worth
NPL from Huaxia Bank (2007)

• Represented a Chinese bank in its protection of intellectual property rights (2008)

• Representing a Chinese bank in its IT outsourcing (2008)

• Representing a joint venture security company in its applying for new business (2008)

• Representing a joint venture Assets Management Corporation in its several billion RMB worth NPL
disposal and debt collection (2008)

• Representing a Chinese famous company in its several billon USD worth investment in joint venture
on coal chemistry project (2008)

• Represented a Chinese bank in its comprehensive credit line checking (2009)
