was said. REALTOR Pledge The REALTOR pledge was said. Call to Order: President Bart Miller called the meeting to order at approximately 8:15 a.m. in the Association Office. Ron Kroeger was excused. All other officers and directors were present. Agenda: Lisa Mueller-Cox made a motion to approve the agenda as presented. Chris Long seconded the motion, which passed unanimously. BOD Handbook: Directors reviewed the BOD Handbook which covers their duties and responsibilities, Association governing documents, Strategic Plan, and more. Confidentiality: Members signed the annual Board of Directors Confidentiality Agreement. Minutes: It was noted the November 15, 2013 minutes were approved by email vote and have been distributed. Membership Applications: New REALTOR New MLS Only

Kelly Howie moved to approve the applications pending completion of all membership requirements. Lisa Mueller-Cox seconded the motion, which passed unanimously. Financial Report: Lisa Mueller-Cox presented financial statements for November and moved to receive financials as presented. Stuart Martin seconded the motion, which passed unanimously. Directors were updated on Convention final numbers. Unfinished Business: Affiliate Sponsorship Update: All 2014 Sponsorships have been sold and Directors were thanked for their efforts. Black Hills Homebuilders: BHAR followed up but received no additional input from affiliate member. New Business Building Fund Tax Consequence: Directors reviewed the information. Kelly Howie moved to use building fund monies to reimburse the general fund for its share of the income tax burden for each year based upon CPA recommendation. Shawn Wood seconded the motion, which passed unanimously. Kelly Howie moved to approve the 2014 MLS Committee as presented; Stuart Martin seconded the motion which passed unanimously.

Other: Mediation/ethics, membership numbers and meeting attendance, and under contract information were provided to the group. Bart briefly explained for the benefit of new Directors. Bart Miller gave a Ring the Bell update and shared information about the Rancher Relief fundraiser. Various ideas regarding breakfast meetings were shared. Bart Miller shared his idea about leadership development. Stuart Martin moved to adjourn; Lisa Mueller-Cox seconded the motion which passed unanimously.
