Old Board/New Board Meeting


Myers Park Country Club
May 19, 2009

Present: Carolyn Scruggs, Susan Vadnais, Mitzi Yount, Joan Scharf, Tammy Bridges, Kathy
Klimas, Patsy Reames, Jennie Carruth, Genie Hayes, Pam Bullard, Becky Williford, Charlene
Slaughter, Joni MacDonald, Debi Attorri, Lois Benjamin, Mimi Compton, Debbie Taylor, Maur-
een Highley, Donna Mauerhan, Jackie Palmer, Judy Verross, Brenda Wing, Alison Schulman

Absent: Romell Johnson, Mary Zweng, Susie Ohl

President: Charlene Slaughter called the meeting to order at 10:08 a.m. and welcomed the old
and new Board members.

The April 23, 2009 minutes were approved as read.

Treasurer: Becky Williford reported that we have 1 additional state member. She also reported
that the Finance Committee voted to have John Kramer take 12 1/2% of the Endowment invest-
ment out of bonds and move it into stocks because of the recent “bear” market rally. She noted
that there was money donated through the Gala to cover the cost of 6 1/2 donations of AED’s,
but we have committed to purchasing 7, therefore we need to make up the difference. This will
be discussed at a future meeting. The proposed 2009-2010 budget will be voted on at the annual
meeting. MMAE will complete its commitment to Hospitality House with a $5000 donation. The
year will end with a net of approximately $5000, minus a few bills yet to be paid (see attached
Treasurer’s report).

MCMS Executive Director: Carolyn Scruggs reminded the Board that one of the main
activities of MCMS is to advocate on behalf of physicians and patients. She reported that they
strongly supported the new smoking ban legislation which will ban smoking in all restaurants
and bars in North Carolina and which also allows municipalities to pass stronger measures. This
bill will be signed by Governor Purdue today. MCMS is also supporting fair contracting with
health insurers. This bill passed in the state Senate with amendments, and it next goes to the
House. Carolyn thanked MMAE for all we do, and she expressed her appreciation to Charlene
Slaughter for meeting the Mecklenburg Medicine deadlines during this year.

VP Communications/Marketing: Joni MacDonald stated that AED’s were recently given


to Northside Baptist Church. Charlene Slaughter and MEDIC were there to make the presenta-
tion at a recent church celebration. She reported that Garinger High School has applied for the
AED’s, and she is still working on other applications. She showed the Board an AED and also an
example of the donor plaques that are attached to the AED’s. She and Charlene will continue to
work on this project throughout the summer and next year to insure that all the AED’s are placed
and the training is completed, especially in the CMS high schools.

VP Civic Affairs/Legislation: Genie Hayes noted that her report was covered by MCMS
Executive Director Carolyn Scruggs concerning the smoking ban legislation.
VP Programs: Jennie Carruth and Rommell Johnson had no report. Recording Secretary
Debbie Taylor reported that she had received 63 mail in and email votes for the 2009-2010 slate
of officers. This was a result of the email and written request for members to cast their votes be-
cause of the cancellation of the April/early May meeting (see attached email request and voting
list).

VP Membership Development: Susan Vadnais and Patsy Reames reported that MMAE
ended the year with 258 county, 91 state, and 68 national members.

VP Grants/Disbursements: Pam Bullard stated that she will present Hospitality House
with a $5000 check today at the annual meeting. This completes MMAE’s commitment to Hos-
pitality House. She also said that the earlier $75,000 donation to MEDIC for the AED initiative
will be recognized today at the annual meeting.

VP Health Promotions: Mimi Compton and Joan Scharf had no report.

Corresponding Secretary: Mitzi Yound had no report.

Prognewsis/Website: Kathy Klimas reported that the first online Prognewsis will be avail-
able today or tomorrow. It will be a shortened edition but will be posted more frequently, prob-
ably twice per month. Members who pay their dues will receive the password to access the mem-
bers only section of the site after June 1, 2009.

Co-Presidents-Elect: Debi Attorri and Lois Benjamin asked everyone to introduce herself
and her old/new position on the Board. They have already planned a membership party,
“Makeovers and Mimosas,” sponsored by and to be held at Neiman Marcus on June 18, 2009 at
11:00 a.m. The goal of this party is to encourage members to pay their dues. Debi and Lois an-
nounced that the Board meetings will be held on the third Thursday of the month with the loca-
tion to be determined (see attachment).

VP Financial Development: Tammy Bridges had no report.

Old Business: President Charlene Slaughter announced that completed reimbursement forms
must be turned in to Treasurer Becky Williford today.

Charlene introduced John Kramer, Financial Advisor from Bank of America. John reported that
the Endowment balance, as of May 18, 2009, was $1,340,542.47. The Endowment was down
21.7% through December 31, 2008, and since January 1, 2009 it is up .3%. He explained that per
the Finance Committee’s decisions, he had gradually moved the investment to 70% bonds this
year. The Finance Committee recently voted to increase the Endowment’s equity exposure
(stocks) by 12 1/2%, and now the fixed income (bonds) is at 57%. John predicted more stock
market volatility in the next three to six months (see attached account summary).

President Charlene Slaughter thanked the old Board for their hard work and support. She ad-
journed the meeting at 10:55 a.m.
