Sub-Contract for the supply, delivery of Cut and Bend Reinforcement Bars and performance of related services, as hereinafter described and mentioned below in the relevant SubContract Documents for the construction of the Project " B+G+2 - Commercial Building, Plot No. 367-625, Umm Al Sheif (Sheikh Zayed Road), Dubai, UAE " between the following parties:

First Party The Frayland LLC, Construction & Interiors, P.O. Box 13750, Dubai, United Arab Emirates, hereinafter referred to as " Main Contractor "

Second Party The company Emirates Rebar Ltd., P.O. Box 17274, Jebel Ali Free Zone, Dubai, United Arab Emirates, hereinafter referred to as "Supplier "

Preamble (N/A)

2.0 2.1

Definition The complete Scope of Works to be executed by the Supplier and as described in this Sub-Contract and under the relevant clauses of this Sub-Contract shall hereinafter be referred to as the Works. Wherever in the Sub-Contract Documents stated under Clause 4.0, the words Client and/or Owner and/or Employer and/or Consultant and /or Engineer etc. are used it shall be construed as Main Contractor and wherever Supplier is used it shall be construed as Supplier, except where the context otherwise requires.

Preconditions for Sub-Contract The Client and/or Owner and/or Employer and/or Consultant and /or Engineer must approve the Supplier and the material to be supplied. In the event that the Supplier is not approved by the Client and/or Owner and/or Employer and/or Consultant and /or Engineer, then the Main Contractor reserves the right to cancel this Sub-Contract.

The Main Contractor undertakes to apply for approval of the material to be supplied by the Supplier after all necessary approval information have been submitted by the Supplier to the Main Contractor. In the event that the material delivered thereof is not as approved by the Client and/or the Consultant or the Supplier is not able to supply the material demanded within the time given it by written notice and/or tele-fax, or to supply the material according to the agreed fixed price; then the Main Contractor reserves the right to delete the supply of the material or to supply the material itself or to ask third parties to do so or to cancel this Sub-Contract in total, if necessary. All additional cost with regards to purchase of reinforcement steel, including any loss or damages incurred by the Main Contractor arising shall be borne by the Supplier. The Main Contractor reserves the right to use multiple steel reinforcement suppliers for this project. Subcontractor will not claim for any loss whatsoever in this regard. The Main Contractor reserves the right to terminate the Sub-Contract at its discretion other than the reasons covered under Clause 3.4, by giving a 7 (seven) days notice to the Supplier. In the event of such termination, the Main Contractor shall pay to the Supplier the costs of materials ordered for the works and which have been delivered to the Main Contractor, and all other costs due under this agreement without any allowance for profit.

5. 5.1

SCOPE OF WORKS The Supplier shall cut, bend and deliver the reinforcement bars in accordance with the Sub-Contract Documents as specified in Clause 4 of this Sub-Contract and as mentioned below; The quantities are:5.2.1 Approximately 1,600 tons of Deformed high yield Steel to BS 4449/BS 4461.

The cutting and bending of the steel bars, mentioned under Clause 5.2.1 will be done at the Supplier's factory, based on the approved reinforcement shop drawings and bending schedules, as described in the Specifications.

6. 6.1

SUB-CONTRACT PRICES The Supplier agrees to the prices as laid down here within: 6.1.1 HIGH TENSILE DEFORMED BARS (BS 4449, GRADE 460) Turkey Origin MATERIAL, CUT & BEND PRICE SIZE Diameter 12m Length 8 to 32 mm Unit Price for Material only (Straight bar) Dhs/MT (Theoretical) 2,550.00 Shop Dwg., BBS, Fabricating, Cut, Bend, Label & Bundle Dhs/MT 100.00 Unit Price for Material plus Cut & Bend Dhs/MT 2,650.00

Delivery of above 20 tons per trip will be free of charge to the Main Contractor, if less than 20 tons charges will be at Dhs. 400.00 per trip. The unit prices of the steel supply (including cut & bend charge) shall remain fixed until June 2012. The unit price for straight bar, cut and bend, as mentioned in Clauses 6.1.1, are valid for the duration as specified in clause 6.3 and there shall be no provisions whatsoever for adjustment to the prices by reasons of cost escalation (cost experience, productivity variation or other) during the duration of this Sub-Contract. The total quantity of the reinforcement is roughly estimated. The Supplier has no right to claim extra in case the whole quantity is not ordered from the Supplier. The mentioned Sub-Contract Prices include all costs as follows; 6.6.1 Costs for supply of all materials, straight bars/ cut & bend, including proper tagging and bundled for location wise. 6.6.2 Costs for cut & bend includes Preparation & Submittal of Shop Drawings and BBS prior to fabrication for approval based on the approved DM / Construction drawing issued by the Main Contractor. 6.6.3 Cost for cut & bend includes the cutting & bending charges including all wastages. 6.6.4 Costs for loading and transportation of reinforcement to the site. 6.6.5 Costs for all mill test certificates as mentioned under Clause 11 of this SubContract. 6.6.6 In the event mistake of deliveries and not proper tagging the bundled, cost will be on Suppliers accounts.

Any straight bar ordered separately which does not appear in BBS, will be agreed at the prevailing market price from the day of order confirmation. Only in the case of the Raft slab any straight bar that appear in the approved BBS, will be charged at the straight bar rate (theoretical weight) which is Dhs. 2,550/Ton. In the event of termination of the Sub-Contract due to reasons whatsoever, the Main Contractor shall reimburse the Supplier for the technical services provided namely preparation of BBS & shop drawing (for non delivered steel) and shall be valued at Dhs. 25/ton

TERMS OF PAYMENT Payment shall be effected in the following order;

The basis for payment to Clause 6.1 is the quantity shown on the bar bending schedule. Quantities will be calculated based on nominal weight for the straight bars. Cut & Bend will be calculated in actual weight, no wastage will be charged to the Main Contractor. The Supplier shall issue accumulated invoices on 25th day of the particular month. Payment will be made in the form of 120 days Post Dated Cheque upon receipt of the approved invoices with delivery notes. Approval of invoices by the Site Management is expected to be within five (5) working days.

SCHEDULE OF WORKS The Supplier shall start submitting BBS & shop drawings within 5 working days from the date of signing this contract The first delivery of the reinforcement will be required within 5 to 7 working days from the date of Main Contractors Material Request (as per site requirement), based on the approved bar bending schedule. The total quantity will be spread over a period of approximately 6 (six) months.

All delivery to be coordinated with Site Management of the Main Contractor, the tentative schedule is as given below, subject to confirmation through Main Contractors Material Request.

9. 9.1

TEST CERTIFICATES The Supplier shall provide within 3 (three) days after signing this Sub-Contract all required mill test certificates. The Supplier shall submit each month, one mill test certificate for the supplied steel. All delivered materials should have Dubai Central Laboratory (DCL) mark and should have necessary certificates as per DM Standards.

LAW APPLICABLE This Sub-Contract is subject to the Federal Law of the Dubai, UAE. If a dispute of any kind whatsoever arises between the Main Contractor and the Supplier in connection with, or arising out of the Sub-Contract or execution of the works the two parties shall, in the first place, attempt to settle the matter in dispute amicably. If an amicable settlement cannot be reached, the matter under dispute will be referred to a Board of Arbitration.

PLACE OF JURISDICTION Place of Jurisdiction for this Sub-Contract shall be JAZF, Dubai, United Arab Emirates.
