TBM Holdings, Inc. is an investment management holding company which was incorporated in the State of Nevada, USA, on January 27, 2004, as UCC Services Group. On February 13, 2006 we entered into a share exchange agreement with TBM Management Limited, a British Virgin Islands company that was founded on February 8, 2005. As a part of the Share Exchange, we changed our name to TBM Holdings, Inc. TBM Management commenced business activities in July 2005, and on July 12, 2005 TBM Management Limited acquired CJSC "Finansist", a Ukrainian company. CJSC "Finansist" initially was formed to serve as the holding entity for the whole structure of Ukrainian subsidiaries. During 2005 these entities were consolidated in order to establish an official structure of relationships within their operations. CJSC "Finansist" held controlling amount of shares to the bank, insurance company, and acted as a founder of new companies, including our other subsidiaries until TBM Management was formed. This process was completed in 2006. Therefore, as a result of the Share Exchange we became a holding company, TBM Holdings, Inc., registered under this name as of February 13, 2006. The Corporation operates our business through 6 operating subsidiary companies engaged in banking, insurance, real estate, construction investments, heat-power engineering and machine building. Each of these companies is a Ukraine entity and each operates exclusively in Ukraine. TBM Holdings, Inc. is a financial group, incorporated the companies engaged in the most efficient and profitable segments of Ukraine economy. Operating diversified businesses, our corporation implements the funds circulation through its subsidiaries in various market scopes. The holding scheme allows us to achieve the significant synergy which provides for the integral growth of our business. Our management believes that entrance into the American securities market will create an effective means for attracting investments from the U.S. in order to finance the projects available in Ukraine.
