Venue Rental Agreement

Milwaukee Art Museum & Whimsy: A Wedding Expo This Agreement is made this 1st day of September, 2013, is by and between Milwaukee Art Museum (MAM) and Whimsy: A Wedding Expo. Whereas, Whimsy: A Wedding Expo wishes to use MAM's Property for a wedding expo on Saturday, January 18th, 2014. In consideration of the mutual promises and covenants contained herein, the Parties agree as follows: 1. Property Rental: MAM hereby grants to Whimsy a limited 53202. The License permits Whimsy to sue the Property only on the Event Date, during the hours specified below, and only for the purposes set forth in this Agreement. Included in this rental is Windhover Hall, the Schroeder Galleria, Baumgartner Galleria, the Northwestern Mutual Meeting Room, the Quadracci Suite, and the Museum's Baumgartner Terrace. 2. Event Date: The Event shall be held on January 18th, 2013, between the hours of 11:00 a.m and 4:00 p.m. Whimsy will only have access to the property beginning at 5:00 p.m Friday, January 17th, 2014 and ending at 9:00 a.m Sunday, January19th, 2014. 3. Fees: Whimsy shall pay to MAM a total of $7,000.00 for the use of the Property. Included in the Rental Fee shall be a deposit of $3,500.00 that must be paid to MAM upon the execution of this Agreement. Whimsy shall have no obligations under this Agreement until the Deposit is paid in full. The remainder of the total Rental Fee shall be due in full by 5:00 p.m on December 18th, 2013. If Whimsy fails to pay the full Rental Fee by the Payment Due Date, MAM shall have the right to revoke the License and to keep the full amount of the Deposit as liquidated damages. 4. Cancellations: If Whimsy cancels the reservation for the Event within 21 days of the Event Date, MAM shall refund the Renal Fee, but MAM shall be entitled in this case to retail the Deposit. If Whimsy cancels the reservation for the Event within 7 days of the Event, MAM shall be entitled to retain the entire Rental Fee, including the Deposit as liquidated damages. 5. All set-up and decorations must be picked up at the end of the function/your event. Anything not taken or picked up will be thrown (disposed/relinquished) out the following day.

T f collection and to ensure continued availability of the Museum as an event space, we request your cooperation with the following: - Smoking is not allowed in the Museum - Helium balloons may not be used anywhere in the Museum - Attachable decorations such as banners and streamers may not be used anywhere . - Confetti, glitter, rice, birdseed, or loose flower petals, etc., may not be used. - Candles may be used only of the flame is contained in a vo . - The Museum reserves the right in its sole discretion to disapprove the use of g f property. - Exceptionally loud music is not permitted. 6. Insurance: By entering into a Rental Agreement to host an event at MAM, Whimsy must maintain a general liability policy of, or obtail a "rider" while present at the Museum for the particular date of the event. This is to protect bothe the Museum and Whimsy in the case of damages to or during the event and the Museum. 7. Security: Whimsy agrees to lock and secure the facilities at as instructed by MAM at all times during the period covered in this rental agreement. Members of Whimsy are not to use any of the building's spaces other than those specified in this agreement. 8. Museum Image: Any image of the Milwaukee Art Museum must be approved by both the

All printed materials for an event in the form of invitations, programs, posters, and other promotional material, or a sample of text/wording of such forms, must be submitted to the Museum event planner for approval. Final copies of all printed event materials must be given to the MAM event planner/coordinator prior to pull printing and production of said items. 9. Right of Entry: MAM owners shall have the right to enter the Property at any time for any reasonable purpose, including any emergency that may threaten damage to MAM Property or injury to any person in or near the Property. 10. Compliance with Laws: Whimsy shall obtain and maintain any necessary permits, licenses, or other forms of permission necessary to use the property according to the permitted uses. Renter shall not use the Property in any manner that would violate any local, state or federal laws or regulations. Whimsy hereby indemnifies MAM , their employees, agents, heirs, successors and assigns, for any damages, penalties, fines, suits, actions, or other costs arising out of or in connection with Whimsy's violation of an local, state, or federal laws, rule regulation or ordinance related to Renter's use of the Property.
