CONTRACT TO SELL
THE PUBLIC IS INFORMED:
Howard C. Jose, of legal age, residing at 70 Mabolo Street, Countryside
Village Phase II, Paranaque City, as the seller;
and
Ferdinand Mase, of legal age, residing at 666 Makopa Street, Countryside
Village Phase II, Paranaque City, as the buyer.
Howard, being the absolute and registered owner of 1,000 sq. meter parcel
of land located at 1 Thrush Street, Countryside Village Phase III, Paranaque
City, covered by TCT No. 4567123 issued by the Registry of Deeds of
Paranaque.
Ferdinand has offered to buy and Howard agreed to sell the property under
the following terms and conditions:
1.
The total consideration is PhP 32,000,000.00, payable as follows:
a.
PhP 200,000 as earnest money payable to Howard upon signing of
this contract.
b.
The balance shall be payable in cash, on or before August 1, 2014.
2.
Capital gains tax and real estate taxes must be paid by Howard;
3.
Possession of the subject property shall be delivered to Ferdinand
upon full payment of the total consideration;
4.
Upon full payment, Howard shall execute a Deed of Absolute Sale
and other pertinent documents for the transfer of ownership in favor of
Ferdinand.
This contract is executed on July 9, 2013.

COMPROMISE
SO THE PUBLIC MAY KNOW:
Seize Tomorrow Corporation (STC), a domestic corporation, with
business address at 123 Tambo Ibaba, Calamba City, Laguna, represented
by its President, Maki Elam, and Vice-President, Mata Buh, as defendants
and
Bernardo Sales, of legal age, residing at 777 Maginhawa Street,
Barangay Cabuyao, Laguna, as plaintiff.
Bernardo is the plaintiff in NLRC Case RAIV 82345-07, entitled
Bernardo Sales vs. Seize Tomorrow Corporation (STC) et. al, pending in
the arbitration branch of the National Labor Relations Commission, Regional
Office IV located in Calamba City, Laguna.
Bernardo and STC, represented by Maki and Mata, decide to settle
amicably the said case and agree that:
a.
STC shall pay PhP 500,000.00 to Bernardo by way of financial
assistance;
b.
In exchange of the financial assistance, Bernardo shall not commit
any act prejudicial to the interest of STC, its branches, or its projects
arising from or with respect to his previous employment;
c.
Bernardo shall execute a quitclaim against STC and its officers.
d.
This agreement shall not in any way be construed as an admission on the part of
Bernardo and/or of STC or its officers of any fault, negligence or liability, of whatever kind and
nature.
This compromise is executed on June 10, 2013.

DEED OF SALE OF SHARES OF STOCK
NOTICE IS GIVEN TO THE PUBLIC:
Emily S. Torres, of legal age, residing at 123 Sisa St., Tinajeros,
Malabon City, a shareholder of Krispy Sticks Candy, Inc. (KSCI), as the
seller
and
Architect Niel T. Luis, of legal age, residing at 90 Crispin Avenue, New York,
Cubao, as buyer.
That Emily is the registered and subscribed owner of 2,000 common shares
of KSCI, a domestic corporation, with principal business address at 44
Basilio Street, Makati City.
Emily intends to sell the 2,000 common shares to Niel at a price of PhP
2,000,000.00 to terminate her relations with KSCI and Niel agreed to the
said proposal.
This deed is executed on March 4, 2013.
