DEED OF AGREEMENT This agreement on monthly rent and electable tenancy basis is made on the eleventh day of November

Two thousand eleven of Christian era. BETWEEN Mrs. Israt Islam, W/O Ameen, of Housee#12, Road ni, # 12, Block # c, Banani, Dhaka 12123, hereinafter referred to as the LESSOR (Owner of flat # A-3, House #20 UN Road, Baridhara, Dhaka) with expression wherein the context so admits shall include her leal heirs, successors, executors and authorized representative. AND FASHION ASIA SUPPLIER TAPE A LOEIL liaison office (Bangladesh Address: FAST DHAKA, HOUSE # 419, 3rd Floor, Lane 7 East, Baridhara DOHS, Dhaka), represented by Mr. Siegfried REY, country Manager, e-mail: srey@t-a-0.com, WEB: www.t-a-0.com, hereinafter referred to as the LEESEE (Tenant) with expression wherein the context so admits shall include, successors, executors assignees and authorized representative. WHEREAS The aforesaid LESSOR has agreed to let out and the LEESEE has agreed to take lease on rent of App# A-3, House# 20, UN Road, Baridhara, including specified parking space for one car/jeep on the following terms and conditions for a period 03 (Three) years form 1st December 2013 to 31st November 2014. 1. That the rent of the apartment is Tk. 160,000.00 (taka One Hundred Sisty Thousand) only per month. The LESEE will cut 5% TDS form this amount and give the LESSOR TDS payment CHALLAN per month. The LESSEE will also pay a sum to Tk. 7,500.00 (Taka Seven Thousand Five Hundred) only per month as service charge which includes security, caretaker, lift service general cleaning, common electricity, water service pump and standby generator service etc and to be paid to the caretaker of the said building. 2. That further renewal of the lease may be made on mutually agreed terms and conditions at least three months prior to expiry of the lease.

That the LESSEE paid a sum of Tk. 480,000.00 (Taka Four Hundred Eighty thousand ) only to the LESSEE as security deposit which will be adjusted by the LEESEE at the time of termination of tenancy of this agreement provided that the demise property is handed over to the LESSOR as per clause 10(Ten) of this agreement. 4. That the LESSOE on three months prior notice may terminate the tenancy before the expiry period. If LESSEE decides to terminate this agreement may also do so with 3 months prior notice to the LESSOR and surrenders the house in good condition as it was at the time of occupation. However the LESSEE shall not terminate this agreement within the first 12 months of the tenancy period in which case the security deposit will be forfeited. Security deposit of Tk. 480,000.00 shall be adjusted with monthly rent on receipt of the termination notice three months before. 5. That the monthly rent is to be paid in advance by 10th of current month. Tk. 167,500.00 (Taka One Hundred Sixty Seven Thousand Five Hundred) only is to be paid by Account Payee Cheque favoring Mrs. Ishrat Islam. 6. That the LESSEE shall pay in time monthly electricity, gas, wasa bills, service charges at actual for the said apartment. 7. That the LESSEE shall use the premise for his residential purpose of its Country Manager and shall not sublet it to anybody whatsoever. 8. That the LESSEE shall use the parking space only for own car parking and shall not use for any other purpose. 9. That LESSEE shall permit the LESSSSOR of his representative (caretaker) at any reasonable time to enter the leased premises for the purpose of viewing the state or any other reasonable purpose including visit by prospective tenant. 10. That after expiry of term of lease the LESSEE shall vacate the premise along with fittings, fixtures etc in good order and condition as good as they were when LESSEE took on rent the said premises (Flat # A-3) and hand over the possession of the apartments to the LESSOR in tenantable

condition (except wear & tear). Lease may also be extended mutually 3 months prior to expiry of the current term. 11. That the LESSEE shall not make any addition, deletion or alternation in structure and fittings including electricity and sanitary works of the rented apartment without prior written permission of the LESSOR. The LESSEE will carry out petty repair. 12. That the LESSEE shall not make any holes or pegging on the wall without permission to the LESSOR. 13. That the LESSEE shall be responsible for the payment to the LESSOR for any damages or fouling that may be caused to the leased premises or the part therein by the LESSEE or by any person permitted by him to enter upon the leased premises. 14. That the LESSEE at his own cost install fans, lights/bulbs, gas burners, and AC in the rooms only at the specified place and in the process if there is any damage to any property and painting, the same will be repaired by the LESSEE at his own cost. 15. That the garbage should not be put outside the main door, in the lobby or parking area or dropped from the sides/roof tops. It should be collected on suitable bags/pots and discarded appropriately under own arrangement of LESSEE. 16. Any unsocial and illegal activities will lead to termination of the agreement and the said premises shall have to be vacated with immediate effect. 17. Both parties agreed to be sensible and fair in all their dealings. 18. This is an agreement between the LESSOR and the LESSEE which is a company. As obliged by law the LESSEE company shall withhold additional income tax on his monthly rent payment. In witness therefore we have signed this deed on this 11th day of November, 2011 in presence of the following witness.
