Ordering Information
Orders: A written Purchase order is required before shipment can commence. Fax, mail or e-
mail your order to the attention of the Customer Service Department,
customerservice@xtralis.com.
FOB: FOB Norwell, Massachusetts.
Freight: Xtralis applies a Shipping and Handling charge to all Pipe and Fittings orders. In
addition, orders that ship from the Norwell, MA warehouse on Xtralis' account will be
charged a shipping and handling fee. Shipping and handling charges will be prepaid and
added to the invoice. Customers may specify their own carrier, and must provide this
information on the Purchase Order. Customers who use their own carrier for shipping will
not be charged handling fees.
Returns: To return a Xtralis manufactured product for repair or possible credit, please
contact 800 229-4434, option #3 for a Return Material Authorization (RMA).
Credit Policy: There is a 20% restocking fee if an Xtralis manufactured product is returned for
credit. Returns are not allowed on Pipe and Fittings orders. Xtralis manufactured products
must be returned within 60 days from date of invoice, be in original, new condition, and
packaged in the original carton. Returns are not accepted after 60 days.

Xtralis reserves the right to change its prices without prior notification.

VFT-15 Aspirated Smoke detector assembly with Display, Class A/B/C sensitivivty,
TCP/IP interface included. The unit requires external 24 VDC power be provided.
This unit is UL Listed. The unit provides 5 default relay outputs for general Fault,
Alert, Action, Fire 1 and Fire 2.
VFT-15-0
Relay Module 4 Channel FT series for use in VFT-15. Module provides 4 relay
outputs. When programmed the 4 outptus are assigned to a common function
(Alert, Action, Fire 1, Fire 2) per segment. As an example relay output module 1
programmed for Fire 1 would provide Fire 1 relays for Segments 1 thru 4 of the
VFT-15. (This unit is currently being tested to UL standards and is NOT currently UL
Listed).

8 Channel 4-20mA Re-Transmission Module - FT series for use in the VFT-15.
Module provides 8 outputs which may be programmed for airflow or real time
smoke level per segment. Programming choice is module specific meaning all 8
outputs are either smoke level or airflow level for the corresponding segments.

VESDA System Relay Module
VRT - S07 Universal Network Module with 7 Programmable Relays, (Isolate,
Minor Fault, Urgent Fault, Alert, Action, Fire 1, Fire 2)
The System Relay Module is a remote termination card with new software
supplied in a remote mounting box (VRT). The System Relay Module allows
reporting of ANY alarm or fault condition that appears on a VESDAnet loop
regardless of the initiating zone. It allows a more cost - effective solution for
raising a warning signal when several VESDA detectors are installed on a single
VESDAnet loop and addressability is not required

Note: All configurations include the remote mounting box., and are identifiable from a standard remote mounting
box by the text on the blue cover. They can also be distinguished by the part number on the ratings label that appears
on the bottom of the unit.
VESDA Analog Output Module
VRT - A10 Analog Output Module
The VESDA Analog Output Module (AOM) is an interface accessory/termination
card that provides an output proportional to a digitally recorded smoke reading.
The AOM is supplied in a remote mounting box. The AOM converts the digital
input from the VESDAnet detectors into an analog output. This allows VESDA
detectors to interface with existing Building Management Systems (BMS) and Fire
Alarm Panels that require an Analog signal to read a smoke level status

Sub Rack Configurations
The VESDA Sub Rack can be configured thousands of different ways. For ease of configuration, this guide includes a
configuration worksheet. It can be printed and used as required. Note: You are required to choose a module for each
of these four positions. The modules will be assembled in the configuration you specify - from left to right. Position 1
is the far left position, while Position 4 is the far right.
IMPORTANT:
1. The Sub - Rack mounts on any standard 19 rack . Sub - Rack Enclosures are also available.
2. Front and Back Modules are preconfigured on the following pages. However, if you purchase spare modules it is
important to Note:
a. All programmers and displays require remote termination cards.
b. Every relay termination card requires a display or relay processor board.
c. If you are using the sub rack for remote relays only, you must have a relay processor board in each position that
has a relay!

How To Self - Configure Your 19 Sub Rack:
Introduction:
Sub Rack configurations include the options for both Front and Back Modules. A Front module is a display,
programmer, or VESDAnet socket. Back modules are remote termination cards with a variety of relay options. To
configure your Sub Rack, use the matrix that follows. To check some of your configurations, see the pre - configured
samples
The "Empty" Sub Rack:
VSR - 0000 is a 19 Sub - Rack without VLP Modules. Once modules are added, the part number will change as
appropriate. VSR - 0000 has four positions for modules. Choose a P/N Digit for each of these positions.
Simply Follow These Steps
3. Configure your Part Number by adding the appropriate P/N Digit after the prefix VSR. The P/N Digit is shown on the
matrix. P/N Digits must be inserted for each of the four positions.
4. Configure your Net Price by adding the cost of a basic VSR - 0000, plus the cost of each module.
Configure Your Sub Rack
1. Start with the empty rack, Part Number, VSR - 0000.
2. Choose the modules you want in positions 1 through 4
5. If requesting either a Spanish or Portuguese decal on any display, please note this next to the part number.
Pre-Configure Examples

The PC - Link High Level Interface (PC - Link HLI) connects a PC and VESDA VLP system. Each
PC - Link HLI includes 2 cables (It does not include a PC.):
- RS232 from HLI to PC Com port
- RS485 from HLI to VESDAnet Socket
PC - Link HLI, Sliding Windows, RS232 Interface. The VHX - 200 does not have modem
capabilities.
PC - HLI, Modem Cable to connect PC - HLI directly to a modem. Note: This would be used in
lieu of the RS232 serial cable.
Remote Management and Monitoring of VESDA devices and networks
It is now possible to monitor VESDA devices and Networks via Ethernet communications. This is accomplished with
our VSM software along with the use of Serial to Ethernet adapter devices. Xtralis has successfully tested two serial
adapter units and recommends either be used when this functionality is necessary. The serial devices may be sourced
through the MOXA corporation (model no. - NPort Express DE - 311) @ www.MOXA.COM or the Lantronix
corporation (model no. - MSS100) @ www.LANTRONIX.COM.

2. The VFT-15 requires the use of a UL 1481 Listed 24 VDC power supply. The current Xtralis VPS-100US-xxx can be
used but close attention must be paid to back up battery requirements.
3. The VFT-15 unit supports a maximum of 164 Feet (50M) of micro bore tubing per segment. On a maximized system
that would translate to 15 segments x 164 feet per segment for a total of 2460 feet. This amount of tubing can be
met with the ordering of 2 of the VT-tube-1000 and 1 of the VT-tube-500 rolls with a very small amount left over.

Repair Work - Factory repair service is warranted for a period of one year from date of shipment. This warranty
includes parts and labor.
In - Bound: The freight cost to return product for repair of possible credit shall be paid by the authorized equipment
reseller.
Out - Bound: Freight charges for products in warranty will be absorbed by XTRALIS.
Obtaining Repair Service - Notify Xtralis and give a full description of fault.
Xtralis will first attempt to rectify fault by supplying replacement component parts. If rectification is not achieved by

Customer
The term Customer, as used herein, means the person or party that purchases the Products or Services, or any successor in title
thereto, from Xtralis, and if the Product is intended for resale, the relevant terms hereof shall be communicated to any user of the
Products.
Product Warranty
(a) Xtralis warrants to the Customer that the Products shall, for a period of two (2) years from the date of invoice as issued by
Xtralis, be free from defects in materials or workmanship. In the event any Product proves defective due to defects in material
and/or workmanship, XTRALIS's total liability shall be limited to repairing or replacing such Product, or at Xtralis option, refunding
the purchase price of same, if previously paid.
(b) This warranty shall not be effective with respect to any Product that has been altered or repaired by anyone except Xtralis
authorized employees or agents, or that has not been installed, applied, used or maintained in conformity with Xtralis instruction
as set forth in any operating instructions, product manuals and/or brochures; or with respect to any loss or damage caused by
rough or negligent treatment of the Product, by an act of God or by any other cause not within Xtralis control or any causes not
related to the goods.
(c) If the Product(s) purchased show defects in material or workmanship within two (2) years after the date of invoice, Customer
must discontinue use thereof and must promptly notify XTRALIS so that the matter may be investigated and the Product(s)
inspected and examined by XTRALIS without interference or delay. Written authorization from XTRALIS, including a Returned
Material Authority (RMA) number, must be obtained prior to returning any Product(s) for warranty adjustment. Return shipments
must be prepaid and shall quote the RMA number. Upon receipt of the returned Products, XTRALIS will examine such Products to
verify the alleged defect. If the Product is determined by XTRALIS to be defective, XTRALIS will meet its responsibilities as set forth
above.
(d) THE CUSTOMERS SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF THE FOREGOING WARRANTIES OR FOR PRODUCT
DEFECTS SHALL BE ITS RIGHTS UNDER THIS SECTION 3 AND SECTION 5 BELOW. EXCEPT FOR THE FORGOING WARRANTIES, XTRALIS
DOES NOT WARRANT THE MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE PRODUCTS OR THE PERFORMANCE
OR NONINFRINGEMENT THEREOF, DOES NOT MAKE ANY WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO PRODUCTS,
SPECIFICATIONS, SUPPORT, SERVICES OR ANYTHING ELSE AND DOES NOT MAKE ANY WARRANT TO THE CUSTOMERS CUSTOMERS
OR AGENTS. XTRALIS HAS NOT AUTHORIZED ANYONE TO MAKE ANY REPRESENTATION OR WARRANTY OTHER THAN AS PROVIDED
ABOVE.
Exclusion of Warranties
The information contained in any XTRALIS brochure, operating instructions, product manual or advertisement is to the best of its
knowledge true and correct. Any suggestions regarding the use of the Products made in such brochure, operating instructions,
product manual or advertisement are intended solely for illustration, should not be relied on and are made without guarantees,
express or implied, since conditions of use and surrounding circumstances are unknown to XTRALIS and out of XTRALIS control.
XTRALIS disclaims any liability incurred in connection with the use of any information or suggestions made in such brochure,
operating instructions, product manual or advertisement and any reliance thereon.
No employee, agent or representative of XTRALIS has the authority to waive, alter, vary or add to the terms hereof without the
prior written approval of an executive officer of XTRALIS.
General
All orders for products (Products) and services (Services) supplied by XTRALIS, INC. shall be subject to these Terms and
Conditions (Terms and Conditions). No modifications hereto will be binding unless agreed to in writing by XTRALIS. All
additional or contrary printed terms and conditions printed on any document supplied by a distributor or customer are hereby
rejected by XTRALIS unless agreed to expressly in writing.

Limitation of Liability
XTRALIS SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY DELAY IN FURNISHING THE PRODUCT OR PROVIDING THE SERVICE.
XTRALIS TOTAL LIABILITY AND THE CUSTOMER'S EXCLUSIVE REMEDY FOR ANY AND ALL CLAIMS, LOSSES OR DAMAGES ARISING OUT OF ANY
CAUSE WHATSOEVER IN CONNECTION WITH THE SALE OR FURNISHING OF THE PRODUCTS AND SERVICES, THEIR DESIGN, SUITABILITY FOR USE,
INSTALLATION OR OPERATION, WHETHER BASED IN CONTRACT, BREACH OF WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR OTHERWISE, EXPRESS OR IMPLIED, IN FACT OR BY LAW, STRICT LIABILITY, NEGLIGENCE OR OTHER TORT, OR OTHERWISE, IS
EXPRESSLY LIMITED TO REPLACEMENT OF NON - CONFORMING PRODUCTS OR PAYMENT REIMBURSEMENT IN AN AMOUNT NOT TO EXCEED THE
PURCHASE PRICE OF THE NON - CONFORMING PRODUCTS COVERED BY THIS CONTRACT, PLUS TRANSPORTATION CHARGES. CUSTOMER'S
RECEIPT OF PRODUCTS SHALL BE AN UNQUALIFIED ACCEPTANCE OF, AND A WAIVER BY THE CUSTOMER OF CUSTOMER'S RIGHT TO MAKE ANY
CLAIM WITH RESPECT TO PRODUCTS UNLESS THE CUSTOMER GIVES XTRALIS NOTICE WITHIN SEVEN (7) DAYS AFTER RECEIPT AND PRIOR TO
APPLICATION OR USE OF PRODUCTS. IN NO EVENT SHALL XTRALIS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL
LOSSES OR DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFIT, DOWNTIME, OPERATING OR MAINTENANCE COSTS, EQUIPMENT
DAMAGE OR PRODUCT SPOILAGE, WATER DAMAGE, LEAKAGE OR FLOODS EVEN IF XTRALIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
POTENTIAL LOSS OR DAMAGE. THE CUSTOMER'S FAILURE TO FOLLOW RECOMMENDATIONS FOR THE USE OF PRODUCTS SHALL RELIEVE
XTRALIS OF ANY LIABILITY WHATSOEVER.
THE REMEDY SET FORTH ABOVE IS INTENDED SOLELY FOR THE BENEFIT OF THE CUSTOMER AND DOES NOT APPLY TO ANY THIRD PARTY. ALL
CLAIMS MUST BE MADE BY THE CUSTOMER AND MAY NOT BE MADE BY ANY THIRD PARTY. THE CUSTOMER MAY NOT TRANSFER OR ASSIGN
ANY RIGHTS PURSUANT TO THIS PARAGRAPH TO ANY THIRD PARTIES, IN WHOLE OR IN PART, FOR ANY REASON WHATSOEVER. ANY SUCH
ATTEMPTED TRANSFER OR ASSIGNMENT SHALL BE NULL AND VOID.
Any minor damages (such as scratches, spots, pressure marks) shall not entitle the Customer to any warranty claim. Commercial tolerances with
respect to dimensions, finish, color, weight, etc. of Products and all other articles manufactured by XTRALIS, or minor variations from the data
stated in XTRALIS printed documents and descriptive literature shall neither entitle the Customer to any warranty claim nor to a rejection of the
goods delivered.
Modification of Products
XTRALIS reserves the right, without notice to the Customer, to (a) change the specifications of any Product, (b) improve a Product
in any manner that XTRALIS deems necessary or appropriate and (c) discontinue the manufacture of any Product. The Customer
may not in any manner alter the Product. XTRALIS shall not be obligated to perform such modifications of Products which have
already been delivered.
If the Customer provides information and/or instructions in writing to XTRALIS and where XTRALIS makes any modifications,
alterations or adjustments to any Product as a result of or in reliance upon the information or instructions provided by the
Customer, the Customer (a) indemnifies XTRALIS in full against any loss or damage suffered by XTRALIS howsoever arising out of
any reliance by XTRALIS on the information or instructions provided by the Customer; and (b) indemnifies XTRALIS in full against
any loss or damage suffered by XTRALIS where any such modifications, alterations or amendments are challenged by a third party
as being in breach of that third party's intellectual property rights.
Purchase Orders
The Customer will submit purchase orders for the Products to XTRALIS in writing, whether by mail, electronic mail or telecopy,
which shall set forth, at a minimum: (a) an identification of the Products ordered, (b) prices for such Products, (c) quantities, (d)
requested delivery dates and (e) shipping instructions and shipping addresses.

Acceptance of Purchase Orders
All purchase orders received from the Customer are subject to acceptance and confirmation by XTRALIS in writing and once
accepted by XTRALIS become final and binding, except as set forth in Section 9 hereto. All such purchase orders will be subject to
the ex - warehouse prices then in effect. Statements made in XTRALIS's order confirmation as to kind, dimensions and quality of
the Products to be supplied shall be binding on XTRALIS if these statements have been separately agreed upon in writing. In no
event shall XTRALIS be held liable for any incorrectly supplied Products following the seventh (7th) calendar day from the invoice
date if the Product identity as stated on any shipping documentation conforms with XTRALIS's order confirmation.
Modification of Purchase Orders
No accepted purchase order shall be modified or canceled by the Customer except upon the written agreement of XTRALIS, with
such cancellations subject to reasonable charges based upon expenses already incurred by XTRALIS and commitments made by
XTRALIS. Modifications to orders that are agreed by XTRALIS shall be subject to all provisions of these Terms and Conditions.
Price Changes
XTRALIS may increase its prices for the Products from time to time without notice to the Customer. Increased prices for Products
shall not apply to purchase orders accepted and confirmed in writing by XTRALIS prior to the effective date of the price increase
unless such orders provide for delivery more than fourteen (14) days after the date of acceptance of the order.
Delivery and Risk of Loss
(a) XTRALIS shall use its reasonable efforts to achieve availability of Products for delivery as stated from time to time and to ship
the goods in accordance with the requested delivery dates, however, any schedules therefore are to be considered estimates only
and not to be relied upon and no liability shall be inferred upon XTRALIS in the event of any delay irrespective of cause or
circumstance, including such circumstances within and without XTRALIS's control. Any such delay shall not be deemed a
repudiation or breach of these Terms and Conditions or any other agreement.
(b) Risk of loss on the Products sold to Customer shall pass upon the occurrence of delivery of such Products to Customer in
accordance with Section 12 hereto. Irrespective of passing of the risk of loss, title shall remain with XTRALIS until payment in full
has been received for the Products and that in any such event of non or partial payment following any delivery, Customer shall
hold any such Products for the benefit of and in a fiduciary capacity for XTRALIS until XTRALIS has been paid in full.
(c) Unless stated otherwise in XTRALIS's order confirmation and subject to the remainder of this Section 11, all deliveries of
Products are shipped on the basis that the Customer (or its agent) is responsible for transportation from XTRALIS's premises and
insurance from the time of delivery. Risk in such goods shall pass to the Customer upon the sooner of the happening of the
loading of the goods on the Customer's carrier (or a carrier nominated by the Customer) or the expiration of one month from the
date upon which XTRALIS notifies the Customer that the goods are ready for delivery. XTRALIS may invoice the Customer for the
costs of freight and insurance of goods up to the time of delivery.
Payment Terms
All orders will be shipped either prepaid by the Customer, against payment in advance, an acceptable irrevocable letter of credit,
made or confirmed by a U.S. Federal Reserve chartered bank or C.O.D., at XTRALISs option, unless the Customer has established a
previously approved credit line. If XTRALIS approves a credit line for the Customer, all payments shall be due within thirty (30)
days of the date of the invoice. Payment shall be made in the U.S.A. in U.S. Dollars unless XTRALIS designates another currency or
another place of payment. If any invoice is not paid in full within such thirty (30) day period, then finance charges may be assessed
at the ratio of one and one - half percent (1 %) per month (eighteen percent (18%) per year). If such rate is deemed to be
usurious at any time, it shall be reduced to the maximum rate permitted by applicable law. XTRALIS may stop or withhold
shipment of Products or provisions of Services if the Customer does not fulfill its payment obligations. If XTRALIS is insecure about
payment for any reason, XTRALIS may require full or partial payment in advance and as a condition to the continuation of its
delivery of Products or provisions of Services.

Security Interest
Unless and until the Products are paid in full, XTRALIS reserves a security interest in them to secure the unpaid balance of the
purchase price. The Customer hereby grants to XTRALIS a power of attorney, coupled with an interest, to execute and file on
behalf of the Customer all necessary financing statements and other documents required or appropriate to protect the security
interest granted herein. XTRALISs security interest in the Products shall include, without limitation, the right of resale, rescission
and stoppage in transit, and XTRALIS reserves the right of possession thereof until payment in full of the purchase price and any
other outstanding debts to XTRALIS.
Trial Application/Returns
The Customer acknowledges and agrees that if XTRALIS notifies the Customer that the Products are sold or provided on a trial or
testing basis, such supply shall be for the purpose of evaluating the performance, efficacy or suitability of such Products, and, in
such event, XTRALIS expressly disclaims any and all warranties, express or implied, including the implied warranties of
merchantability and fitness for a particular purpose and shall have no liability whatsoever with respect to such trial or test,
including but not limited to, the purchase price and transportation costs paid by the Customer for same, and the Customer agrees
to indemnify and hold XTRALIS harmless for any claims, damages, costs and expenses arising out of or relating to such trial or test.
Products are not generally sold on a trial basis and are not intended to be returned to XTRALIS under any circumstances, however,
XTRALIS may, in it sole discretion, accept a return of such Products under certain circumstances (as agreed by XTRALIS in writing
and subject to the Customers payment to XTRALIS of any return freight or shipping costs and a restocking fee as determined in
XTRALISs sole discretion).
Product and Intellectual Property Rights
(a) The Customer acknowledges and agrees that all existing and future intellectual property of XTRALIS (XTRALIS IP) that relates
to or subsists or resides in the Products (including any improvements to the Products) or the Services is owned by XTRALIS or its
licensors. The Customer agrees that it will not challenge the validity or ownership of the XTRALIS IP in the Products and Services.
The Customer hereby irrevocably assigns to XTRALIS any existing or future XTRALIS IP that the Customer may have or may acquire
in the Products (including any improvements to the Products) or Services.
(b) The Customer shall recognize any industrial and/or commercial property rights that XTRALIS may be entitled to in connection
with the Products, including without limitation any intellectual property rights, and shall warrant and represent to observe the
same and defend them from any violation and/or infringement by itself, agents, employees, affiliates or third parties. The
Customer shall furthermore undertake to guarantee that production and delivery of any Products manufactured at its request will
not violate any industrial or commercial property rights of third parties, including without limitation, any intellectual property
rights. The Customer shall relieve, release and discharge XTRALIS for any opposing claims. It shall not be permissible to provide or
otherwise disclose XTRALISs drawings, designs and samples and other patterns to third parties or to re - engineer or dismantle for
the purpose of studying the engineering of any of the Products or to decompile, disassemble, electronically transfer, or translate
into another computer language any software imbedded or otherwise integrated in the Products.

Regulatory Laws and Standards
(a) XTRALIS makes no representation that its Products or Services conform to country, state or local laws, regulations, codes or
standards except as may be otherwise agreed to in writing by XTRALIS. The Customer shall be responsible for complying with all
country, state or local laws, regulations, codes or standards relating to sale, use and installation of the Products and the provisions
of the Services at its own cost and expense.
(b)The Customer agrees to indemnify and hold XTRALIS harmless against all losses, claims causes or action, penalties and liabilities
arising out of the Customers failure to comply with applicable federal, state and local laws, ordinances, regulations, rules and
orders, including, but not limited to, those governing pollution, ecology, labor health, the environment and such failure of
compliance shall entitle XTRALIS to terminate these Terms and Conditions immediately as it applies to Products or Services
affected by such failure.

Taxes
All sales taxes, duties, value added taxes, excise or governmental charges imposed of each and every kind (or any increase thereof
imposed after the effective date of these Terms and Conditions) upon the production, sale, shipment, use or value added to the
Products or Services (other than income and excess profit taxes) shall be the obligation of and shall be paid by the Customer. The
Customer shall provide XTRALIS with the properly completed exemption certificates for any tax or charge from which the Customer
claims exemption.
Indemnities
The Customer agrees to indemnify and hold XTRALIS harmless from and against any and all liabilities, damages, losses, fines, costs
or expenses, which may accrue or are sustained by XTRALIS on account of any claims, suits or actions of any kind whatsoever made
or brought against XTRALIS, including those brought by the Customer for injury to or death of any and all persons and for damage
to property arising out of or sustained in connection with the operation or use of the Products by the Customer or any Services or
other work performed hereunder, whether the foregoing are based upon contract, strict liability, negligence, other tort or
otherwise, unless such claims, suits or actions arise out of XTRALISs breach of warranty, gross negligence or willful misconduct in
which event XTRALISs liability shall be limited as set forth in Section 5 above.
Hazards
The Customer acknowledges that it understands the nature and characteristics of the Products sold hereunder, the hazards, if any,
associated with such Products and that it is familiar with the labeling and literature concerning the Products. The Customer agrees
to warn all persons who may become exposed to the Products after delivery to the Customer hereunder of any hazards associated
with such Products and to instruct its customers, agents and employees to safely use such Products.
Termination
If the Customer fails to perform any of the terms of the contract, XTRALIS may, at its option, defer further shipments of Products
and delay the provisions of Services, if any, until such default is made good, or may treat such default as final refusal to accept
further shipments of Products and provisions of Services hereunder and terminate these Terms and Conditions.

Amendment and Waiver
These Terms and Conditions may be amended, modified, or terminated, and any right under these Terms and Conditions may be waived in whole
or in part, only by a writing signed by both parties hereto. Any waiver by the parties of strict conformance with any of these Terms and
Conditions shall not be waiver of subsequent failure to comply with such Terms and Conditions. The failure of either party hereto to enforce any
right under these Terms and Conditions shall not be construed to be a waiver of that right, or of damages caused thereby, or of any other rights
under these Terms and Conditions.
Notices
Notices permitted or required to be given hereunder shall be deemed sufficient if given by personal delivery, telecopy or registered or certified air
mail, postage prepaid, return receipt requested, addressed to the respective addresses of the parties as stated on the purchase or service order
or at such other addresses as the respective parties may designate by like notice from time to time. Notices so given shall be effective on the
date of receipt if sent by personal delivery or telecopy and three (3) business days after the date of dispatch if sent by registered or certified mail.
Severability
All provisions of these Terms and Conditions are severable and it shall be interpreted and enforced as if all completely invalid or unenforceable
provisions were not contained therein and partially valid and enforceable provision shall be enforced to the extent valid and enforceable.
Counterparts
This Agreement may be executed in any number of counterparts, each of which, when executed by both parties to this Agreement shall be
deemed to be an original, and all of which counterparts together shall constitute one and the same instrument. One or more counterparts of this
Agreement may be delivered via facsimile, with the intention that they shall have the same effect as an original counterpart hereof.

Force Majeure
(a) XTRALIS will endeavor to ship Products or provide Services specified in any accepted order but will not be liable for failure to ship any such
Products or provide any such Services because of strikes, differences with workmen, accidents, fires, floods or shutdowns of manufacturing plant
of plants supplying it, order or requirements of the U.S. Government, embargoes, inability to secure transportation facilities, or other
contingencies beyond the control of XTRALIS, including those arising out of or due to national defense activities, or emergency conditions. The
Customers performance, except for the obligation to pay any amounts due and owing or becoming due and owing hereunder, shall likewise be
suspended in the event that the Force Majeure events set forth herein actually and totally prevent taking delivery of the Products.
(b) Upon giving written notice to the other party, a party affected by an event of Force Majeure shall be released without any liability on its part
from the performance of its obligations under these Terms and Conditions, except for the obligation to pay any amounts due and owing or
becoming due and owing hereunder, but only to the extent and only for the period that its performance of such obligations is prevented by the
event of Force Majeure. Such notice shall include a description of the nature of event of Force Majeure and its cause and possible consequences.
The party claiming Force Majeure shall promptly notify the other party of the termination of such event. During the period that the performance
by one of the parties has been suspended by reason of an event of Force Majeure, the other party may likewise suspend the performance of all or
part of its obligations hereunder to the extent that such suspension is commercially reasonable. If the Force Majeure event in question prevails
for a continuous period in excess of six months, either party may terminate these Terms and Conditions by notice in writing effective
immediately.
Governing Law and Venue
(a) The Agreement and the relationship of the parties shall be governed by the laws of the Commonwealth of Massachusetts, excluding its conflict
of laws and choice of law rules.
(b) Both parties hereby agree to submit to the personal jurisdiction of the federal and state courts located in the Commonwealth of
Massachusetts and that the venue of any action required by the Agreement shall be in the designated Federal or State courts located in the
county in Massachusetts where XTRALISs principal place of business is located.

Entire Agreement
These Terms and Conditions, the exhibits hereto and any distribution, services or similar agreement between the parties encompass the entire
agreement of the parties with respecthe subject matter hereof and thereof, and there are no other agreements or understandings, either written
or oral, with respect thereto.
Survival
Sections 3, 4, 5, 6, 11, 12, 13, 15, 16, 17, 18, 19, 22, 23, 24, 25, 27, 29, 30, 31 and 33 of these Terms and Conditions and any remedies for breach
of these Terms and Conditions shall survive any termination or expiration.
Assignment
These Terms and Conditions may not be assigned by either party without the prior consent of the other party (and any attempt to do so will be
void), provided, however, either party may assign these Terms and Conditions to any entity that acquires substantially all of its stock, assets or
business.
Further Assurances
Each party hereto agrees to execute, acknowledge and deliver such further instruments, and to do all such other acts as may be necessary or
appropriate in order to carry out the purposes and intent of these Terms and Conditions.
Relationship of the Parties
Both parties are independent contractors under these Terms and Conditions. Nothing contained in these Terms and Conditions is intended nor is
to be construed so as to constitute XTRALIS and the Customer as partners, agents or joint venturers with respect to these Terms and Conditions.
Neither party hereto shall have any express or implied right or authority to assume or create any obligations on behalf of or in the name of the
other party or to bind the other party to any contract, agreement or undertaking with any third party.
Export Control; Corruption
The Customer shall comply with, and shall, at XTRALISs request, demonstrate such compliance with, the U.S. Foreign Corrupt Practices Act and all
applicable export laws, restrictions, and regulations of any U.S. or foreign agency or authority. The Customer will not export or re - export, or
allow the export or re - export of any Product, technology or information it obtains or learns pursuant to these Terms and Conditions (or any
direct product thereof) in violation of any such law. The Customer shall obtain and bear all expenses relating to any necessary licenses and/or
exemptions with respect to the export from the U.S. of any Product to any location in compliance with all applicable laws and regulations prior to
delivery thereof by XTRALIS.

Provisions of Services; Release
In the event that XTRALIS provides Services to the Customer, the Customer agrees that it will execute the Service Agreement and Release
attached as Exhibit A hereto prior to the provisions of such Services by XTRALIS.
