Policy statement

IZHAR has added new clause in the previously approved procurement policy that is Conflict of
Interest policy. Any sort of Procurement over a worth of Rs. 25,000 within IZHARmust be free from
conflicts of inters that could undesirably influence management judgment, objectivity or loyalty to the
company in conducting IZHAR business activities and assignments. The company recognizes that
employees/Managementrelatives & friendsmay not take part in financial part or business, and other
activities with in IZHAR, and any potential conflict of interest raised by those activities must be
disclosed promptly to management.
Steps to be remembered and adhered:
Avoid personal relationships with all present and future prospectus vendors dealing with company
where parties in the relationship may receive or give unfair advantage or preferential treatment
because of the relationship.
Working with a business outside IZHARresponsibilities that are in competition with any IZHAR
business.
Even the appearance of a conflict of interest can damage an important company interest. In very
rare but unavoidable circumstances, if there are chances of appearance of COI at any level, the
concerned officer must highlight it to the procurement deptt / procurement committee and
management so that its Transactionprocess may be monitored through transparent nursing from
the evaluation stage till the job is executed and paid off.
Accepting a gift that does not meet the standards in the IZHAR Business Gifts and Entertainment
Policy.
Having a direct or indirect financial interest in or a financial relationship with aIZHAR competitor,
supplier or customer.
Taking part in any business decision involving a company that employs your spouse, friend, or
family member.
Using nonpublic information for your personal gain or advantage, or for the gain or advantage of
another, including the purchase or sale in a business IZHAR is interested in acquiring, selling or
otherwise establishing or terminating business relations with.
Investing in an outside business opportunity in which IZHAR has an interest, except for having an
insignificant stock interest in publicly-held companies.
Receiving personal discounts or other benefits from suppliers, service providers or customers that
are not available to all IZHAR employees.
Receiving personal honoraria for services you perform that are closely related to your work.
In some circumstances, starry-eyed relationships with any vendor/supplier may raise compliance
issues under the IZHAR COI Policy.
