THIS MEMORANDUM OF UNDERSTANDING IS MADE AND ENTERED INTO

ON NOVEMBER I2TH.2OO9 BETWEEN:

(l) Diamond Kingdom Group OffShore SAL, Liberty Executive Center, Liberty
Tower, Beirut - Lebanon / Partnering with Dick Tremblay, President / Luxury
Properties, I Oak Court, Pinehurst North Carolina 28374.(Hereinafter known as the
"First Parties" which shall include its successors, affiliates and assigns);

(2) , hereinafter know as "The Owner" of

Manatee Peninsula / 355 acres / 4.4 miles of beachfront in the Dominican Republic.

Whereas

a. The "First Parties" are in the business of sourcing acquisition opportunities

in the luxury real estate market and intends to present this real estate
opportunity to a very select group of wealthy individuals from the Middle
East and Gulf region of the world. This MOU covers the acquisition of

Owners" estate property and compensation for "The Parties".

b. 'oThe Owner" confirms that the "First Parties" (Diamond Kingdom Group
OffShore SAL) has the authorization for the exclusive "Right To Sell" this
properly to buyers in the Middle East & Gulf Region.

THEREFORE the Parties agree as follows:

I. BINDINGNATURE
The provisions of this Memorandum of Understanding are intended to
be legally binding. However, they do no constitute a restriction on any
further terms, conditions or provisions that may be included in a binding
contract to be made between the parties.

2, FEE AGREEMENT

property will be 10% of the selling price and the "First Parties" will
: present the property for sale at a reduced price of $16,500,000. (Firm)

attorney.

LAWS AND ruRISDICTION: This MOU shall be governed for all

purposes by the laws and jurisdiction of the state of North Carolina,
United States of America.
