THIS DEED OF SALE EXECUTED AT CHENNAI ON 19TH DAY OF
MAY 2014 .

Mrs.RUKMANI BALAJI, Daughter of Late.Mr. G.Thirumalai Iyengar and Mrs.
Mathuravalli and wife of Mr.Balaji, Hindu, aged 50 years, (PAN NO.

Chennai 600041. herein after as VENDOR of the FIRST PART:-

Smt. M. DEEPTI (PAN NO. APIPD3246G ) W/o Mr. VIVEK NAIR, Hindu,
aged about 28 years, residing at F10, Dev Apartments , No. 4, Jayaram Street,
Thiruvanmiyur, Chennai 600041, represented by her power agent Mr. S. Mani aged
about 62 years residing at F10, Dev Apartments, No 4, Jayaram Street, Thiruvanmiyur,
Chennai 600041, (vide General Power of Attorney dated 21.09.2012 and registered as
Document No.1415/12 before the Joint-I Sub Registrar, Saidapet, Chennai South)
hereinafter called as the PURCHASER of the OTHER PART. The terms VENDOR
and PURCHASER wherever they occur in these presents and the context so permits shall
mean and include their heirs, executors, administrators, legal representatives, assigns and
successors in office of their respective parts.
WHEREAS the property bearing Plot No.12, Jayaram Nagar, Lay out Approved
by D.T.P. in L.P.D.M.D.D.T.P.No.340/73, Measuring 2220 sq.ft, originally comprised in
Survey Nos.188/1, 188/2 and 188/3, then Survey No.188/1A21, currently comprised in
T.S.No.35, Block No.62 of Thiruvanmiyur Village, Mylapore-Triplicane Taluk, Chennai
District, which is more fully described in the A schedule herein, was originally
Purchased by Mrs. R. Mathuravalli, from Mr. Chandrasekaran and four others through a
Sale Deed dated 27.02.1974, which was registered as Doc. No.706 of 1974, on the file of
SRO Saidapet.
WHEREAS the said Mrs. R. Mathuravalli, who was in possession and enjoyment
of the A Schedule property, died intestate on 26.05.2010, and her husband Mr. G
.Thirumalai, pre-deceased her on 01.03.1988, leaving behind their only daughter namely
Rukmani Balaji, who is the Vendor herein as their only legal heir to succeed her
property.

WHEREAS the VENDOR obtained the patta issued by the Tahsildar, Mylapore
Triplicane taluk dated 26.08.2011 made in No.TR/881/11-12 as can be seen in the

extract from the Town Survey Land Register.
WHEREAS the VENDOR herein has agreed to sell an extent of 454.00 Sq.ft of
undivided share of land in Schedule A mentioned property, more fully described in the
Schedule B hereunder, free of all encumbrances, and for valuable consideration
representing that she has good and marketable title to convey the same and no one else
has any right, title, claim, interest, share or claim over the same. The PURCHASER
herein, based on the representations of the VENDOR herein to be true and bonafide,
agreed to purchase the Schedule B mentioned property free of all encumbrances, for
valuable sale consideration.
NOW THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS
1.

That the total sale consideration for the sale of the schedule B mentioned property

is the sum of Rs.20,43,000/- (Rupees Twenty Lakhs and forty three thousand only) and
the purchaser has agreed to purchase the B schedule property for the total sale price of
Rs.20,43,000/- (Rupees Twenty Lakhs and forty three thousand only) .

That the purchaser has paid on an advance payment of Rs 2,00,000/- (Rupees

Two Lakhs only) by Cheque no. 808979 dated 14/04/2014 drawn on Indian bank Besant
Nagar Branch , in favour of the vendor. The vendor does hereby admit the receipt of the
said advance money from the purchaser.

That the purchaser has now paid the balance of sale consideration of the sum of

Rs.18,43,000 (Rupees Eighteen Lacs and forty three Thousand only) in pursuance of the
above said agreement to the vendor the receipt of which sum the VENDOR doth hereby
admit , acknowledge and release the PURCHASER from further payment thereof the
vendor doth hereby GRANT, CONVEY, TRANSFER, ASSIGN AND SELL the
schedule B mentioned property unto the PURCHASER, BY WAY OF AN
ABSOLUTE SALE, together with all common areas, all right in common with owners of
other undivided shares of the property, described in the schedule A hereunder, lawfully
entitled to enjoy the same and possess the common roads, liberties, privileges,
easements, in anywise appertaining thereto or usually enjoyed therewith or all the right,
title, interest, claim and demand of the VENDOR into and upon the said property hereby
conveyed and every part there of, TO HAVE AND TO HOLD THE SAME, to and unto
the PURCHASER, to be owned, possessed, enjoyed and deal with as her own, absolutely
and forever, free from all encumbrances, without any encumbrances, without any
interruption, objection, claim or demand by the VENDOR or any other person or

persons;
The VENDOR further covenants that she has not done or caused to be done or
knowingly suffered or to done or omitted to do or been party or privy to any act, deed,
transaction or thing in respect of the property hereby conveyed, or any part thereof may
affected, encumbered, or impeached in title, estate, or otherwise;
The VENDOR further covenants that there are no encumbrances, mortgages, charges,
lien, attachment, judgement of courts, municipal or revenue authorities, claims for
maintenance, in respect of the property hereby conveyed;
The VENDOR hereby covenants that the property hereby sold is not the subject matter of
any acquisition proceedings and is not the subject matter of any WILL, GIFT,
SETTLEMENT, ENDOWMENT order or orders, of injunction passed by or undertaking
given to any court of law;
The VENDOR has this day placed the PURCHASER in VACANT POSSESSION the
schedule OF B mentioned property hereby conveyed and the PURCHASER may enter,
occupy and possess and enjoy the same without any let, hindrance, interruption, eviction,
claim or demand whatsoever from or by the VENDOR or from any person or persons
claiming through or under or interest for the VENDOR and the VENDOR has got a
sound and clear title to convey the same;
The VENDOR undertakes to indemnify and keep the PURCHASER indemnified for
ever against any loss, damage or expenses, which the PURCHASER may suffer or incur
or be put to by reason of any defect or flaw in the title of the VENDOR to convey the
schedule B mentioned property;
The VENDOR declares that she has paid all the taxes, rates and other public outgoings,
in respect of the schedule mentioned property, till this date and the PURCHASER shall
be liable to pay the same from this day;
The VENDOR agree with the PURCHASER that she will from time to time and at all
times hereafter and at the REQUEST and COST of the PURCHASER do or cause to be
done, execute and register or cause to be executed and registered all such acts, deeds and
things, rectifications and assurances, that may be necessary for more perfectly and fully
assuring the title of the schedule A mentioned property, as the PURCHASER may
reasonably require;
