1. In this agreement the term Show Management as used herein shall mean Expo Vision, LLC

2. Show Management reserves the right to render all interpretations and to establish further conditions orally or in writing, any additional rule or
regulation as may be deemed necessary for the general success of the Show.

3. Show Management reserves the right to decline, prohibit or expel any exhibit which in its judgment is out of keeping with the theme, character,
and general well-being of the Show, No exhibitor/sponsor shall exhibit in the space not allocated to them. Show Management reserves the right to
rearrange floor plan or relocate any exhibitor as necessary.

4. All displays, interviews, conferences, and distribution of literature of any sort shall be restricted to the exhibitor/sponsors booth. Exhibitor/
sponsors display or product may not extend beyond the limits of the exhibitor's booth and no part of any exhibit or product may extend into any
aisle. All displays, interviews, conferences, and distribution of literature, sales, live models, etc. will be made inside the assigned
exhibitor/sponsor space unless approved in advance by the Management. No Exhibitor may send staff around Exhibit Hall distributing materials
or advertising.

5. Signs, literature, & sales must be restricted to the product(s), or service(s) being displayed at the Show. Any signs or literature other than those
being displayed must be reviewed by Show Management and approval given before display at show.

6. Expo Curtains may not be changed or fully covered by other draping unless authorized by show management.

7. No exhibitor/Sponsor shall assign or sublet any part of his assigned space.

8. Exhibitors/Sponsors are not allowed to sell, distribute or sample any type of food or beverage without the proper clearance from show and/or
exhibition center. Exhibitors/Sponsors must have permits required from necessary state and local government agencies.

9. Should inclement weather force the producer to postpone and reschedule the show, all fees paid will be transferred to the reschedule date. Fees
also will be transferred if for any reason Show Management determines that the location of the Show should be changed or the dates of the Show
changed. No refund will be due to the exhibitor, but Show Management shall assign to the exhibitor in lieu of the original space, such other space
as Show Management deems appropriate. Show Management shall not be responsible for any of exhibitors/sponsors expenses or damages
resulting from such a cancellation or postponement of the exhibit.

10. New York sales taxes must be collected by all retail exhibitors when in the applicable state. Exhibitor/Sponsor shall be responsible for
obtaining any licenses, permits or approvals required under local, state, or federal law applicable to their activity at the exhibition.
Exhibitor/Sponsor shall be responsible for obtaining any tax identification numbers and paying all taxes, license fees or other charges that shall
become due to any governmental authorities at the exhibition.

12. There is a $30.00 charge on all checks received with insufficient funds. Issuer must also pay any fees or fines associated with checks with
insufficient funds.

13. Any exhibitor/sponsor packing early without the consent of Show Management will forfeit future display privileges. All Exhibits must remain
intact until final closing of show

14. Cancellation and Refund Policy: Please note NO REFUNDS UPON CANCELLATION or for ANY REASON When you register
you are making a commitment to exhibit

15. The exhibitor/sponsor hereby agrees to indemnify, defend and protect Show Management and the facility against, and save Show
Management and the facility harmless from, any and all claims, demands, suits, liabilities, damage, loss, costs, attorney fees and expenses of
whatever kind or nature which might arise out of any action or failure to act of the exhibitor or any of its officers, agents, employees, or other
representatives, including but not limited to claims of damage or loss to property or harm or injury to a person or persons. The Total Woman
Expo and Expo Vision, LLC, event producers, are released from any and all claims for damage which might arise in consequence thereof,
including negligence against Show Management, its members or agents or employees, or the sponsors, or the lease or owners of the exhibit
premises for loss, theft, damage or destruction of property, nor any injury to themselves or employees while in the exhibit area. The exhibitor
shall, at no cost to Show Management obtain liability and property damage insurance from responsible insurance companies authorized to sell
this insurance and workers compensation employers liability insurance for their own employees.

16. The conditions set forth herein constitute the entire agreement between the parties under the State of New York laws and may not be
modified, discharged or terminated, except by a written instrument, signed both parties.
