Notice of Special General Meeting and AGM

The BZJFC will hold a Special General Meeting to consider a change to its Constitution on
Monday 21st December at Sumner Park, Alister Street, East Brunswick at 7:30pm and this will
be followed by the Annual General Meeting

All members are encourage to attend however only financial members will be entitled to vote

AGENDA -Special General Meeting

Background- the FFV requires the Club to amend its Constitution in order to participate in next
seasons competition. We have also taken this opportunity to tidy up some sections of the
Constitution. A copy of the Constitution showing the changes will be posted on the web site

That the Constitution be changed as follows-

• Three additional purposes be added to the Statement of Purposes as follows
‘To be a member Club of FFA and to comply with the constitution and by-laws of
FFA and FFV

To prevent infringement of the constitution and by-laws of FFA and FFV and
protect Football from abuse

To co-operate with FFA, FFV and other bodies in the promotion and
development of, or otherwise in relation to, Football, the Statutes and
Regulations and the Laws of the Game’

• That the following be added as Clause 3.5

‘The Club must procure that each Member admitted to membership agrees to be
bound by and observe:

(a) This Constitution;

(b) The Laws of the Game;

(c) The Statutes and Regulations and those of the By-Laws expressed to
apply to or in relation to Members;

(d) The Statutes and Regulations and the constitutions and by-laws of FFA
and FFV as enforced from time to time;

(e) The FFV Codes of Behaviour and Rules of Competition, as amended

from time to time; and

(f) The FFA Code of Conduct, as amended from time to time.’

• That the following be added as Clause 33

‘The Club must-

(1) amend:
(a) this Constitution; or
(b) the By-laws,
 to promptly adopt changes in the constitutions and by-laws of FFA and/or FFV
made from time to time to the extent that they are applicable to the Club. In this
clause the reference to changes to by-laws includes additional or replacement by-
laws

(2) not otherwise amend or vary this Constitution without the consent of FFV and in
accordance with the Act; or

(3) not otherwise amend or vary any of its By-laws without the consent of FFV.’

• that the following be added as Clause 34

‘FFV must consent to any amendment to this Constitution or those By-laws which are
required by law’

• That the following be added as Clause 35

‘FFV shall not withhold any consent unless the amendment or the effect of the amendment is
in breach of the constitutions, by laws or Statutes and Regulations of FFV or FFA as
prescribed from time to time.’

That the following be added to the definitions

“By-law” means a by-law made under this Constitution.
“FFA” means Football Federation Australia Limited ACN 106 478 068.
“FFV” means Football Federation Victoria (FFV) Incorporated.
“Laws of the Game” means the rules of Football referred to in the Statutes and Regulations
“Statutes and Regulations” means the Statutes and Regulations of FIFA in force from time to
time

Clause 4 be replaced by
‘Membership fee, subscriptions or other amounts payable by Members to the Club shall be
determined by the Committee from time to time’

• Replace the word ‘soccer’ with the word ‘football’ in all

occurrences
• Delete the Application form
• Incorporate the already approved amendments at Appendix A in
to the body of the Constitution

Important notices
• If you are unable to attend the AGM and would like to appoint a proxy to vote on your
behalf you must complete the enclosed Form of Appointment of Proxy and return it to The
Secretary, BZJSC, PO Box 795, Brunswick Lower, Vic 3056, no later the 24 hours prior to
the AGM.
• Please consider standing for Committee. There are 6 committee members- 4 Office
holders (President, Vice-President, Treasurer and Secretary) and 2 ordinary committee
members. A description of the role of each member is enclosed. If you would like to nominate
for the Committee please complete the enclosed Nomination Form and return to The
Secretary, BZJSC, PO Box 795, Brunswick Lower, Vic 3056, no later than Monday 14th
December.
• If you would like to help the Club in some other way, other than on the Committee
please consider joining one of the sub-committees.
