Constitution and Bylaws

Article I: Name and Purpose
Section 1. Name
This chapter shall be called Upper Valley Weekend Warriors
Section 2. Purpose
The purpose of the Upper Valley Weekend Warriors is to:
Stimulate public awareness of bass fishing as a major sport;
Support and educate bass anglers in the Upper Valley area;
Improve our skills as bass anglers through a fellowship of friendly exchange of expert bass-
catching techniques and ideas;
Promote and encourage youth and family fishing;
Provide opportunities for our members to participate in progressive levels of competitive
Article II: Membership, Qualifications for Membership and Membership Dues
Section 1. Membership
Any person, sixteen (16) years old or older, meeting the qualification for membership, properly voted
into the chapter, and upon payment of the membership dues shall become a voting Chapter Member of
the chapter.
Section 2. Qualifications for Chapter Membership
To become a voting Chapter Member, a person shall:
Voluntarily express a genuine interest in membership;
Be a member of B.A.S.S;
Be a member of the state B.A.S.S. Nation;
Be recommended by two members;
Be voted on by membership. Vote shall be by secret ballot and affirmation shall be unanimous.
Be 16 years of age.
Section 3. Friends of the Upper Valley Weekend Warriors
Family and friends of voting Chapter Members who meet the following criteria may become honorary
members of the chapter. Honorary members do not pay affiliation dues, may not vote on chapter
matters and cannot participate in Chapter Member-only activities.
To become an honorary member, a person shall:
Voluntarily express a genuine interest in membership.

Be recommended by two members;
Be voted on by membership.
Section 4. Membership Dues
Membership dues include annual chapter dues and chapter affiliation dues. To be a voting Chapter
Member in good standing, all membership dues must be paid.
Chapter Members must pay annual chapter dues which are determined by a vote of the
membership at a regular meeting prior to December.
Chapter Members must also pay chapter affiliation dues, which can vary each year. Affiliations
may require full, partial or percentage chapter member participation. Affiliations may require
dues for region, state and national levels. Affiliations may require certain organization
memberships as a prerequisite before payment of dues. Chapter members must qualify for such
memberships and keep affiliation requirements current during a calendar year.
The chapter secretary-treasurer collects membership dues from current chapter members
during the monthly business meeting in December each year to cover the next calendar year.
After that, new prospective members must pay all membership dues to the chapter secretary-
treasurer at a monthly chapter business meeting.
If a new chapter affiliation is approved during a calendar year, adjusted membership dues are
paid by members before the end of the next monthly chapter business meeting.
Section 5. Number of Chapter Members
The chapter shall begin with and maintain at least six Chapter Members. The maximum number of
Chapter Members will be twenty four i.e. twelve boaters and twelve non-boaters.
ARTICLE III: Officers, Elections, Vacancies, and Eligibility
Officers shall conduct the affairs of the Chapter in a manner consistent with these Bylaws. The State
B.A.S.S. Nation Board of Directors is required to be comprised of members who are free to serve the
State and its members without a conflict of interest. Any State Board Member or State Officer, or an
employee of any other B.A.S.S. federation type organization will not be permitted to hold an office
within the B.A.S.S. Nation at any level.
Section 1. Officers and their Duties
The officers of the chapter shall consist of:
o Preside over all meetings and direct all official business. Appoint and be an ex officio
member of all committees. Supervise all chapter functions.

o Act as program chairman, assist the president in his/her duties and preside in the
absence of the president.
o Maintain accurate minutes of all regular and special meetings as called for by the
chapter president. Collect and disburse all monies. Maintain accurate financial records

and present a current balance report at each regular meeting. Prepare an annual audit
for review by the chapter board of directors.
Section 2. Elections
The election of officers shall be held annually at a regular meeting during the month of December.
Election shall be by simple majority of members present. Election for each officer shall be held
separately in the order listed in ARTICLE III, Section 1.
Section 3. Eligibility of Vote
Each member is entitled to one vote. Proxy votes are not permitted.
Section 4. Term of Office
The term of office is for one year, which shall begin on January 1 and end on the last meeting day of
December or until the successor assumes office.
Section 5. Vacancies
In the event of an office becoming vacant, nominations shall be asked for and an election held to fill the
unexpired term of the individual vacating the office. National B.A.S.S. headquarters shall be notified
immediately of the change of any officers.
Section 6. Eligibility for Holding Office
To be eligible for an office a member must:
Have been a voting Chapter Member for six months. (Six months requirement waived during
first 12 months of chapter existence.)
Have attended at least 75% of the chapter meetings and 75% of chapter functions during a 12
month period.
Have shown an active interest in all chapter functions.
Maintain current B.A.S.S. membership.
ARTICLE IV: Committees
The Board of Directors and the Tournament committee will be the only standing committees. All other
committees will be formed on an "as needed" basis. Committee members will serve for one year or until
a new committee is appointed. The terms of the committee members will coincide with that of the
president. All committees will have a chairman.
Board of Directors
o The board of directors will consist of seven voting Chapter Members: president, vice
president, secretary-treasurer, and four members elected at large by majority vote of
the members present at the December regular meeting.
o The president will call all meetings of the board of directors and preside at such

o The board will rule on all tournament rules infractions, chapter bylaws violations and
all protests when appropriately received.

o The board will develop agendas for regular meetings.
Tournament Committee
o The purpose of the tournament committee shall be to plan, organize and operate all
chapter tournaments. The tournament committee will draft tournament rules, which
must then be approved by the general membership. The committee will keep
tournament records, enforce all tournament rules, and investigate all protests
concerning tournaments and make recommendations to the board of directors.
ARTICLE IV: Removal of Membership
Section 1. Removal of Membership
A member may be dropped from the membership roll for the following reasons:
Failure to pay dues,
Any action which would reflect dishonor and disgrace on the club.
ARTICLE V: Amending the Bylaws
The bylaws may be amended at a regular club meeting by a majority vote of the members present. All
effort will be made to notify membership of proposed bylaw changes in advance of regular club

ARTICLE VI: Affiliation
Section 1. Requirements for Affiliation
Approval of chapter charter by B.A.S.S..
Update B.A.S.S. with chapter membership roster once each year. Annual update cycle begins
each year on Nov. 1.
Names and addresses of new members joining the chapter during the year must be submitted
online to B.A.S.S. as they occur.
Maintain 100% B.A.S.S. membership.
Must affiliate with the state Nation and support its conservation and youth programs. Any
additional requirements that the state establishes for chapters, such as membership, dues,
attendance at meetings, etc., would be necessary for the chapter to participate in the state
qualifying tournament(s) and any other Nation sponsored tournaments or events.
