PRIVATE AGREEMENT

In (NAME OF TOWN), today the 10
th
of July XXXX, the following
signatories

1) AAA, resident of (NAME OF TOWN), and
2) BBB, resident of (NAME OF TOWN)

agree as follows:

The first of the parties (AAA), hereinafter referred to as Owner, has
exclusive possession, ownership and control of the following olive
grove plots:

1) -------------- Plot with (31) thirty-one olive trees
2) -------------- Plot with (21) twenty-one olive trees
3) -------------- Plot with (23) twenty-three olive trees
4) -------------- Plot with (31) thirty-one olive trees
5) -------------- Plot with (31) thirty-one olive trees
6) -------------- Plot with (115) one hundred and fifteen olive trees
7) -------------- Plot with (44) forty-four olive trees
8) -------------- Plot with (14) fourteen olive trees
9) -------------- Plot with (26) twenty-six olive trees
10) ------------- Plot with (120) one hundred and twenty olive trees
11) ------------- Plot with (45) fourty-five trees
12) ------------- Plot with (13) thirteen olive trees

TOTAL: (514) five hundred and fourteen olive trees

It is agreed that the Owner shall rent out the above-mentioned olive
grove plots to the second party (BBB), hereinafter referred to as
Renter, in accordance with the following terms and conditions:

a) The Renter will pay the annual sum of XXXX Euros to the Owner
on the 1
st
of April of every year, for the first three years. Before the 20
th

of September of XXXX, the parties will jointly agree on the rent price
for the upcoming three years and will sign a new agreement.

b) The Renter shall be entitled to collect all grants and subsidies
approved for the above-mentioned olive grove plots from the
competent bodies of Greece and the European Union.

c) The Renter shall bear the cost of the entire cultivation process
(cleaning, pruning, irrigation, fertilization and plowing) of the above-
mentioned olive grove plots in accordance with the established
Agricultural practices. The parties especially agree that the pruning will
be conservative, including periodic trimming without the removal of
large, main branches. If absolutely necessary, removal of main
branches will only be permitted after the Owners direct consent or the
consent of a third party authorized by the Owner.

d) The terms and conditions of this agreement shall be in effect for
seven (7) years, starting the 1
st
of July XXXX and ending in June of
XXXX regarding all of the above-mentioned olive grove plots. After the
30
th
of June XXXX, the rental of the olive grove plots may be extended
for an equal, shorter or longer period of time only after a new
agreement is reached between the two parties.

The present agreement hereby dissolves the previous agreement that
was signed by both parties on the 30
th
of July XXXX which concerned
the rental of the same above-mentioned olive grove plots.
