General Notes, Terms & Conditions:
----------------------------------
1- Quotation Validity: A quotation/proposal is valid for a period of 30 days from quotation date.
2-Payment Terms:
___a. Full Payment is due if full on confirmation of order
___b. Payments shall be made via bank transfer to the nominated or by check and ITT is only responsible for local charges, other bank charges
including intermediary charges must not be deducted from payment.
3- Goods Origin: Products will be originating from manufacturer warehouses or sellers warehouses that are located globally & in different
geographical locations. Goods origin will default to stock availability, and as stated in the quotation agreed to by the buyer and forming part of the
contract between Innovation Tower Trading (ITT) (the Supplier) together with the buyers purchase order and these terms and conditions (the
Quotation). Where applicable and if a specific origin is selected, then it must be clearly requested upon placing an order and it is only binding if
listed in the sales order & invoices. Any subsequent changes to the origin will not be possible.
4- Lead time: lead time can be confirmed only after ITT receiving the final purchase order in writing & the confirmation of the deposit of first
payment from the buyer. Lead time will vary, and it is dependent on the products category in the order & the model as well as the manufacturing
delay (not including shipping time).Product that is subject to export license approval may experience additional delay that is beyond the control of
the seller, it is the responsibility of the buyer to provide all the necessary information & documents to the seller to complete the forms required for
the export license application. Until such time the export license is granted to the end-user, the order will be considered under processing and is
considered as extinction to the lead time with no fault on the seller.
5- Pricing: The Purchase price for Products shall be as set forth in the Quotation. Shipping of the product is NOT included in the unit price and is
the responsibility of the buyer unless otherwise stated & is listed as a separate line item in the Quotation. Local taxes, duties or insurance, unless
expressly otherwise stated, such costs are the responsibility of the Buyer
6- Title and risk: The risk and title in products delivered to Buyer shall pass to the Buyer on Final Acceptance
7- Site Preparation: electrical requirements for product installation/operation and civil works required for product installation/operation are the
responsibility of the buyer unless specifically listed as a separate line item in the Quotation. Where applicable, on-site installation, commissioning
and basic operator training may be included in our offer.
8- Warranty & Maintenance: The buyers sole remedy in respect of defective fully assembled Products is a standard 12 months (1 year) parts only
warranty and the buyers sole remedy in respect of defective Spare Parts is a standard 3 months warranty. The product must be installed and
maintained by ITT authorized engineers for any warranty to be valid. The Factory warranty (where applicable) covers the manufacturing defects as
parts only, the warranty does not cover labor cost or annual maintenance and breakdown call outs. In addition starting from the first year an
optional annual maintenance including emergency breakdown can be offered by ITT as well as extended parts warranty beyond the first year
warranty could be available as an option.
9- Principals: This contract for the sale of equipment, the license of software and/or the provision of services (collectively "Products) by Innovation
Tower Trading ITT". Any additional or different terms, including terms in any purchase order, will be of no effect unless expressly accepted in
writing by ITT. All quotations are subject to confirmation by ITT on receipt of Buyer's finalized order. No cancellation, suspension or variation of any
order shall be effective unless accepted by ITT in writing. All sales are final and no refund or exchange will be offered if buyers cancel full or part of
an order unless accepted by ITT.
10- Delivery: Delivery of the products to Buyer is subject to ITT availability schedule and shall use reasonable endeavors to meet the delivery dates
set forth herein, ITT accepts no liability for failure to do so or for any delays occasioned by strikes, lockouts, trade disputes or other labor troubles,
non-availability of materials, default of sub-contractors, war, riot, restraint of Government, fire, accident, stoppage or interference with transport, or
other contingencies beyond ITT control nor shall such failure be deemed to be a breach of the Agreement. ITT is not responsible for any damages
to the good during the shipping and the storage if the client did not obtain the insurance needed to cover the goods.
11- Goods Acceptance: buyer shall upon receipt of the Products, without delay and using due diligence, examine the Products as to their quality
and quantity. The Products shall be deemed to have been received in agreed quantity and without apparent damage unless Buyer notifies ITT in
writing to the contrary within a period of five (5) working days from the receipt of the Products.
12- Where applicable, it is the buyer responsibility to obtain import license & local approval as well as support ITT by providing all supporting
document requested by ITT & the local authorities in order to obtain local import licenses approval & Iraqi Radioactive Sources Regulatory authority
approvals, any delay caused by this process or in providing the support needed from the buyer will not be considered as a fault on ITT.
