Purpose of this agreement

MONDIAL concluded from February 2012 an agreement with MSC which implies the offer of a Service
Activated Road Assistance (SARA) for inspected and used vehicles such as an additional Road Assistance
product including accident and pilot error.

According to the mentioned agreement between MONDIAL and MSC, Mondial has to conclude a frame
agreement which has to be signed by Suzuki dealers.

The assistance for SARA will be included for every inspected vehicle; the assistance for SARA upgrade and the
assistance for new vehicles upgrade will be sold optionally.

Additionally to the present contract between MSC and MONDIAL following articles should be defined:


Article 1
(SERVICE FEE)

1. For rendering services to MSC, MONDIAL shall receive a service fee per vehicle based on sold or Service
activated cars registered by the dealers on the Dealer Portal.
The web-based Dealer Portal will be provided in local language by MONDIAL, the dealer-specific logins
and passwords will be sent out by MONDIAL. The portal will be developed by MONDIAL, in co-
operation with MSC.

The service fee shall be:

A. 3,82 Euro net (not containing the ever effective Austrian VAT) per each service activated vehicle
B. 1,00 Euro (not containing the ever effective Austrian VAT) per each vehicle with additional accident
coverage for New cars
C. 1,00 Euro (not containing the ever effective Austrian VAT) per each vehicle with additional accident
coverage for SARA cars

The service fee is linked to the Austrian Consumer Index VPI 1996 and shall be adapted every year on the
1.1.XX., first time on the 1.1.2013.

2. The agreed service fees shall cover all incurred costs including telephone costs regarding MONDIALs own
assistance activity rendered regarding the assistance service which Suzuki renders to their customers.

3. Both service fees defined under Section 1.1 A. and B. shall be paid by the SUZUKI dealer. MONDIAL will
charge monthly SUZUKI dealers separately. The charges will be due for payment within 14 days net; in case
of a payment delay MONDIAL is entitled to invoice a default interest rate of 1%.

4. This agreement shall be valid for the following countries: Hungary, Romania, Croatia and Slovakia.

Article 2
(COVERAGE)



1. The definition of coverage:

A. SARA Product
The coverage for the SARA product shall be equal to the existing new car assistance program.
SARA product is valid from the expiration date of the new car assistance program until the vehicle
becomes 10 years old.

B. SARA Upgrade
The coverage for the SARA Upgrade should be:

MONDIAL shall organise the towing of the Vehicle to the SUZUKI selling dealer. If the distance
between the selling dealer and the place of accident will be more than 200km, MONDIAL will organise
the towing to the nearest Authorized Suzuki Service Workshop.


Events covered: Traffic accident and Pilot Error.
If the Vehicle needs to be kept in safe storage overnight while awaiting recovery, MONDIAL shall
organize it and pay the costs and expenses for the storage, up to a maximum value of 20 Euro.
MONDIAL shall further organize the transportation of any trailer or caravan (standard 50 mm tow ball)
being towed by the Vehicle to the same place.
MONDIAL shall provide its services in case of breakdown caused by Pilot Error. This extension covers
Key, Fuel, Battery, Tire problems and Traffic Accidents, even if they could have been prevented by the
driver of the vehicle.
C. New Car Upgrade
The coverage for the New Car Upgrade should be:

MONDIAL shall organise the towing of the Vehicle to the SUZUKI selling dealer. If the distance
between the selling dealer and the place of accident will be more than 200km, MONDIAL will organise
the towing to the nearest Authorized Suzuki Service Workshop.

The coverage duration shall be:
A. SARA Product
The coverage duration will be from Service to Service but maximum 12 months.
B. SARA upgrade
The coverage duration will be 12 Months.
C. New car upgrade
The coverage duration will be 12 Months.

Article 3
(Anti Corruption Clause)


The Parties shall not commit, authorize or permit any action which would cause the Parties and/or the
Parties affiliates to be in violation of any applicable anti-bribery laws or regulations. This obligation
applies in particular to illegitimate payments to government officials, representatives of public authorities
or their associates, families or close friends.
Each Party agrees that it will neither offer or give, or agree to give, to any employee, representative or
third party acting on behalf of the other Party nor accept, or agree to accept from any employee,
representative or third party acting on behalf of the other Party, any gift or benefit, be it monetary or
other, that the recipient is not legally entitled to with regard to the negotiation, conclusion or the
performance of this Agreement.
The Parties shall promptly notify each other, if they become aware of or have specific suspicion of any
corruption with regard to the negotiation, conclusion or the performance of this Agreement.

Article 4
(Applicable legislation)

It is hereby agreed that this Agreement shall be governed by Hungarian law and that the Hungarian
Courts exclusively will have jurisdiction in any dispute arising hereunder.
All disputes arising from, and in connection with this contract, including also any question regarding its
existence, validity, breach or termination, and regarding also the legal consequences thereof, shall be
finally settled by the competent court in Hungary.

Article 5
(Duration and notice period)

This Agreement shall take effect from the signing date on for an undetermined period.

This contract can be cancelled by any of the two parties, within 90 days registered written prior notice.

In case of a cancellation of the SARA and SARA Upgrade agreement between MSC (Magyar Suzuki
Corporation Ltd) and MONDIAL, the present agreement between Mondial and Dealer will be also
cancelled automatically.

In case of termination or cancellation (established on any reason) of sales or service agreements between
MSC (Magyar Suzuki Corporation Ltd) and the signing dealer, the present agreement between Mondial
and Dealer will be also cancelled automatically.
