ensuring that the Company,s financial statements are true and fair and other-ise conform -ith

ensuring that the Company adheres to high standards of ethics and corporate beha"iour0 and
ensuring that the Company has appropriate ris1 management2regulatory compliance policies in

All directors are expected to ta1e decisions ob3ecti"ely in the interests of the Company* +he board as a
-hole is collecti"ely responsible for the success of the Company* All directors& -hether non$executi"e
or executi"e& ha"e the same general legal responsibilities*

+he board normally holds meetings as the occasion re4uires* Meetings usually ta1e place at the
Company,s registered office in Amritsar* +he duration of each meeting typically runs to half a day*

ensure that you are in a position to ma1e the necessary o"erall time commitment*
Remunera$ion
+he board determines the le"el of remuneration paid to its non$executi"e members -ithin any
limitations imposed by shareholders*
+he Company -ill reimburse you for all direct and indirect expenses such as 5hone calls&
accommodation and tra"elling expenses& reasonably and properly incurred and documented*

+he performances of the board as a -hole and indi"idual directors are e"aluated annually* If& in the
meantime& there are any matters -hich cause you concern about your role you should discuss them
-ith the Chairman of the board as soon as appropriate*

appointment is not in conflict -ith the Company,s business and does not materially interfere -ith their
performance as a director of the Company* All other appointments must first be discussed -ith the
Chairman before being accepted*
