Project Execution Requirements

Sterlite would like to use additional 15 licenses of PIRS for their copper expansion
plant project and other projects.

Scope of Work
The scope of work covers the following activities
• PIRS Software
• PIRS Operations

SOBIS provides the following services

PIRS Software (annual basis)

Includes:
• Software Template
• Maintenance of the templates: Upgrade and Updates
• Documentation for Users
• Software fixes, corrections, corrections to documentation

PIRS Operations (annual basis)

This includes Implementation, Training, and second level support:
• Meetings with Business to standardize filing structure and keywords
• Mapping of Key Processes in handling Internal and External Documents
• Set up of Filing Structures, Keywords in the database
• Setup of Rollout Structure
• Training for Project Managers
• Training for Users
• Helpdesk Support for Key Users (Mail / Hotline)
• Trouble shooting requiring access to the PIRS databases
• Parameterization of the PIRS applications
• Redesign of Templates per database
• Migration of data during redesign
• Advanced Training for Users
• Advanced Training for Project Manager

Customization

 Any Sterlite specific modifications (change in design or integration with SQL

and / or ERPs like SAP etc) requested by Users involving another upgrade of
the PIRS software in addition to the yearly upgrade will be subject to a
separate contract between Sterlite and SOBIS.

Optional services

• Optional: Installation/Implementation of Incoming/Outgoing Fax-Software

• Project or Company Specific Modifications (e.g. Further Development or
Changes based on fixed price or on hourly rate)

Out of Scope

The following does not form part of the proposed system

 Integration of PIRS with other existing system at Sterlite to write the data
back to the system.
 SOBIS is not responsible for the Content / Data stored within Software,
Solutions provided by SOBIS. This also applies to 3rd Parties using the
Software during course of a Project.

Intellectual Property

• All Software Code, Business Logic, Documentation included in PIRS and all
future Software Releases are the property of SOBIS and may not be used
without permission of SOBIS

Commercials
PIRS Licensing

PIRS licensing is based on number of users residing on the same domino domain /
server (irrespective of number of projects). The license fee per annum is as follows

Annual Fee for

15 additional users *
(15th Jan 2010 – 30th April 2010)
Software Rs. 26,250/-
Operations Rs. 04,375/-
* - Irrespective of number of projects

Terms & Condition

 All taxes extra as applicable at the time of billing.

 Current Tax Structure as on 20 March 2009
o Software – CST 2% against Form C or 4% with out Form C
o Operations – 10% Service Tax + 3% Cess on Service Tax
 Payment Terms
o Software billed on Purchase Order, thereafter at the beginning of each
contract year, to be paid with in 15 days from the date of receipt of
Invoice.
o Operations billed one month before the end of each contract year, to
be paid with in 30 days from the date of receipt of invoice.
 The above special prices are valid for Sterlite, Tuticorin only.
 The above price is applicable for a pack of additional 15 users irrespective of
Sterlite utilizing all the 15 licenses or not.
 Sterlite should not disclose the above prices to any other company with in or
outside Sterlite.
 All payments & PO should be issued in the name of “SOBIS Teksoft Pvt. Ltd.,
Bangalore”
 All travel (II AC From Bangalore to Tuticorin) & boarding charges during
implementation and operations support should be borne by Sterlite.
