MISSION

The mission of ClearWay Minnesota is to enhance life for all Minnesotans by reducing tobacco use and
secondhand smoke exposure through research, action and collaboration.

HISTORY

In 1994, the state of Minnesota and Blue Cross and Blue Shield of Minnesota brought a lawsuit
against the tobacco companies. The suit accused the industry of deceiving Minnesotans about the
harmful nature of their products. In 1998, the tobacco companies settled, and the Ramsey County
District Court approved the states plan to administer 3 percent of the $6.1 billion settlement through
a new independent nonprofit tobacco control organization: ClearWay Minnesota.

ClearWay Minnesota works to reduce tobaccos harm throughout the state, and the organization is a
leader in smoking cessation, research, media and other areas. Since 1998, ClearWay Minnesotas
efforts have:

Helped to reduce smoking in Minnesota from 22 to 16 percent;
Provided more than 100,000 Minnesotans with quit-smoking services;
Advanced health policies including the Freedom to Breathe Act and tobacco price increases;
Broken ground in research;
Formed partnerships within diverse communities to reduce tobaccos burden; and
Created many innovative programs.

ClearWay Minnesota has a limited lifespan of 25 years.

AREAS OF FOCUS

Tobacco Cessation. In 2001, ClearWay Minnesota launched its free tobacco cessation program,
QUITPLAN Services. The program combines counseling, medication and community to help any
Minnesota tobacco user quit. Today, QUITPLAN Services include free access to text messages, email
support, a downloadable quit guide and free starter kits, which provide a two-week supply of
nicotine patches, gum or lozenges to help tobacco users quit. Tobacco users can now also speak to a
quit coach through the QUITPLAN Helpline 24 hours a day, seven days a week, for support and help
quitting.

QUITPLAN Services uses an aggressive media campaign featuring powerful ads that educate about
tobaccos harms and motivate smokers to quit. The program also features the QuitCash Challenge
TM
,
which consists of several contests to motivate Minnesotans to quit using tobacco with a chance to
win cash prizes.

Since the program began in 2001, QUITPLAN Services has provided more than 100,000 Minnesotans
with tools to quit using tobacco.

Research shows that while 94 percent of smokers are asked about smoking by their doctor, fewer
than half are referred to quitting help. For this reason, in addition to providing individual cessation
services, ClearWay Minnesota also works to improve the way tobacco use is addressed by health
care systems, community organizations and insurers. The organization funds health care systems to
make sure that asking about and (as appropriate) treating tobacco use is part of every patients
health care experience. In order to connect more low-income smokers to quitting help, ClearWay
Minnesota also partners with public programs and community organizations to help them address
tobacco use with their clients. Finally, the organization is working to ensure that quitting help, such
as medications and counseling, are covered benefits for all Minnesotans through their insurance.

Policy. ClearWay Minnesota supports public policies that help reduce tobaccos harm in Minnesota,
both at the state and local level. Public policy strategies are important, as they touch the lives of
everyone in a community, and have the power to improve health on a large scale. Science proves
that public policy changes, like passing smoke-free laws and increasing tobacco prices, are among
the most effective ways to prevent kids from using tobacco and to motivate existing users to quit. In
Minnesota, research shows price increases ,smoke-free air policies and our mass media campaigns
have been the top drivers of smoking declines over the past two decades.

In 2014, ClearWay Minnesota worked to support two statewide policy proposals that have been
signed into law by Governor Dayton. The new policies require foster homes in Minnesota to be
smoke-free environments, and create some restrictions around the sales and use of e-cigarettes. In
the previous year, ClearWay Minnesota's efforts led to Governor Dayton signing a new law raising
the price of cigarettes by $1.60 per pack, the largest tobacco price increase in state history. After the
tax went into effect, calls to QUITPLAN Services increased by 250 percent. The price increase is also
projected to:

Prevent more than 47,000 kids from smoking;
Save more than 25,000 Minnesotans from tobacco-related deaths;
Help more than 36,000 smokers quit; and
Save $1.65 billion in long-term health care costs.

In addition to statewide work, ClearWay Minnesota also partners with organizations working to
advance tobacco control policies at the local level around the state. Grant funding from ClearWay
Minnesota allows them to engage in activities specifically aimed at reducing the harm tobacco
causes the people of their communities.

Research. Science is at the heart of ClearWay Minnesotas work. All activities are based in established
or promising research findings, and the organization works to create new knowledge that will
translate into solutions that reduce the burden of tobacco use in Minnesota.

From inception through June 30, 2014, ClearWay Minnesota has funded $28 million in research grants
and contracts. Current grants focus on topics including cessation among African American smokers,
various smoke-free policies, and secondhand smoke exposure among children. A number of this
years grants examine the issue of menthol, a flavoring additive in tobacco. Menthol cigarettes
increase smoking initiation among youth, may deter quit attempts among current smokers, and are
marketed disproportionately to minority communities.

Another major research initiative is the Minnesota Adult Tobacco Survey, or MATS. Every three years,
ClearWay Minnesota produces this report on tobacco behaviors and attitudes in Minnesota the
most thorough and accurate source of information about tobacco use in the state. The last MATS
survey found declining smoking and secondhand smoke exposure rates, and a new report will be
released this year.

Diverse Communities. ClearWay Minnesota works to engage members of Minnesotas diverse
communities in work to reduce the harm that commercial tobacco causes them. (Commercial
tobacco means manufactured products such as cigarettes, not the sacred, traditional uses of
tobacco by American Indians and other groups.) These populations have higher prevalence of
tobacco use, are disproportionately harmed by tobacco, are less likely to use cessation services
and/or are targeted by the tobacco industry.

Major programs include the Leadership and Advocacy Institute to Advance Minnesotas Parity for
Priority Populations (LAAMPP Institute), a project that trains leaders from diverse populations to
explore tobacco control ideas. Fellows and alumni from the LAAMPP Institute have worked to
improve health equity in Minnesota, have pursued innovative projects within their own communities
and have testified at the Legislature in support of policy proposals that would reduce tobaccos
harm.

ClearWay Minnesota also supports Minnesotas American Indian Nations in their efforts to create
commercial tobacco-free tribal lands. The organization awards grant funding to several reservations
working to advance such policies.

Media. ClearWay Minnesotas award-winning media campaigns raise awareness of tobaccos harms
and the costs all Minnesotans pay for tobacco use. Working with a cutting-edge advertising agency,
the organization creates memorable ads that promote QUITPLAN Services and raise awareness
about the continuing harm of tobacco in Minnesota.

PLANNING FOR THE FUTURE

ClearWay Minnesotas work is directed by three Legacy Goals, which set specific targets to reach by
2023, the end of the organizations limited lifespan:

The prevalence of smoking among adult Minnesotans will have declined to less than 9
percent by 2023.
Less than 5 percent of nonsmoking adult Minnesotans will be exposed to secondhand smoke
in any location by 2023.
One hundred percent of Minnesota smokers will have access to comprehensive tobacco
dependence treatment by 2023.

ClearWay Minnesota also uses shorter-term strategic plans to guide its work. The current three-year
plan sets goals in four strategic areas, but also is flexible to allow the Board and staff to respond to
emergent opportunities as they develop.

Policy: Support policies that reduce tobacco use and exposure to secondhand smoke.
Goal 1: Advance policies that reduce access to tobacco products, especially for youth.
Goal 2: Advance policies that protect people from secondhand smoke.
Goal 3: Advance commercial tobacco-free policies on tribal lands.
Goal 4: Advance policies to increase access to comprehensive tobacco dependence treatment.

Quitting: Support Minnesotans in quitting tobacco use.
Goal 1: Work to make addressing tobacco use standard practice in health care.
Goal 2: Increase use of cessation services, including QUITPLAN services.
Goal 3: Increase quit attempts among populations with the highest rates of tobacco use.

Environment: Create an environment that supports a tobacco-free future for Minnesotans.
Goal 1: Influence public attitudes and behaviors to make tobacco use less acceptable among all
Minnesotans.
Goal 2: Create an environment that provides more opportunity, support and motivation for
people to quit tobacco use.
Goal 3: Foster the development and implementation of innovative ideas that advance progress
toward ClearWay Minnesota's Legacy Goals.

Planning: Plan for ClearWay Minnesota's limited life.
Goal 1: Advance programs that reduce tobacco-related health disparities and increase health
equity around tobacco for all Minnesotans.
Goal 2: Build capacity for tobacco control leadership in priority populations.
Goal 3: Develop and sustain partnerships to support innovations that reduce tobacco's harm.
Goal 4: Increase public and private resources dedicated to reducing tobacco's harm in
Minnesota.
Goal 5: Facilitate planning the future of tobacco control efforts in Minnesota with strategic
partners.

ORGANIZATIONAL CULTURE

Staff members at ClearWay Minnesota describe the organizational culture as collaborative, team-

PRESENTING THE POSITION OF CHIEF FINANCIAL OFFICER

This position is responsible for the direct management of the finance and accounting, investments,
compliance and reporting functions, and oversight of the human resources, information technology
and administrative functions of ClearWay Minnesota. The Chief Financial Officer is a member of the
Executive Management Team (EMT), which consist of the Chief Executive Officer and the two Vice
Presidents. The EMT is responsible for general oversight and operations of the organization and
implementing and communicating ClearWay Minnesota's vision and strategic plan. The Chief
Financial Officer shall report to, and be subject to the direction of, the Chief Executive Officer.

Strategy and Planning
Work with the Chief Executive Officer to establish appropriate annual, midterm, and long-
term financial objectives and plans that meet the needs of ClearWay Minnesota.
Manage investment accounting and tracking. Develop various financial forecasts, modeling
and long-term planning activities. Update these annually.
Support the Vice Presidents in the annual planning and budget cycle and assist Department
Directors in completing their budgets.
Provide counsel as part of the EMT on annual and long-term budgets.

Finance and Accounting
Maintain and oversee the day-to-day financial and accounting operations of the organization,
ensuring that appropriate systems are in place to maintain effective internal controls for the
organization.
Maintain an internal reporting system and account structure that ensures proper disclosure
and accountability for all financial activities.
Oversee cash flow management through:
o the use of projections of cash receipts and cash disbursements,
o maintaining adequate cash balances to meet financial obligations,
o assuring appropriate resources for program spending needs,
o monitoring, at all levels, expenditures to ensure compliance with ClearWay Minnesotas
fiscal policies and Board-approved budget.
Oversee appropriate financial due diligence on grant applicants and on the financial
monitoring of grantees.
In conjunction with the Vice President, Director of Public Affairs and other staff, oversee the
management of accurate reporting of lobbying expenditures to state and federal entities.

Institutional Investing
In conjunction with the Audit/Finance Committee and the Investment Advisory Committee, manage
ClearWay Minnesota's investments including:
Rebalance investments at least semi-annually including investment liquidations to meet
operating needs.
Periodically conduct investment consultant requests for proposal, lead the selection process;
oversee the hiring and management the investment consultant.
Develop an effective asset allocation and investment policy for recommendation to the CEO,
Investment Advisory Committee and the Audit Finance Committee.
Monitor and review investment consultant and manager performance reports for
compliance with established performance benchmarks and investment policy.
Provide timely and accurate reports as required by the Board, Board Committees and Chief
Executive Officer.
Develop and maintain relationships with investment professionals. Act as the liaison with
ClearWay Minnesota's investment consultant, investment managers and custodian bank.
Implement Audit/Finance Committee and Board decisions.

Compliance and Reporting
Serve as staff liaison to the Audit/Finance Committee and the Investment Advisory
Committee of the Board of Directors. Provide accurate and timely information to committee
members and participate actively in meetings.
Assist as appropriate the Audit/Finance Committee with the selection of ClearWay
Minnesota's independent financial accounting firm.
Serve as ClearWay Minnesota's primary liaison with financial and legislative auditors.
Oversee the preparation for the annual audit and tax return.
Prepare the financial section of the annual report.
Develop and maintain professional relationships with the financial auditing firm and
legislative auditor.
Manage ClearWay Minnesotas financial risk; ensuring adequate insurance coverage to
protect ClearWay Minnesotas assets.
Establish and maintain professional relationships with financial institutions and related
businesses as necessary.
Hire and supervise accounting staff, Administrative Assistant, and IT/Office Manager.
Oversee the management of compliance requirements such as annual filing with the State of
Minnesota, postal regulations and other nonprofit issues.
Ensure payroll reports and tax filings are prepared and filed on a timely basis.

Human Resources/Administration
Oversee annual review of salary ranges and budgeted salary increases, working through the
Executive/Governance Committee.
Develop and oversee personnel and payroll systems.
Oversee Employee Handbook, updating and clarifying when needed.
Oversee all employee benefits programs and analysis.
Oversee management of all information technology systems including the selection
implementation and maintenance of all computer software, hardware and peripheral
equipment.
Oversee development, testing and improvement of the accounting and granting software
program.
Oversee ClearWay Minnesota's facilities to include:
o locating office space when required;
o negotiating leases and acting as liaison with building management;
o maintaining office furnishings.
Provide financial counsel as it relates to contract negotiations.
Perform other duties that may be requested by the Chief Executive Officer.

DESIRED QUALIFICATIONS:

Education:
An undergraduate degree in finance, accounting or business administration is required; an advanced
degree and/or CPA designation is preferred.

Experience:
This position requires ten or more years of experience working in a multi-faceted organization, with
significant experience in the following areas:
Nonprofit accounting and management.
Finance, accounting, institutional investments and business management.
Departmental or company management.
Awarding grants and monitoring of financial reports.
Oversight of an institutional investment program.
Strategic and financial planning.
Human Resources experience preferred.

Important Skills and Characteristics:
This executive position requires exceptional interpersonal and communication skills, including the

8 political appointees.

PRESENTING THE TWIN CITIES OF MINNEAPOLIS AND ST. PAUL, MINNESOTA

The Twin Cities of Minneapolis and Saint Paul are a unique blend of small town and major
cosmopolitan hub. Both urban cores boast a thriving business atmosphere. Minneapolis is the larger
and more commercial of the two cities, and Saint Paul, as the state capital, is home to state
government and has a more historical vibe. Outside of the central downtowns, however, both cities
have many distinct neighborhoods, and residents identify more with their individual neighborhood
than with the larger city as a whole.


Both cities share a common root of being river towns, and the outdoors is still a major attraction for
residents and tourists alike to this day. In addition to the mighty Mississippi River, there are over 100

lakes (over 900 including the suburbs), over 250 parks, and miles of biking and walking trails. Nearly
every weekend in the summer there are several outdoor active events for participants and
spectators--triathlons, biking races, running races, boat races, water skiing competitions, golf
tournaments, and more.

The active lifestyle of Twin Cities residents doesn't lie dormant during the winter. There are miles of
cross-country skiing trails, several downhill ski areas within an hour drive, ice skating, snowmobile
riding, sledding, and--of course--ice fishing.



For those who prefer activity of the spectator variety, the Twin Cities are home to the major sports
teams: Minnesota Twins, Minnesota Vikings, Minnesota Wild, Minnesota Timberwolves, Minnesota
Lynx (WNBA champions), Minnesota United FC (soccer), and Minnesota Swarm (lacrosse). There is
also a minor league baseball team, the Saint Paul Saints.

The Twin Cities have hosted the World Series, Super Bowl, NCAA Basketball Finals, the USGA U. S.
Open, the PGA Championship, and the Special Olympics. In 2014, Target Field will be the setting for
baseball's All-Star Game, and, in 2018, the Super Bowl will be played in a newly built state-of-the-art
stadium.





But the Twin Cities have more to offer than participatory and spectator sporting events. There are
countless arts and culture offerings here. The Grammy Award-winning Minnesota Orchestra has a

reputation as one of the top orchestras in the world. Since the early 1960s, the Guthrie Theatre has
staged A-plus shows from the classical to the contemporary. Popular national shows and performers
also tour through the Twin Cities year round at stages in both Minneapolis and Saint Paul, and at the
University. There are over 30 theatre venues, 10 dance companies, and 30 classical music groups in
the cities of Minneapolis and Saint Paul alone.

For the museum goer, there are over 60 museums in the Twin Cities. The Science Museum of
Minnesota and the Minnesota Children's Museum (both in Saint Paul) are highly interactive learning
and fun experiences for the entire family. The Minneapolis Institute of Arts has a collection of over
100,000 pieces. The Walker Art Center has been called "possibly the best contemporary art museum
in the U. S." by Newsweek, and has over 11,000 pieces. The University of Minnesota's Weisman Art
Museum is also a contemporary art destination, and the Frank Gehry-designed building is a work of
art itself.

Beyond the outdoor, sports, entertainment, and culture, perhaps the biggest attraction for the Twin
Cities is the lifestyle. Forbes hailed Minneapolis and Saint Paul as the nation's healthiest cities. USA
Today named Saint Paul as North America's "Most Romantic City."

The Twin Cities offer award-winning restaurants (several chefs have been regional James Beard
Award winners). In addition to the popular Mall of America, there are plenty of unique shopping
districts in both cities and in the suburbs. And--most importantly for some--no sales tax on clothing.
