Special Conditions of contract is supplementary to General Conditions Document signed by both parties.

Special
conditions prevail on the General Conditions of International Transport Contract Rev. February 2013.
Article 2: SCOPE OF THE CONTRACT
The following Sub-Articles are to be added.

2.1 The responsibilities of the forwarder include all the logistics operation from EXW Alstom Gebze Factory to
Nikola Tesla substation TENT B for below transformers and its accessories as per packing lists provided

- 1 piece of 725 MVA Transformers and its accessories upto site till DDU Nikola Tesla Site Tent, Onbrenovac, Serbia,
including civil works to make the road ready for delivery inside TENT B and offloading/positioning of the
transformer.

2.3 Delivery location: Nikola Tesla Site Tent B, Onbrenovac, Serbia
Article 6: PRICE

- The existing wording of Sub Article No. 6.1 is to be deleted and replaced with the following

6.1 The price for above the scope of delivery is euro 628.000.- ( additional euro 74.400.- for road
preparation inside TENT B). The total price shall not be subject to revision or increase as a result of increase in
the cost to Forwarder of the Services during the performance of the Contract whether due to inflation or to
any other reason except in the case provided in the Contract.

- Vessel Demurrage/Detention fee is excluded and only accepted; in case subject detention is a result of
Contractors not fullfiling its obligations for late delivery of cargo for loading, export customs clearence and
other documentative issues related with vessels sailing.

Any additional service which is not included in Article No 2 has to be confirmed in writing by Alstom Grid,
before starting operation. After Alstom Grid agreement; payment will be done as per outlay/supporting
subcontractors invoices on agreed time frame.

- The existing wording of Sub-Article No. 6.2 is to be deleted and replaced with the following:

6.2 Prices which are defined at Article 6.1 exclude VAT where applicable. (Value Added Tax).
Article 7: PAYMENT TERMS

- The existing wording of Sub-Article 7.2 is to be deleted and to be replaced by the following paragraphs.

7.2 The Forwarder shall send an invoice per shipment in accordance with the prices mentioned Article
6.1 and has to joint all documents of transport and any other required document in the Contract. The
payment shall be made to the Forwarder at first defined payment date of Alstom after ninety (90) days
following the acceptance of the relevant invoice.
If any discrepancy is noted in the invoice or the Forwarder fails to send the documents mentioned here above,
such invoice shall be rejected. The payment term shall be calculated again as from the date of the acceptance
of invoice and duly compliant documents.
Article 8: INVOICING INSTRUCTIONS

- The existing wording of Article 8 is to be deleted and to be replaced by the following paragraphs.
