MEMORANDUM OF AGREEMENT

THIS AGREEMENT IS ENTERED INTO BY AND BETWEEN:

OHARO DEVELOPMENT CORPORATION, a corporation duly organized and created under the law of the Philippines,
with principal office at Tiano-Gaerlan st., Cagayan de Oro City, and represented by ALFRED GACCION, of legal age, married
and a residence of Kauswagan, Cagayan de Oro City, referred to herein as the ESTABLISHMENT-ORGANIZER;
And
_________________, of legal age, single, and a resident of _________________, referred to herein as the PARTICIPANT;
-WitnessethWHEREAS, The ORGANIZER is conducting a Bikini Open Contest Entitled Pulse Bikini Bash 2014 Finals to be held
on, August 28 & 29, 2014 at Pulse Live Music Venue, Tiano-Gaerlan St. Cagayan de Oro City;
WHEREAS, the PARTICIPANT desires to join the said contest voluntarily and the ORGANIZER accepts under the

That the event shall be held on August 28 and 29 , 2014 from 8 p.m. to 3 a.m. At Pulse live music venue, TianoGaerlan Sts. Cagayan de Oro City, failure on the part of the contestant to appear on the said date shall cause for her
disqualification at the sole discretion of the ORGANIZER and no right of action can be had against the organizer;
That the PARTICIPANT shall abide by the rules set by the Organizer during the event proper including the requirement
to be present during scheduled rehearsals. Failure on the part of the candidate to be present on each scheduled
rehearsals may cause her disqualification at the discretion of the ORGANIZER;
That winners and their corresponding prizes shall be the following;

1st Runner Up

Best in Casual attire
2nd Runner Up
------ Php 5,000.00
Other Sponsor Awards (Not Guaranteed)
At the Option and selection of the sponsor/s
The ORGANIZER shall only guarantee the Major and Special Prizes. For any other prizes that may be declared or
added by the sponsor/s, the ORGANIZER shall not provide any guarantee of the same and hereby frees itself from
any liability for failure on the part of the sponsor/s to fulfill its obligations/promises. All winners for Major awards and
Special prizes are required for a re-appearance for Pulse Live Music Venue on August 28, 2014 for a special event
and all prizes shall only be given on the said mentioned date. Failure on the part of the PARTICIPANT to re-appear
shall cause forfeiture of her Prize. Non-winners shall be entitled for a backdoor fee in the amount of ONE THOUSAND
PESOS ONLY (php 1,000.00);
The Criteria for Judging shall be announced during the event proper and the decision of the chosen judges shall be
final. For purposes of transparency, the contestant may review the tabulation results only upon request from the
ORGANIZER;
That the PARTICIPANT undertakes to perform only clean wholesome performances and hereby promise not to violate
any laws rules and regulations including ordinances and hereby frees and absolve the ORGANIZER from any liabilities
which may arise by reason of its non-observance of said laws, rules and regulations including ordinances;
That the PARTICIPANT, her sponsors, or any person acting in her behalf shall have no right to sell, promote, or any
other form of product disposal or product sampling inside the premises without a written consent of the ORGANIZER;
That The PARTICIPANT hereby irrevocably and unconditionally grants to the ORGANIZER all consents and waivers
necessary for the ORGANIZER to record and use her performance, in any manner whatsoever and in any part of the
world as the ORGANIZER shall in its sole discretion deem fit. The PARTICIPANT acknowledges that the ORGANIZER
shall be at liberty to publish and otherwise use any recording made by the ORGANIZER, including without limitation
audio recordings, visual recordings and photographs, for the promotion and publicity of the event or of the
ESTABLISHMENT. The PARTICIPANT hereby further warrants that necessary consents were all obtained. This further
acknowledges that the ORGANIZER retains the right to edit and to telecast any recordings made. The PARTICIPANT
hereby assigns to the ORGANIZER absolutely, all vested, contingent and future rights in their performances and the
ORGANIZER shall own the sole and exclusive rights to such performances. The PARTICIPANTS further agrees to
complete any formalities or sign any documents necessary to perfect this assignment/engagement.
The ESTABLISHMENT hereby reserves the right to cancel or terminate the continuation of the event or disqualify any
PARTICIPANT for any violation of the terms hereof or for any reasons that warrants cessation of operations without
incurring any liabilities against the PARTICIPANT or its sponsors;
That the parties hereby undertake to perform the above obligations faithfully.
