PREAMBLE
In order to affirm and preserve the principles of our faith, to guarantee that this body
will be governed in an orderly and efficient manner consistent with the Scriptures, to maintain
the unity of this Church, to protect the liberties inherent in each individual member and the
freedom of action of this body with respect to its relation to other churches of the faith, and to
abide by the appropriate civil laws, we do declare and establish this Constitution.
ARTICLE 1

Location of Offices
The name of this Corporation is Copperfield Bible Church (henceforth referred to as
Copperfield Bible Church, the Church, or the Corporation). It is a Texas nonprofit
religious Corporation with principal offices located at 15216 FM 529, Houston, Texas, 77095.

ARTICLE II
Purpose
Copperfield Bible Church is organized purposely for religious purposes. Our
commission is summarized as follows: And Jesus came up and spoke to them saying, All
authority has been given to Me in heaven and on earth. Go therefore and make disciples of all
the nations, baptizing them in the name of the Father and the Son and the Holy Spirit, teaching
them to observe all that I commanded you; and lo, I am with you always, even to the end of the
age (Matthew 28:18-20. All Scriptural quotations in this document are from the New
American Standard Bible.).
Furthermore, our basic model is patterned after the priorities of the early Church:
And they were continually devoting themselves to the apostles teaching and to fellowship, to
the breaking of bread and to prayer (Acts 2:42).
Copperfield Bible Church exists to glorify God (1 Corinthians 10:31; Ephesians 3:21;
1 Peter 4:11). In order to make progress towards that end we must be a hub for worship,
edification, and evangelism. As we assemble together regularly (Hebrews 10:24-25) we
establish a base for spiritual operations from which the Church may fulfill its purposes through
the ministry of the Word of God (Acts 20:32, 2 Peter 3:18).

ARTICLE III
Doctrinal Statement
The Doctrinal Statement of Copperfield Bible Church is that which was adopted on
December 13, 1998, and is on file at the principal offices.

ARTICLE IV
Government and Corporate Membership
Section 1. Government
The government of this Church is vested in a Board of Elders, which shall serve as the
Board of Directors of the Corporation defined by this Constitution. The Board of Elders shall
be biblically qualified men as defined in Article VI, Section 5 of this Constitution, accountable
to Jesus Christ as the head of the Church, also giving account to the members of this body of
believers.

Section 2. Corporate Members


The Corporation shall have no members. Any action which would otherwise require
approval by a majority of all members shall only require approval of the Board of Elders. All
rights which would otherwise vest in the members shall vest in the Board of Elders.

Section 3. Members of the Fellowship


Nothing contained in Section 2 of this Article shall be construed to limit the right of the
Corporation to refer to persons associated with the Corporation as members even though
such persons are not corporate members. The Corporation may confer by amendment of its
Articles or of this Constitution some or all of the rights of a member, as set forth in the Texas
Non-Profit Corporation Act, Article 1396-2.08, upon any person or persons who do not have
the right to vote for the election of officers or on a disposition of substantially all of the assets
of the Corporation or on a merger or on a dissolution or on changes to the Corporations
Articles or Constitution.

Section 4. Political Activity


No part of the activities of this Corporation shall consist of carrying on propaganda or
otherwise attempt to influence legislation. The Corporation shall not participate or intervene in
any political campaign (including the publishing or distribution of statements) on behalf of any
activities prohibited by an organization exempt from the Federal income tax under Section 501
(c) (3) of the Internal Revenue Code of 1954 unless future adherence to that Code would
require an unbiblical deviation in doctrine and/or practice (Exodus 1:15-21; Acts 4:18-20,
5:29).

ARTICLE V
Church Membership
Section 1. Purpose of Membership
The congregation of Christian believers who have applied for and have been received
into membership shall constitute a spiritual body, united for the spiritual purposes set forth in
Article II of this Constitution.

Section 2. Active Membership


Active membership in Copperfield Bible Church shall be open to all persons who
profess saving faith in Jesus Christ as Lord and Savior, showing evidence of regeneration,
being baptized as a believer or is willing to be baptized by immersion as a testimony of saving
faith in Jesus Christ, and who acknowledges agreement with and willingness to submit to the
Doctrinal Statement and Constitution of this Church.

Section 3. Voting Rights and Privileges


Membership in Copperfield Bible Church shall not vest in any member any proprietary
rights in the Corporation, but shall only entitle the member to vote at a meeting of the members
on those matters that the Board of Elders chooses to submit to the Church membership. In such
cases, voting privileges are restricted to members who are in good standing, who are not under
any disciplinary action, and who have passed their eighteenth (18) birthday. Members shall not
vote by absentee or proxy ballot. Membership shall not be assignable inter vivos by any
member nor shall membership vest to any personal representative, heir, or devisee.
Those admitted to Church membership do not constitute a legislative body, nor do they
constitute members of the Corporation, and they cannot vote, or pass resolutions binding upon
the Corporation, nor shall they have any equity in the real property of the Corporation, or rights
to vote on its disposal. Said property of the Corporation is dedicated to religious purposes as
outlined in the Articles of Incorporation.
Church membership voting rights are reserved for votes on issues brought to the
membership from time to time by the Board of Elders. Such votes are not binding upon the
Board of Elders or Corporation, but are used to communicate to the Elders the opinion of the
membership to assist them in the discernment of Gods will on said issues.

Section 4. Applications for Membership


Believers who qualify for membership according to Section 2 of this Article, and who
consider Copperfield Bible Church to be their church home, are encouraged to apply for
membership. All applicants shall complete an application for membership, including personal
testimony, and shall be given a copy of the Doctrinal Statement and Constitution. At least two

Elders shall meet with the applicant following completion of the application to confirm
qualifications according to Section 2 of this Article, and to answer any questions. Copperfield
Bible Church will not accept the automatic transfer of membership from another church.
The Board of Elders (or a duly appointed Committee of the Board, per Article VI,
Section 18 of this Constitution) shall review the application for membership of the candidate
and qualifications for membership as shown in Section 2 of this Article.

Section 5. Denial of Membership


If, upon review of an application for membership and after meeting with a prospective
member, the Board of Elders determines that the applicant has not professed saving faith in
Jesus Christ as his or her Lord and Savior, or that there is a lack of evidence of a godly
lifestyle, or that the applicant does not meet other qualifications for membership described in
Section 2 of this Article, membership shall be denied. The decision made by the Board shall be
final and there shall be no appeal to any court from that decision.

Section 6. Admission of Applicants


Applicants admitted to membership shall, if possible, present themselves at a worship
service designated by the Board of Elders, at which service such applicants shall publicly
affirm their membership commitment and be publicly acknowledged as members.

Section 7. Responsibilities of Members


Members shall seek to exercise their spiritual gifts for the mutual benefit of all the
Church body (Romans 12:3-8; 1 Corinthians 10:24, 12:12-30; Ephesians 4:11-13) and shall
submit to the loving rule of the Elders (Hebrews 13:7,17; 1 Peter 5:5).
Members shall seek to be faithful in the spiritual disciplines essential to the Christian
life. This includes walking in conformity to the Scriptures, faithful attendance at the worship
services and business meetings of the Church, sacrificial service and financial support as God
enables for the establishment and furtherance of the ministries of the Church, and prayer for the
Church, its leadership and members.

Section 8. Church Discipline


The threefold purpose of church discipline is to glorify God by maintaining purity in the
local church (1 Corinthians 5:6), to edify believers by deterring sin (1 Timothy 5:20), and to
promote the spiritual welfare of the offending person by humbly calling that person to return to
a biblical standard of doctrine and conduct (Galatians 6:1). Such an individual should be
approached with a spirit of gentleness (Galatians 6:1) and sorrow, not with pride or arrogance
(1 Corinthians 5:2). Believers are to eagerly forgive that person upon repentance

(2 Corinthians 2:7-8; 7:8-11; Luke 17:3).


Members of this Church and all other professing Christians who regularly attend or
fellowship with this Church who persist in grievous doctrinal error, or who engage in conduct
that violates Scripture as determined by the Board of Elders, shall be subject to church
discipline, including dismissal according to Matthew 18:15-18.
These actions are not at all intended for every case of sin or deviation from the truth, but
for persistent and unrepentant sins that damage the Church, weaken its testimony, or promote
disunity. Such sins include, but are not limited to, heresy (1 Timothy 6:3-5; 2 Timothy 2:1618; Titus 3:10-11; 2 John 10-11; Revelation 2:14), divisiveness (Romans 16:17-18; Titus 3:1011), unruly, undisciplined, and irresponsible living (2 Thessalonians 3:6,11,14), disruptive
conflict between members (Matthew 18:15-18; Philippians 4:2-3; 1 Corinthians 6:1-6), and the
many forms of carnality and immorality (1 Corinthians 5:9-13, 6:9-10; Galatians 5:17-21;
Ephesians 5:3-5).
The process of Church discipline shall be as follows according to Matthew 18:15-18:
1. It shall be the duty of any member or regular attender of this Church who has
knowledge of the erring individuals heresy or misconduct to warn and correct such
erring individual in private, seeking his or her repentance and restoration.
2. If the erring individual does not heed this warning, then the warning member shall
again go that person, seeking appropriate repentance, but accompanied by one or
two others who shall confirm that the sin has occurred or is continuing to occur,
and/or that said individual has been appropriately confronted and has refused to
repent.
3. If the erring individual still refuses to heed this warning, then it shall be brought to
the attention of the Board of Elders (or a duly appointed Committee of the Board,
per Article VI, Section 18 of this Constitution, at the sole discretion of the Board).
If the Board of Elders (or a duly appointed Committee of the Board) determines
after thorough investigation in accord with the procedures prescribed by pertinent
Scripture, including Matthew 18:15-18, 1 Corinthians 5:9-13, 1 Timothy 5:19, and
Titus 3:10that there is corroborating evidence that the erring individual has sinned
or is continuing to sin, that that person has been appropriately confronted, and that
that person has refused to repent, then the Elders shall inform the Church and the
congregation thereof at a regularly scheduled worship service in order that the
Church may call the erring individual to repentance. If the erring individual
demonstrates repentance, as evidenced by a change in action, then notice to that
effect may be given at a regularly scheduled worship service.
4. If the erring individual does not repent in response to the Church in its collective
call to repentance, then that person shall be publicly dismissed from the fellowship
and/or membership of the Church and the congregation thereof at a regularly
scheduled worship service. At such time the Church membership shall be

admonished not to fellowship with the erring individual (1 Corinthians 5:9-13;


Matthew 18:17), nor to discuss this outside of the congregation, thus avoiding the
sin of slander (2 Corinthians 12:20). If the erring individual, after such dismissal,
heeds the warning, demonstrates repentance, and requests reinstatement before the
Board of Elders (or a duly appointed Committee of the Board, per Article VI,
Section 18, of this Constitution, at the sole discretion of the Board), then that person
shall be publicly restored to all the rights, duties, privileges, and responsibilities of
fellowship and/or membership.
The members of this Church, and all other professing Christians who regularly attend or
fellowship with this Church, agree that there shall be no appeal to any court because of the
dismissal or because of any stage of Church discipline, including the public statements to the
congregation at the third or fourth stages (1 Corinthians 6:1-6). Members who are under
discipline by the Church, as defined in the above paragraphs, shall not be considered members
in good standing for purposes of this Constitution. Such members cannot avoid the disciplinary
process by resigning their membership. The disciplinary process includes their good by
seeking their spiritual welfare (Matthew 18:15; 1 Corinthians 5:5; 2 Corinthians 2:7-8, 7:9-11).
It should be understood that none of the procedures set forth herein are intended to be
harsh or unduly restrictive. Their design merely reflects the heart of the Great Shepherd, both
in the spiritual restoration of the prodigal person (Luke 15:11-32) and the protection of the rest
of the flock (John 10:11-13; 1 Corinthians 5:6-7).

Section 9. Removal from Church Membership


A member of this Church who shall absent himself from the services of this Church for
a period of six (6) months, without plausible reason or excuse, shall be removable from the
Church membership at the discretion of the Board of Elders.

Section 10. Annual Meeting


The Annual Meeting of the Church members shall be held at the principal office of the
Church (as the same shall be from time to time as designated by the Board) in November of
each year. At the Annual Meeting, the members shall consider reports of the affairs of the
Corporation, transact such other business as the Elders determine shall be brought before the
meeting, and vote on those issues that the Elders deem necessary per Section 3 of this Article.

Section 11. Special Meetings


Special meetings of the members may be called at any time by the Pastor-Teacher, the
Chairman of the Board of Elders, or by a quorum of the members of the Board of Elders. Said
meetings may be used to transact Corporation business and to vote on special issues that the
Elders deem necessary per Section 3 of this Article at times other than the Annual Meeting.

Section 12. Notice of Meetings


Notice of the Annual Meeting shall be given from the pulpit for two (2) successive
Sundays prior to the meeting. In addition thereto, notice shall be published in the regular
Church bulletin for two successive Sundays prior to such meeting. Notice of special meetings
shall be given from the pulpit at least seven (7) days prior to the meeting and shall also be
published in the regular Church bulletin on the Sunday immediately preceding the meeting.

Section 13. Adjournment


The Pastor-Teacher, the Chairman of the Elder Board, or a majority of the Elders
present may adjourn any meeting of the congregation, whether the Annual Meeting or special
meetings, to another time. Public notice of adjourned meetings, as described in Section 12 of
this Article, is not required. Reasonable attempts to contact absent members shall be made.

Section 14. Quorum


At all meetings of the members, whether the Annual, special, or adjourned, the
members present shall constitute a quorum for the transaction of business.

ARTICLE VI
Elders
Section 1. Responsibilities
We acknowledge no ecclesiastical authority other than our Lord Jesus Christ, who is the
Head of the Church and who directs the affairs of the Church through Elders chosen according
to the precepts of Scripture (Acts 20:17-32; Ephesians 4:11-13; Titus 1:5). The Elders stand
under the authority of the Scriptures and are the principal officials of the Corporation with the
charge to rule, lead, and oversee the Church (Acts 20:28; 1 Timothy 5:17; 1 Peter 5:1-3).
As those who will give an account for their oversight (Hebrews 13:17; James 3:1), the
Elders are to be men capable of giving biblical leadership based on their individual and
corporate ability to handle the Word of God and to discern the will of God through study and
prayer (Acts 6:4; 1 Timothy 3:2; Titus 1:9).
These responsibilities are typically fulfilled as the Elders:
(A) Pray and minister the Word of God by teaching, preaching and discipling believers
(Acts 2:42, 6:4; 1 Thessalonians 5:14; 1 Timothy 3:2, 5:17; James 3:1).
(B) Protect the flock by guarding against error and moral corruption (Matthew 18:1520; Acts 20:28-31; 1 Corinthians 5:1-13; Titus 1:9, 3:10-11).

(C) Seek the spiritual maturity of the flock through the development of various
ministries and the individual gifts of the members (Romans 12:4-8; 1 Corinthians
12:7-11; Ephesians 4:11-16; Colossians 1:28).

Section 2. Powers and Authority


Subject to the limitations of the Articles of this Constitution and of pertinent restrictions
of the Non Profit Corporation Act of Texas, all the activities and affairs of the Corporation
shall be exercised by or under the direction of the Board of Elders, who are responsible for
shepherding and having oversight of the flock. The initial Board of Elders under this
Constitution shall consist of those members currently serving as Elders upon adoption of this
Constitution and who are listed on page 27. However, abusing this authority is in no way
justified as Elders are called to be models of humility to the flock (1 Peter 5:3,5; Hebrews
13:7). The congregation, in turn, is to submit to the leadership of the Elders and pray for them,
esteeming and appreciating them highly in love (1 Thessalonians 5:12-13, 25).
All Elders will have equal authority on the Board regardless of whether they are Lay or
Staff Elders. Each Elder is to view himself as one among equals and will have only one vote
when voting is necessary.
Without prejudice to such general powers, but subject to these same limitations, it is
hereby expressly declared that the Board shall have the following powers in addition to the
other powers enumerated by this Constitution.
(A) To select and remove all the officers, agents, pastors, staff, and employees of the
Corporation; prescribe such duties for them consistent with the Scriptures, with
appropriate laws, with the Articles of Incorporation, or with this Constitution, and
fix the terms of their offices and their compensation.
(B) To make such disbursements from the funds and properties of the Corporation as
are required to fulfill the purposes of this Corporation as are more fully set out in
the Articles of Incorporation, thereof and generally to conduct, manage, and control
the activities and affairs of the Corporation and to make such rules and regulations
consistent with the Scriptures, with appropriate laws, with the Articles of
Incorporation, or with this Constitution, as they may deem best.
(C) To adopt, make and use a corporate seal, and to alter the form of such seal from
time to time as they may deem best.
(D) To establish policies and practices for the Church consistent with the purposes of
this Corporation.
(E) To minister with the Pastor-Teacher in the administration of the ordinances of
Baptism and the Lords Supper.

(F) To borrow money and incur indebtedness for the purposes of the Corporation and
to cause to be executed and delivered, in the corporate name, promissory notes,
bonds, debentures, deeds of trust, mortgages, pledges, hypothecations, or other
evidences of debt and securities.
(G) To carry on a business and apply any such profit that results from the business
activity in which it may legally engage.

Section 3. Number of Elders


The authorized number of Elders on the Board of Elders shall always be a plurality
(more than one and preferably at least three) as long as such men meet the qualifications listed
in Section 5 of this Article and are willing to serve in this capacity.

Section 4. Nomination, Selection and Tenure of Office


Formal consideration of candidates to serve in the office of Elder shall be done once a
year (or at special times as necessary to fill vacancies as determined by Section 6 of this
Article) by the Board of Elders or a duly appointed Committee of the Board, per Section 18 of
this Article, at the sole discretion of the Board (Titus 1:5). Should said Committee be
appointed, the Board reserves the right to give necessary direction to this Committee for the
selection of candidates, including solicitation from all church members.
The candidates approved by unanimous vote of the Elders shall be publicly posted in
alphabetical order at least three weeks prior to public recognition before the congregation.
Anyone having information about a candidate which may disqualify him from holding the
office of Elder, or who believes that he is not called to be an Elder, is encouraged to approach
that nominee to discuss said concerns and/or share the information with a current Elder so that
proper review can be made. All such concerns shall be investigated by the Board of Elders or a
duly appointed Committee of the Board, per Section 18 of this Article. If, upon review, the
Board determines that said nominee is not qualified or is not called to serve as an Elder, his
name shall be withdrawn. If, upon review, the Board determines that said nominee is qualified
and called to serve as an Elder, his nomination shall remain. The decision made by the Board
shall be final and there shall be no appeal or recourse from that decision.
At the end of this three-week period, the final list of candidates shall be presented to the
members at which time the nominees shall be publicly recognized as Elders and shall assume
office immediately. Each Elder shall serve indefinitely until death, resignation, or removal
according to Sections 6 and 7 of this Article.

Section 5. Qualifications
Each member of the Board of Elders must be an active member of this church and
possess the qualifications described in 1 Timothy 3:1-7 and Titus 1:6-9, qualifications by which

a man is able to lead the flock according to the Word of God and demonstrate a consistent
example of mature, Christ-like character. He shall be:
(A) A man with an earnest, heartfelt desire to serve as an overseer (1 Timothy 3:1).
(B) Blameless as a steward of God, above reproach (1 Timothy 3:2; Titus 1:6-7).
(C) The husband of one wife (i.e. a one-woman man if married); morally pure whether
married or single (1 Timothy 3:2; Titus 1:6).
(D) Temperate, sober, vigilant (1 Timothy 3:2).
(E) Sober-minded, prudent (1 Timothy 3:2; Titus 1:8).
(F) Of good behavior; orderly; respectable (1 Timothy 3:2).
(G) Given to hospitality (1 Timothy 3:2; Titus 1:8).
(H) Able and willing to teach; he can exhort believers and refute false teaching
(1 Timothy 3:2; Titus 1:9).
(I) Not given to wine (1 Timothy 3:3; Titus 1:7).
(J) Not violent; not pugnacious (1 Timothy 3:3; Titus 1:7).
(K) Patient; moderate; forbearing; gentle (1 Timothy 3:3).
(L) Not a brawler; uncontentious; not soon angry or quick-tempered (1 Timothy 3:3;
Titus 1:7).
(M) Not covetous; not a lover of money; not greedy of base gain (1 Timothy 3:3; Titus
1:7).
(N) Rules his own house well. His children under his care are faithful and not accused
of rebellion (1 Timothy 3:4; Titus 1:6).
(O) One who is not a novice; not a new convert (1 Timothy 3:6).
(P) One who has a good report or reputation with outsiders (1 Timothy 3:7).
(Q) One who is not self-willed (Titus 1:7).
(R) A lover of good men and things (Titus 1:8).
(S) Just; fair (Titus 1:8).

(T) Holy; devout (Titus 1:8).


(U) Self-controlled (Titus 1:8).

Section 6. Vacancies
Any Elder may resign effective upon giving written notice to the Chairman of the
Board, unless the notice specifies a later time for the effectiveness of such resignation. If the
resignation is to take effect at some future time, a successor may be selected before that time.
A vacancy or vacancies in the Board may be deemed to exist in case of the death,
resignation, or removal of any Elder, or if a need exists. Such vacancies shall be filled by the
remaining Elders in accordance with Section 4 of this Article.

Section 7. Removal of Elders


Any Elder shall be removed from office at any regular or special meeting of the Board
if he is found to be physically or mentally incapacitated or spiritually unqualified (according to
pertinent Scripture, including 1 Timothy 3:1-7 and Titus 1:6-9, 3:10, and as outlined in
Sections 5 and 17 of this Article), after thorough corroborating investigation by the Elders (or a
duly appointed Committee of the Board, per Section 18 of this Article, at the sole discretion of
the Board), in accord with the procedures prescribed by pertinent Scripture, including Matthew
18:15-18 and 1 Timothy 5:19-21. When an Elder ceases to meet those qualifications, for issues
other than unrepentant sin, he shall be asked by the other Elders to step down so that he may
get his life in order in that area. Such a request shall only be made by the Elder Board when the
other Elders are in unanimous agreement per section 17 of this Article.
When an Elder is removed because of sin that is deemed sufficient to disqualify him
from shepherding, and if he refuses to repent from that sin, he shall be treated in accordance
with Article V, Section 8 of this Constitution. His removal shall be accompanied by a public
rebuke before the church and the congregation thereof at a regularly scheduled worship service
or congregational meeting as prescribed in 1 Timothy 5:20-21.
An Elder may also desire to be temporarily relieved from office if he feels unable to
serve for any reason. The process of reinstatement at a later date shall be governed by the
attendant circumstances of his particular situation. Elders who submit permanent resignations
will be required to comply with Section 4 of this Article prior to serving again as an Elder.

Section 8. Place of Meetings


Notwithstanding anything to the contrary provided in this Constitution, any meeting
(whether regular, special, or adjourned) of the Board of Elders of the Corporation may be held
at any place within or without the State of Texas. At all meetings (whether regular, special, or

adjourned) of the Board of Elders, the Board reserves the right to open or close any or all parts
of the meeting(s) to the public as they see fit.

Section 9. Regular Meetings


Regular meetings of the Board shall be held monthly on a date established by the Board,
and shall be communicated to the congregation through the bulletin and/or from the pulpit.

Section 10. Special Meetings


Special meetings of the Board of Elders may be called at any time by order of the
Pastor-Teacher, the Chairman of the Board of Elders or by a quorum of the members of the
Board of Elders.

Section 11. Notice of Special Meetings


In accordance with the provisions of Article 1396-2.10 and Article 1396-2.11 of the
Texas Non Profit Corporation Act, special meetings of the Board shall be held upon four days
notice by first-class mail or a forty-eight hour notice given personally, by telephone, or by other
similar means of communication. Any such notice shall be addressed or delivered to each
Elder or at such Elders address as it is shown upon the records of the Corporation or as may
have been given to the Corporation by the Elder for such purpose of notice.

Section 12. Quorum


Except as otherwise provided herein, a majority of the Elders serving shall constitute a
quorum except when a vacancy or vacancies prevents such majority, whereupon a majority of
Elders in office shall constitute a quorum. A majority of the Elders present, whether or not a
quorum is present, may adjourn any meeting to another time and place.
Whenever the matter to be considered concerns calling or dismissing a pastor, or buying
or selling real estate, a quorum shall consist of not less than two-thirds of the members of the
Board. Whenever the matter to be considered is of a nature to require action by Lay Elders,
only, a majority of the Lay Elders currently serving shall constitute a quorum. Except as the
Articles of Incorporation, this Constitution, and the Texas Non Profit Corporation Act may
provide, the act or decision done or made by the Elders present at a meeting duly held at which
a quorum is present shall be the act of the Board of Elders.

Section 13. Participation in Meetings by Conference Telephone


Members of the Board may participate in a meeting through use of conference
telephone or similar communications equipment, so long as all members participating in such
meeting can hear one another.

Section 14. Adjournment


A majority of the Elders present, whether or not a quorum is present, may adjourn any
Elders meeting to another time and place. Reasonable attempts to notify those Elders not
present of the time and place of resumption of an adjourned meeting shall be made.

Section 15. Action Without Meeting


When immediate action is required that precludes a decision at a regular or special
meeting of the Board, the members of the Board may individually or collectively give verbal
consent for decisions which are made in accordance with Section 17 of this Article. Decisions
made by such consent shall be considered to be within the spirit of unanimity per Section 17 of
this Article and shall be documented by attaching the signed resolution with the minutes of
proceedings of the Board.

Section 16. Rights of Inspection


In accordance with the provisions of Article XIV, Section 2 of this Constitution, each
Elder shall have the right of inspection of all books, records, documents, and physical
properties of the Corporation.

Section 17. Decisions of the Board of Elders


Decisions shall be reached after prayerful consideration only by the unanimous or
majority vote of the Board of Elders, as differentiated below, in a spirit of humility, with each
Elder regarding one another before himself. Therefore, in essence, whether the decision is one
that requires a unanimous or a majority vote, the net result after all binding decisions have been
made will be considered to be a spirit of unanimity by the Board as to the direction the Church
should take. Violations of this spirit of unanimity shall be treated as a spirit of divisiveness in
accordance with Titus 3:10 and shall call into question this Elders spiritual qualifications and
subject him to removal from the Elder Board per Section 7 of this Article.
(A) Unanimity of all Elders is required (Acts 1:14, 4:32, 15:22,25):
Whenever the matter to be considered concerns calling a member of the Pastoral Staff,
approving an Elder, Deacon, or Missionary supported by the Church, an amendment to
or modification of this Constitution, church discipline per Article V, Section 8 of this

Constitution, or any other issue as determined by a majority of the Board, a quorum as it


pertains to the vote shall consist of all members of the Board whether voting in person,
or by telephone to be later confirmed in writing, and must be unanimous.
(B) Majority of all Elders is required:
For all decisions other than those listed in the above paragraph as determined by the
Board, particularly for those issues that would primarily be practical in nature. The
Elder(s) holding to the minority positions on said issues must publicly support the
decisions of the majority at all times. Violations to this spirit of unanimity shall be
dealt with as outlined in the opening paragraph of this Section.
(C) Voting exclusions:
Decisions by the Elder Board that pertain directly to any of the Elders themselves (e.g.
church discipline, salary review, etc.) may be made at the discretion of the other Elders
without the participation of the Elder in question. The decisions reached by the
remaining Elders per the guidelines of this Constitution shall be final.

Section 18. Committees of the Board


Committees of the Board may be appointed by resolution passed by a majority of the
whole Board. Committees shall be composed of two or more members of the Board and shall
have such powers of the Board as may be expressly delegated to it by resolution of the Board of
Elders, except with respect to:
(A) The approval of any action for which the Texas Non Profit Corporation Act also
requires members approval (must be approved by the Board as a whole).
(B) The filling of vacancies on the Board or on any committee of the Board.
(C) The amendment or repeal of the Constitution or the adoption of a new Constitution.
(D) The amendment or repeal of any resolution of the Board which by its express terms
is not so amendable or repealable.
(E) The appointment of other committees of the Board or the members thereof.
(F) The approval of any self-dealing transaction, as such transactions are defined in the
Texas Non Profit Corporation Act.
(G) The decision to publicly dismiss a Church member for disciplinary reasons.
(H) The approval for the hiring of a pastor or other Church staff.
(I) The denial of Church membership to an applicant.

The Board shall have the power to prescribe the manner in which proceedings of any
such committee shall be conducted. In the absence of any such prescription, such committee
shall have the power to prescribe the manner in which its proceedings shall be conducted.
Unless the Board or such committee shall otherwise provide, the regular and special meetings
and other actions of any such committee shall be governed by the provisions of this Article
applicable to meetings and actions of the Board. Minutes shall be kept of each meeting of each
committee.

Section 19. Fees and Compensation


Elders (as such) shall not receive any stated or fixed salary for their services, however,
nothing herein contained shall be construed to preclude any Elders from serving the
Corporation in any other capacity and receiving compensation.
Any person receiving compensation directly or indirectly from Copperfield Bible
Church shall not be in a position to determine the nature or amount of said compensation.

ARTICLE VII
Other Councils and Committees
Section 1. Councils and Committees
To promote efficient handling of Board matters, the Board may appoint various
councils and committees from within its membership, the staff, and from the Church at large.
These councils and committees shall perform tasks solely in accordance with the duties and
with powers specifically delegated by the Board. The general functions of councils and
committees are:
(A) To bring considered recommendations to the Board concerning ministries.
(B) To provide a wider base of counsel to the Elders having the oversight of specific
ministries.
All councils and committees shall exist for the period specified by the Board.

Section 2. Deacons
The Deacons minister to the body by performing various acts of service as a co-laborer
with the Elders in the local church (Philippians 1:1; 1 Timothy 3:8-14), put in charge to lead or
oversee specific ministries of the Church, under the oversight of the Elders. The Deacons shall
assist the Elders in the shepherding of the saints, assist the Pastor-Teacher at communion and
baptismal services, aid in the general spiritual care of the Church, oversee specific ministries of
the Church, and/or perform other duties as assigned by the Board of Elders.

The Deacons shall be men who are members of the Church in good standing, possessing
the qualifications described in 1 Timothy 3:8-13. A Deacon shall be a man of dignity, not
double-tongued, not addicted to much wine, not fond of sordid gain, holding to the mystery of
the faith with a clear conscience, first tested and found above reproach.

Section 3. Nomination, Selection and Tenure of Office of Deacons


Formal consideration of candidates to serve in the office of Deacon shall be done
periodically at times chosen by the Board of Elders or a duly appointed Committee of the
Board, per Section 18 of this Article, at the sole discretion of the Board (Titus 1:5). Should
said Committee be appointed, the Board reserves the right to give necessary direction to this
Committee for the selection of candidates, including solicitation from all church members.
The candidates approved by unanimous vote of the Elders shall be publicly posted in
alphabetical order at least three weeks prior to public recognition before the congregation.
Anyone having information about a candidate which may disqualify him from holding the
office of Deacon, or who believes that he is not called to be an Deacon, is encouraged to
approach that nominee to discuss said concerns and/or share the information with a Elder so
that proper review can be made. All such concerns shall be investigated by the Board of Elders
or a duly appointed Committee of the Board, per Section 18 of this Article. If, upon review, the
Board determines that said nominee is not qualified or is not called to serve as a Deacon, his
name shall be withdrawn. If, upon review, the Board determines that said nominee is qualified
and called to serve as a Deacon, his nomination shall remain. The decision made by the Board
shall be final and there shall be no appeal or recourse from that decision.
At the end of this three-week period, the final list of candidates shall be presented to the
members at which time the nominees shall be publicly recognized as Deacons and shall assume
office immediately. Each Deacon shall serve until death, resignation, removal, or the
occurrence of the November Annual Meeting described in Section 9 of Article V.
Re-selection of current Deacons to serve an additional term of office shall be made by
the unanimous vote of the Elder Board. Such re-selection need not be preceded by the threeweek congregational review period as is required prior to the selection of new Deacons. The
Board of Elders shall consider the maintenance of Biblical qualifications and the active service
of each Deacon in making decisions regarding additional terms of office. Any Deacon not reselected for an additional term of office shall not be considered removed from office and no
public announcement need be made. Decisions of the Board of Elders not to re-select a Deacon
for an additional term of office are not subject to appeal.
If at any time the Board of Elders determines, by unanimous vote, that a given Deacon
no longer meets the Biblical qualifications or active service requirements, that Deacon shall be
considered removed from office. A public announcement of such removal shall be made only
if deemed appropriate and/or necessary by the Board of Elders. In the event of removal of a
Deacon, public postings of the roster of Deacons shall be modified accordingly. Decisions of
the Board of Elders to remove a Deacon from office are not subject to appeal.

ARTICLE VIII
Officers
Section 1. Officers
The officers of the Corporation shall be a Chairman, a Vice-Chairman, a Secretary, and
a Treasurer, all of which shall hold the office of Elder. The Corporation may also have, at the
discretion of the Board of Elders, other officers as may be appointed in accordance with the
provisions of Section 3 of this Article.

Section 2. Election
The officers of the Corporation, except such officers as may be appointed in accordance
with the provisions of Sections 3 or 5 of this Article, shall be chosen annually by, and shall
serve at the pleasure of, the Board of Elders. In the event that there are fewer than four Elders
on the Board, the Chairman may serve as another officer other than Vice Chairman and vice
versa and the Secretary and Treasurer may serve as another officer. Each officer shall hold his
office until his term expires, he shall resign, be removed, or become otherwise disqualified to
serve.

Section 3. Subordinate Officers


The Board of Elders may appoint, and may empower the Chairman to appoint, such
other officers as the business of the Corporation may require, each of whom shall hold office
for such period, have such authority, and perform such duties as are provided in the
Constitution or as the Board of Elders may from time to time determine.
Section 4. Removal and Resignation
Any officer may be removed upon disqualification and removal as an Elder per Article
VI, Section 7 of this Constitution.
In accordance with the provisions of the Texas Non Profit Corporation Act, any officer
may resign at any time without prejudice to the rights, if any, of the Corporation under any
contract to which the officer is a party, by giving written notice to the Board of Elders, or to the
Chairman, or to the Secretary of the Corporation. Any such resignation shall take effect at the
date of the receipt of such notice or at any later time specified therein; and, unless otherwise
specified therein, the acceptance of such resignation shall not be necessary to make it effective.

Section 5. Vacancies
A vacancy in any office because of death, resignation, removal, disqualification, or any
other cause shall be filled in the manner prescribed in the Constitution for regular election or

appointment to such office, provided that such vacancies shall be filled as they occur and not
on an annual basis.

Section 6. Inability to Act


In the case of absence, inability to act, or for other reasons of any officer of the
Corporation and of any person herein authorized to act in his place, the Board of Elders may
from time to time delegate the powers or duties of such officer to any other officer or other
person whom the Board may select. Such delegation shall be made in writing.

Section 7. The Chairman


The Chairman shall be the Chief Executive Officer of the Corporation and shall, subject
to the control of the Board of Elders, have general supervision, direction, and control of the
activities and officers of the Corporation. He shall preside at all meetings of the Board of
Elders, which are to be conducted according to the scriptural principles such as set forth in
Philippians 2:2-8. He and the Pastor-Teacher shall be ex-officio members of all councils and
committees. The Chairman shall have powers and duties as may be prescribed by the Board of
Elders or the Constitution.

Section 8. Vice-Chairman
In the absence or disability of the Chairman, or in the handling of a particular issue
wherein the Chairman may find himself in a conflict of interest, the Vice-Chairman shall
perform all the duties of the Chairman, and when so acting shall have all the powers of, and be
subject to all the restrictions upon, the Chairman. The Vice-Chairman shall have such other
powers and perform such other duties as from time to time may be prescribed for him by the
Board of Elders or the Constitution.

Section 9. Secretary
The Secretary shall keep, or cause to be kept, a book of minutes at the principal office
or such other place as the Board of Elders may order, of all meetings of the members, the Board
and its committees, with the time and place of holding, whether regular or special, and if
special, how authorized, the notice thereof given, the names of those present at the meetings,
the Board and committees meetings, and the proceedings thereof. The Secretary shall keep, or
cause to be kept, at the principal office in the State of Texas the original and a copy of the
Corporations Articles and Constitution, as amended to date.
The Secretary shall give, or cause to be given, notice of all meetings of the Board and
any committees thereof required by this Constitution or by law to be given, and shall have such
other powers and perform such other duties as prescribed by the Board.

The Secretary shall keep, or cause to be kept, at the principal office of the Corporation,
a Church membership register, or a duplicated membership register, showing the names of the
members and their addresses.

Section 10. Treasurer


The Treasurer shall ensure the stewardship of the physical and financial resources of the
Corporation, taking precautions that no one should discredit us in our administration . . . for
we have regard for what is honorable, not only in the sight of the Lord, but also in the sight of
men (2 Corinthians 8:20-21). He shall select men of good reputation, full of the Spirit and of
wisdom (Acts 6:3) to implement and accomplish this responsibility.
The Treasurer shall ensure that all financial activities and transactions are consistent
with the Articles of this Constitution as well as all applicable provisions of the Texas Non
Profit Corporation Act.
The Treasurer shall keep and maintain, or cause to be kept and maintained, adequate
and correct accounts of the properties and business transactions of the Corporation. The books
of account shall at all reasonable times be open to inspection by any Elder as provided in the
Texas Non Profit Corporation Act.
The Treasurer shall deposit, or cause to be deposited, all moneys and other valuables in
the name and to the credit of the Corporation with such depositories as may be designated by
the Board of Elders. He shall disburse, or cause to be disbursed, the funds of the Corporation
as may be ordered by the Board of Elders, shall render, or cause to be rendered, to the
Chairman and the Elders, whenever they request it, an account of all the transactions and of the
financial condition of the Corporation, and shall have such other powers and perform such
other duties as may be prescribed by the Board of Elders. He shall make, or cause to be made,
the financial reports at each regular Board meeting and at the Annual Meeting of members.

ARTICLE IX
Ordination, Licensing and Commissioning
Section 1. Ordination
Ordination refers to the unanimous recognition by the Board of Elders of a mans call to
the pastoral ministry, preparation as a shepherd, and qualifications to serve. Ordination shall be
conferred for life, so long as the man continues to manifest the qualifications of the office.

Section 2. Licensing
The license is issued by the Board of Elders and is given in recognition of a mans call
to that ministry. Its aim is to allow a man to perform the ecclesiastical duties and functions of

the Church (i.e., marriage, funerals, etc.). Licenses can be revoked at the discretion of the
Board of elders.

Section 3. Commissioning
When local Church certification is required for ministry where ordination or licensing
would be unnecessary or inappropriate, a person may be commissioned by the Board of Elders
to minister. This authorization continues as long as the opportunity to minister remains in
effect and as long as the person maintains the qualifications for ministry.

ARTICLE X
The Pastor-Teacher, Associate Pastoral Staff, and Other Staff
Section 1. Pastoral Selection
The Pastor-Teacher shall fulfill all qualifications and responsibilities of an Elder as
described in Article VI of this Constitution. He shall be selected by the unanimous vote of the
Board of Elders and may be subject to a vote of the members per Article V, Section 3. The
Pastor-Teacher shall hold the office of Elder as long as he remains Pastor-Teacher, without
undergoing the selection process of Elders explained in Article VI, Section 4 of this
Constitution. He shall remain in office an indefinite period of time subject to the following
reservations: The Elders reserve the right to dismiss the Pastor-Teacher upon giving him at
least one months written notice of its intention to dismiss. The Pastor-Teacher must give at
least one months notice if he intends to resign. The time limit of a Pastor-Teachers
resignation or dismissal is subject to a lesser time if both the Pastor-Teacher and the Elders by
mutual agreement provide otherwise. Church membership shall be conferred on the PastorTeacher and his wife.

Section 2. Pastoral Duties


The Pastor-Teacher and the Chairman of the Elder Board shall be ex-officio members
of all councils and committees. The Pastor-Teacher shall be responsible to the Board of Elders.
The Pastor-Teacher shall arrange for and conduct all public and regular services of the Church
and shall be responsible for, with the Board of Elders, general oversight of the spiritual welfare
of the Church. In the absence of the Pastor-Teacher, the Board of Elders (or a duly appointed
Committee of the Board, per Article VI, Section 18 of this Constitution, at the sole discretion of
the Board), shall be responsible to arrange for the public and regular services of the Church.

Section 3. Associate Pastoral Staff


Associate pastoral staff may be added from time to time as deemed necessary by the
Board of Elders. Such staff members shall fulfill qualifications and responsibilities designated
by the Board of Elders required to meet the job duties prescribed. These may or may not

include the qualifications and responsibilities of an Elder as described in Article VI of this


Constitution. Associate pastoral staff shall be selected by unanimous vote of the Board of
Elders and may be subject to a vote of the members per Article V, Section 3.
Associate pastoral staff do not automatically assume the office of Elder. Should any
associate pastoral staff serve as an Elder, he must first undergo the selection process of Elders
as explained in Article VI, Section 4 of this Constitution. He shall hold the office of Elder as
long as he remains qualified per Article VI, Section 5 of this Constitution. He shall remain on
staff for an indefinite period of time subject to the following reservations: The Elders reserve
the right to dismiss an associate pastor upon giving him at least one months written notice of
its intention to dismiss. The associate pastor must give at least one months notice if he intends
to resign. The time limit of a pastors resignation or dismissal is subject to a lesser time if both
the pastor and the Elders by mutual agreement provide otherwise. Church membership shall be
conferred on an associate pastor and his wife.

Section 4. Other Staff


Other staff may be added from time to time as deemed necessary by the Board of
Elders. Such staff members shall fulfill qualifications and responsibilities designated by the
Board of Elders required to meet the job duties prescribed. They shall be selected by the Board
of Elders and shall remain in their positions an indefinite period of time subject to the following
reservations: The Elders reserve the right to dismiss staff members upon giving at least two
weeks written notice of its intention to dismiss. Staff members must give at least two weeks
written notice if they intend to resign. The time limit of resignation or dismissal is subject to a
lesser time if both the staff member and the Elders by mutual agreement provide otherwise.
Staff members shall go through Church membership procedures as described in Article V,
Section 4 of this Constitution prior to becoming members of the staff.

ARTICLE XI
Settlement of Disputes
Section 1. General
In any dispute arising between Church members, pastors, or staff pertaining to any
matter of spiritual teaching or practices, Church finances, or title to property purchased with
Church contributions, the dispute shall be resolved by the Board of Elders of the Church (or a
duly appointed Committee of the Board, per Article VI, Section 18 of this Constitution, at the
sole discretion of the Board) per 1 Corinthians 6:1-6. A decision shall be reached after
prayerful consideration, in a spirit of humility, with each Elder regarding one another before
himself and striving to preserve the unity of the Spirit in the bond of peace (Ephesians 4:1-3).

ARTICLE XII
Other Provisions
Section 1. Endorsement of Documents, Contracts
The Board of Elders, except as otherwise provided in this Constitution, may authorize
in writing any officer or officers, agent or agents, to enter into any contract or execute any
instrument in the name of and on behalf of the Corporation. Such authority may be general or
confined to specific instances. Unless so authorized by the Board of Elders, no officer, agent or
employee shall have any power or authority to bind the Corporation by any contract or
agreement, or to pledge its credit, or to render it liable for any purpose or to any amount.
Subject to the provisions of applicable law, any note, mortgage, evidence of
indebtedness, contract, conveyance, or other instrument in writing and any assignment or
endorsements thereof executed or entered into between this Corporation and any other person,
when signed jointly by the Chairman or Vice-Chairman, and the Secretary and the Treasurer of
this Corporation shall be valid and binding on this Corporation in the absence of actual
knowledge on the part of the other person that the signing officers had no authority to execute
the same.

Section 2. Representation of Shares of Other Corporations


The officer or officers authorized by the Board are authorized to vote, represent, and
exercise on behalf of the Corporation all rights incident to any and all shares of any other
Corporation or Corporations standing in the name of the Corporation. The authority herein
granted may be exercised either by any such officer in person or by any other person authorized
to do so in proxy or power of attorney duly executed by said officer.

Section 3. Construction and Definition


Unless the context otherwise requires, the general provisions, rules of construction and
definitions contained in the general provisions of the Texas Non Profit Corporation Act and in
the Texas Nonprofit Religious Corporation Act shall govern the construction of this
Constitution.

Section 4. Amendments
This Constitution may be amended and/or added to, or a new Constitution may be made
from time to time at any time by the Board of Elders in the exercise of the power granted to
said Board of Elders in this Constitution. Such amendments, additions, or a new Constitution
may be submitted to the members for a vote per Article V, Section 3 of this Constitution.

Section 5. Record of Amendments


Whenever an amendment or new Constitution is adopted, it shall be copied in the book
of minutes with the original Constitution, in the appropriate place. If any amendment or
Constitution is repealed, the fact of repeal with the date of the meeting at which the repeal was
enacted or written assent was filed shall be stated in said book.

ARTICLE XIII
Receipt, Investment, and Disbursement of Funds
Section 1. Receipt of Funds
The Corporation shall receive all funds or other properties transferred to it for the
purposes for which the Corporation was formed, as shown by the Articles of Incorporation.
However, nothing contained herein shall require the Board of Elders to accept or receive any
money or property of any kind if it shall determine in its discretion that receipt of such money
or property is contrary to the expressed purposes of the Corporation as shown by said Articles.

Section 2. Investment and Disbursement of Funds


The Corporation shall hold, manage, and disburse any funds or properties received by it
from any source in a manner that is consistent with the expressed purposes of this Corporation.

ARTICLE XIV
Corporate Records and Reports
Section 1. Records
The Corporation shall maintain adequate and correct accounts, books, and records of its
business and properties. All such books, records, and accounts shall be kept at its principal
place of business in the State of Texas, as fixed by the Board of Elders from time to time.

Section 2. Inspection of Books and Records


In accordance with the provisions of the Texas Nonprofit Religious Corporation Act,
every Elder shall have the right, at any reasonable time and with reasonable justification, to
inspect and copy all books, records, and documents of every kind and to inspect all properties
of the Corporation.

Section 3. Fiscal Year of the Corporation


The fiscal year of the Corporation shall begin on the first day of November and end on
the last day of October in each year.

ARTICLE XV
Dissolution
Section 1. Division
In case of schism in the Church membership, the Corporations property shall be
entrusted to those Elders who remain and abide by this Constitution.

Section 2. Corporation Property


The property of the Corporation is irrevocably dedicated to biblical Christian purposes
and no part of the net income or assets of the Corporation shall ever inure to the benefit of any
director, officer, or member thereof, or to the benefit of any private person, except as wages
and other arms-length transactions.

Section 3. Dissolution
Upon dissolution of this Corporation, the Board of Elders shall cause the assets herein
to be distributed to another Corporation with purposes and doctrinal beliefs similar to those
identified in Articles II and III of this Constitution and Article IV of the Articles of
Incorporation. Nothing in this section shall be construed as a requirement that the properties
and obligations of the Corporation be liquidated prior to distribution.

ARTICLE XVI
Instruments in Writing
All checks, drafts, demands for money and notes of the Corporation and all written
contracts of the Corporation shall be signed by such officer or officers, agent or agents, as the
Board of Elders may from time to time by resolution designate.

ARTICLE XVII
Pension
The Board of Elders shall appoint, as deemed necessary by the Board, a pension and
retirement review committee consisting of two or more members, and their findings shall be
presented, whenever requested, to the Board of Elders.

CERTIFICATION

Constitution was adopted as the Constitution hereof on December 3rd, 2000, by the Board of Elders of said
Corporation in a regularly called meeting on the same date. I do further certify that the above Constitution was
adopted as the Constitution hereof by the members of the Church in a regularly called meeting on the same date.
Said Constitution is, as of the certification, the duly adopted and existing Constitution of this Corporation.

of the proposed modifications on January 5th, 2003, and the proposed modification had been posted for
congregational review. No objection had been received from any member.

The following Section of the Constitution of Copperfield Bible Church was amended by unanimous approval of
the Board of Elders on October 18, 2009, at the regularly scheduled annual business meeting. No objection had
been received from any member.
Article XIV, Section 3
Fiscal Year of the Corporation
Previous wording, "The fiscal year of the Corporation shall begin on the first day of November and end on the
last day of October in each year."
New wording, "The fiscal year of the Corporation shall begin on the first day of January and end on the last day of
December in each year."
