PARTIES AND PURPOSE

The undersigned are mutually desirous of doing business with respect to the arranging, selling
and buying of various commodities, currency markets, Bonds, products and equipment in
cooperation with one another and with third parties for the mutual benefit of all. It is their
intention that the information exchanged among the signatories in the course of doing business,
as well as the documents which will be generated subsequent to the execution of this Agreement,
including but not limited to letters of intent, full corporate offers, bank comfort letters, contract
terms and conditions, banking details or pre-advised payment instruments, and/or any
information contained in such documents, will not be passed, under any circumstance, to another
intermediary or broker or trader or any other company or private person who is not an end buyers
or end supplier, without prior specific written consent of the party or parties generating or with
proprietary rights to such information and/or documentation.
This Agreement shall obligate the undersigned parties and their partners, associates, employers, employees,
affiliates, subsidiaries, parent companies, nominees, representatives, successors, clients and assigns (hereinafter
collectively referred to as The Parties) jointly, severally, mutually and reciprocally for the term of and to the
performance of the terms and conditions expressly stated and agreed to below. Furthermore, whenever this
Agreement shall be referenced in any subsequent document(s) or written agreements, the terms and conditions of
this Agreement shall apply as noted and shall further extend to any exchange of information, written, oral or in any
other form, involving financial data, personal or corporate names, contracts initiated by or involving the parties and
any addition, renewal, extension, rollover amendment, renegotiations or new agreement that are in any way a
component of what shall hereinafter be referred to as The Project or The Transaction for the purchase of the
subject commodities, products, and/or equipment.
NOW, THEREFORE, IT IS MUTUALLY AGREED

PARTICIPANTES Y PROPOSITO
Los suscritos, acuerdan mutuamente estar deseosos de hacer negocios en lo que respecta a la oferta, compra y
venta de diversos productos bsicos, como mercados de divisas, bonos, productos y equipos en mutua cooperacin

y con terceros para beneficio de todos. La intencin es que la informacin intercambiada entre los signatarios en va
de hacer negocios, as como los documentos que se derivarn de la ejecucin del presente acuerdo, incluyendo
pero no limitando las (LOI) cartas de intencin, Ofertas Corporativas, Cartas de Crdito Bancarias, clusulas y
condiciones contractuales, datos bancarios o instrumentos de preaviso de pago, y/o cualquier informacin contenida
en esos documentos, que no sean aprobadas, bajo ninguna circunstancia, u otro intermediario o agente o
comerciante o cualquier otra empresa o persona privada que no sea comprador final o proveedor, sin previo
consentimiento por escrito de la parte o partes o con la generacin de derechos de propiedad a dicha informacin
y/o documentacin, FACILITE LA EJECUCION DE LAS NEGOCIACIONES.
El presente Acuerdo obliga a las partes firmantes y sus socios, asociados, patronos, empleados, filiales, subsidiarias,
empresas matrices, candidatos, representantes, sucesores, y asigna los FIRMANTES (en lo sucesivo las Partes)
conjuntamente, por separado, y mutuamente recprocamente para la expresin de y para el cumplimiento de los
trminos y condiciones que expresamente se indique y de acuerdo a continuacin. Por otra parte, cada vez que este
Acuerdo se hace referencia a cualquier documento (s) o acuerdos por escrito, los trminos y condiciones del
presente Acuerdo se aplicar como se ha sealado, y para ampliar an ms los intercambios de informacin, escrita,
oral o en cualquier otra forma, con la participacin de datos financieros, personales o denominacin social, iniciado
por los contratos o la participacin de las partes y cualquier otra parte, la renovacin, ampliacin, modificacin de
renovacin, renegociacin o nuevo acuerdo que estn de alguna forma un componente de lo que deber ser en lo
sucesivo denominado El Proyecto o "La transaccin para la compra de los productos bsicos, productos y/o
equipos.

The Parties hereby legally, wholly and irrevocably bind themselves and guarantee to one another that they shall not
directly or indirectly interfere with, circumvent or attempt to circumvent, avoid, by-pass or obviate each others
interest, or the interest or relationship between The Parties, by means of any procedures, sellers, buyers, brokers,
dealers, distributors, refiners, shippers, financial instructions, technology owners or manufacturers, for the purpose of
changing, increasing or avoiding, directly or indirectly, payments of established or to be established fees,
commissions, or the continuance of pre-established relationships, or to intervene in un-contracted relationships with
manufacturers or technology owners, intermediaries, entrepreneurs, legal council, or to initiate any buy/sell or any
transactional relationship that by-passes one of The Parties in favor of any other individual or entity, in connection
with the subject Transaction or Project or any related future Transaction or Project.
La intencin de las partes es quedar legalmente, comprometidos irrevocablemente a garantizar el uno al otro que no,
directa o indirectamente, interferirn, eludirn o intentar eludir, evitaran, pasar por encima o eliminar los intereses de
los dems o el inters o relacin entre "Las Partes " con los procedimientos, vendedores, compradores,
intermediarios, comerciantes, distribuidores, refineras, cargadores, instituciones financieras, tecnologa de los
propietarios fabricantes, a cambio, de evitar directamente o indirectamente los pagos establecidos o que se
establezcan como honorarios, comisiones, o la continuacin del contacto-relacin establecida o intervenir en un
contrato, por las relaciones con los fabricantes o propietarios de la tecnologa de intermediarios con los empresarios,
consejo legal o iniciar compra/venta relacin o transaccin, relacin que pasara por encima de "Las Partes"
directamente, en relacin con cualquiera en curso y futuras operaciones o proyectos.

AGREEMENT NOT TO DISCLOSE

ACUERDO DE NO REVELAR (NO DIVULGACION O CONFIDENCIALIDAD)

The Parties irrevocably agree that they shall not disclose or otherwise reveal directly or indirectly to any unauthorized
individual or entity any confidential information provided by one party to another, including but not limited to contract
terms, product information or manufacturing processes, prices, fees, financial agreements, schedules and information
concerning the identity of sellers, producers, buyers, lenders, borrowers, brokers, distributors, refiners,
manufacturers, technology owners, or the representatives of any of the above, as well as names, addresses,
principals or telex/fax/telephone numbers, references to product or technology information and/or any other
information deemed confidential or privileged within the broadest possible scope of The Project or The Transaction
without prior specific written consent of the party or parties generating or with proprietary rights to such information.
"Las Partes" acuerdan irrevocablemente que no revelarn directa o indirectamente a terceros ninguna informacin
confidencial proporcionada por cualquiera de las partes a particulares o condiciones contractuales, ni informacin
sobre los productos o procesos de fabricacin, precios, tarifas, acuerdo financieros, los cuadros y la informacin
sobre la identidad de los vendedores, productores, compradores, prestamistas, prestatarios, corredores,
distribuidores, refineras, fabricantes, propietarios de la tecnologa, o su representante y, concretamente, nombres,
direcciones, directores, o tlex, e-mail, fax, nmeros de telfono , referencias de productos o tecnologa de
informacin y / u otro tipo de informacin asesorado por una parte (s) a ser uno como otro, a ser confidencial o
privilegiada, sin previo consentimiento por escrito de la Parte (s) de suministro de tal informacin.

AGREEMENT TO HONOR COMMISSIONS

ACUERDO PARA HONRAR LAS COMISIONES DE TODOS
Commissions, fees, compensation or remuneration to be paid as part of The Transaction or The Project anticipated
by this Agreement shall be agreed upon by separate written agreement of The Parties concerned and shall be paid at
the time and in the manner designated in such separate agreement, unless otherwise agreed among the affected
Parties.
All Parties hereby irrevocably and unconditionally agree and guarantee to honor and respect all such fees and
remuneration arrangements made as part of a commission transaction, even if an individual Party is not an integral
component of and/or a signatory to a specific commission, fee or remuneration agreement.the parties will agree the

Comisiones, honorarios, compensacin o remuneracin que deban pagarse como parte de la transaccin o del
proyecto previsto por el presente Acuerdo debern ser aprobadas por acuerdo escrito independiente de las partes
interesadas y se abonar en el momento y en la forma designada en tal acuerdo separado, salvo acuerdo entre las
Partes afectadas.
Todas las Partes irrevocable e incondicionalmente estn de acuerdo, para garantizar el honor y el respeto de todos
los honorarios y remuneraciones adoptados como parte de una comisin de transaccin, incluso si una persona o
Parte no es un componente integral de y/o signatario de una comisin especfica, acuerdo de pago o remuneracin..

ACUERDO DE INFORMAR
In the specific situation where a Party acting as an agent of the buyer allows the buyer or the buyers representative
and the seller to deal directly with one another, said agent shall be informed of the subsequent development of all
transactions between the buyer or the buyers representative, and shall be provided timely copies of all pertinent
developmental and/or transactional correspondence and documentation relative thereto by the buyer or the buyers
representative and/or the seller.

En la situacin especfica de que una de las Partes actuando como agente del comprador permite que el comprador
o el representante del comprador y el vendedor para tratar directamente el uno con el otro, dicho representante ser
informado del desarrollo posterior de todas las transacciones entre el comprador o el representante del comprador, y
se facilitar oportunamente las copias de todos los mbitos de desarrollo y/o transacciones, correspondencia y
documentacin relativa al mismo por el comprador o el representante del comprador y/o del vendedor.

TERM
TERMINO
This Agreement shall have a self-renewing effect, from the date of this agreement.
This Agreement may be renewed for a further period oXXXXXXX, subject to and upon the terms and conditions
agreed between and among the signatories.
This Agreement shall apply to:

All transactions originated during the term of this Agreement.

All subsequent transactions that are follow up, repeat, or extended transactions or renegotiation(s) of
transactions originated during the term of this Agreement.

Declaration: I/we swear under penalty of perjury, the information given above is both true and accurate. All
monies engaged in this transaction are derived from non-criminal origin: and are good cleared. The origin of
funds is in compliance with Anti-Money-Laundering Policies as set forth by the Financial Action Task Force
(FATF) 6/01.
Este acuerdo tendr una validez del 9 OCTUBRE 2014 en adelante a partir de la fecha de este acuerdo.
Este acuerdo tiene una opcin para perodo de autorrenovable y sujeto a las modalidades y condiciones acordadas
entre ambas partes.
Este acuerdo se aplicar a:
Todas las transacciones que se originaron durante el periodo de vigencia de este acuerdo.
Todas las transacciones que se inicien, repitan, amplen o renegocien, de las transacciones que se
originaron durante el periodo de vigencia de este acuerdo.
Declaracin: Yo / nosotros juro bajo pena de perjurio, la informacin anterior es verdadera y exacta. Todos los
fondos que participan en esta operacin se derivan de origen no penal: son buenos y legales. El origen de los
fondos se ajusta a la Lucha contra el Blanqueo de Capitales como polticas establecidas por el Grupo de Accin
Financiera (FATF) 6/01.

ARBITRATION
ARBITRAJE
All disputes arising out of or in connection with this Agreement shall be finally settled under the rules of arbitration of
the International Chamber of Commerce (ICC) by one or more Arbitrators appointed in accordance with said
rules. All such arbitration awards shall be binding on all Parties and enforceable at law.
The Parties further agree to carry out the terms of any arbitration award without delay and shall be deemed to have
waived their right to any form of alternative recourse, by or through any other means, insofar as such waiver can
validly be made.
Each of The Parties named in an Arbitration proceeding and/or required to appear under such a proceeding, unless
otherwise agreed, shall be responsible for its own legal expenses. The prior sentence notwithstanding, any Party
adjudged by the Arbitrator to be in material breach of this Agreement shall compensate in full the aggrieved party, its
heirs, assignees and/or assigns, for the total remuneration received as a result of business conducted with The
Parties covered by this agreement, plus, subject to the determination of the Arbitrator, all its arbitration costs, legal
expenses and other charges and damages incurred relative to its dealings banks, lending institutions, corporations,
organizations, individuals, lenders, or borrowers, buyers or sellers that were introduced by the aggrieved party,
notwithstanding any other provisions of the award.

Todas las controversias que surjan de o en relacin con el presente Acuerdo sern finalmente resueltas con arreglo
a las normas de arbitraje de la "Cmara de Comercio Internacional (ICC)" por uno o ms rbitros nombrados de
conformidad con dichas normas. Todos esos laudos arbitrales sern vinculantes para todas las Partes y de obligado
cumplimiento en la ley.
Adems, las Partes convienen en llevar a cabo los trminos de cualquier laudo arbitral sin demora y se considerar
que han renunciado a su derecho a ningn tipo de recurso alternativo, a travs de cualquier otro medio, siempre y
cuando dicha renuncia puede ser hecha vlida.
Cada una de las partes citadas en un procedimiento de arbitraje y/o requerido a comparecer en virtud de dicho
procedimiento, salvo acuerdo en contrario, ser responsable de sus propios gastos legales. La frase anterior no
obstante, cobija a cualquiera de las Partes determinadas por el rbitro a estar en incumplimiento grave del presente
Acuerdo y sern compensados en su totalidad por la parte agraviada, sus herederos, cesionarios, y por la
remuneracin total percibida como resultado de los trabajos realizados con las partes cubiertos por este acuerdo,
adems, sujeto a la determinacin del rbitro, todos los gastos de arbitraje, gastos judiciales y otros gastos y daos
ocasionados en relacin con su trato con bancos, las instituciones de crdito, empresas, organizaciones, individuos,
prestamistas, o prestatarios, compradores o vendedores que fueron presentados por la parte agraviada, sin perjuicio
de otras disposiciones del laudo.

FORCE MAJOR

A party shall not be considered or adjudged to be in violation of this Agreement when the violation is due to
circumstances beyond its control, including but not limited to act of God, civil disturbances and theft or appropriation
of the privileged information or contract(s) without the intervention or assistance of one or more of The Parties.
Una de las Parte de este contrato, no debe considerar que se ha violado el presente Acuerdo, cuando la violacin se
deba a circunstancias ajenas a su control, incluyendo pero no limitado a disturbios civiles y el robo o la apropiacin
de la informacin privilegiada o contrato (s) sin la intervencin o ayuda de una o varias de las partes.

ENTITIES OWNED OR CONTROLLED

ENTIDADES PROPIETARIAS O CONTROLADAS

This Agreement shall be binding upon all entities owned or controlled by a party and upon the principal(s),
employee(s), assignee(s), family and heirs of each party.
Neither party shall have the right to assign this Agreement without the express written consent of the other.
El presente Acuerdo ser vinculante para todas las entidades que sean propiedad o sean controladas por una parte
y a el principal (s), empleado (s), cesionario (s), la familia y los herederos de cada una de las partes.
Ninguna de las partes tendr derecho a ceder este Acuerdo sin el consentimiento expreso y por escrito de la otra.

AGREEMENT NOT TO CIRCUMVENT

ACUERDO DE NO ELUSION

The Parties agree not to circumvent or attempt to circumvent this agreement in an effort to gain fees, commissions,
remunerations or considerations to the benefit of the one or more of The Parties with the full knowledge and
acquiescence of all necessary Parties, whether or not such fees, commissions remunerations or considerations
gained through circumvention would otherwise be deemed the rightful property of any one or several of The Parties.

Las Partes se comprometen a no eludir o intentar eludir este acuerdo en un esfuerzo para ganar honorarios,
comisiones, remuneraciones o consideraciones en beneficio de una o varias de las partes con el pleno conocimiento
y aquiescencia de todas las Partes, sean o no honorarios, comisiones o remuneraciones consideraciones adquirida a
travs de la elusin, de otro modo, se considerar la legtima propiedad de una o varias de las partes.

NOT PARTNERSHIP AGREEMENT

ACUERDO DE ASOCIACION

El presente Acuerdo se interpretar como un acuerdo de asociacin y beneficio mutuo, ninguna de las partes tendr
ninguna reclamacin en contra de cualquier trato por separado, empresas o bienes de cualquier otra parte, ni
ninguna de las partes ser responsable de la contabilidad separada e independiente las acciones de cualquier otro.

TRANSMISSION OF THIS AGREEMENT

ENVIO Y TRANSMISION DE ESTE ACUERDO
Any accurate and legally binding version of this Agreement accurately transmitted through MSN Messenger or any
similar programs, as well as telefax or e-mail programs, shall be deemed an equivalent, original, legal and binding
version of this Agreement.

Cualquier versin de este Acuerdo con precisin transmitida a travs de MSN Messenger o cualquier programas
similares, as como fax o programas de correo electrnico, se considerar equivalente, original, legal y vinculante
versin de este Acuerdo, y precisa y jurdicamente vinculante.

Each representative signs below guarantees that is duly empowered by his/her respectively named company to
enter into and be bound by the commitments and obligations contained herein either as an individual, corporate body
or on behalf of a corporate body, or power of attorney.
