CiscoAcademyMembershipAgreement

WelcometotheCiscoNetworkingAcademy.ThisagreementgovernsyourAcademysparticipationintheCiscoNetworkingAcademy.

TheNetworkingAcademyMembershipGuideforCiscoAcademies(NAMGCA)describesthebenefits,rolesandresponsibilitiesofCiscoSystems,Inc.oritssubsidiary
responsiblefordistributioninthecountryinwhichyouarelocated(Cisco)andyourAcademy.TheNAMGCAformspartofthisagreement,andwillbemadeavailableto
yourAcademybyCisco.YourAcademyshouldreviewtheNAMGCAcarefullybeforeagreeingtoparticipateintheCiscoNetworkingAcademy.Byacceptingthisagreement
yourAcademyagreestocomplywiththeNAMGCA.AstheCiscoNetworkingAcademyevolves,changestotheNAMGCAmaybeappropriate.Ciscowillexercise
reasonableeffortstoprovideadvancenoticetoyourAcademyofanymajorchangestotheNAMGCA.

Ciscoprovidesallresources,coursematerials,services,websitesorotherdeliverablesasis,withoutwarrantyofanykind(asfarasCiscoispermittedtodosobylaw).
FurtherdetailsaresetoutintheNAMGCA.

Thefollowingprovisions(a)(c)governyourtreatmentofpersonalinformationofAcademyandCiscoNetworkingAcademyparticipants(i.e.employees,students,instructors,
administrators,oranyotherofyourCiscoNetworkingAcademyparticipants)(CiscoNetworkingAcademyParticipants)providedtoorotherwiseobtainedbyCiscofromyour
AcademyinconnectionwiththeCiscoNetworkingAcademy:

a)Byenteringintothisagreement,yourAcademywillensurethatCiscoNetworkingAcademyParticipantshavegiventheirunambiguousconsent,totheprocessingof
theirpersonalinformationbyCisco:(i)fromwithinandoutsideoftheEuropeanEconomicAreaandthosecountriesdeemedtohaveadequatedataprotectionlawsin
connectionwithprocessingthepersonalinformationand(ii)inaccordancewithCiscoNetworkingAcademyPrivacyPolicy,asamendedfromtimetotimeandlocated
here.

b)YourAcademyagreestocomplywith:(i)applicabledataprotectionlawsandregulations,includingyourAcademysobligationsasdatacontrollerunderthoselaws
andregulationsand(ii)CiscosNetworkingAcademyPrivacyPolicylocatedhere.

c)YourAcademyshalldefend,indemnifyandholdharmlessCiscoanditsofficers,directors,employees,shareholders,customers,agents,successorsandassigns
fromandagainstanyandallloss,damages,liabilities,settlement,costsorexpense(includinglegalexpensesandtheexpensesofotherprofessionals)asincurred,
resultingfromorarisingoutofyourAcademysbreachofapplicablelawsrelatingtothetreatmentofpersonalinformation,includinganyclaimfortheunauthorized
solicitation,collection,storage,forwarding,oruseofpersonalinformation.Asaconditiontosuchdefenseandindemnification,CiscowillprovideyourAcademywith
promptwrittennoticeoftheclaimandpermityourAcademytocontrolthedefense,settlement,adjustmentorcompromiseofanysuchclaim.Ciscomayemploy
counselatitsownexpensetoassistitwithrespecttoanysuchclaimprovided,however,thatifsuchcounselisnecessarybecauseofaconflictofinterestofeither
yourAcademyoryourAcademyscounselorbecauseyourAcademydoesnotassumecontrol,yourAcademywillbeartheexpenseofsuchcounsel.Ciscoshall
havenoauthoritytosettleanyclaimonbehalfofyourAcademy.

YourtermofmembershipintheCiscoNetworkingAcademyisthreeyears(36months),commencingwhenyouclickacceptthisagreement.EitherCiscooryourAcademy
mayterminatethisagreementwithoutanyliabilitytotheotherpartyforanyreasonorfornoreasonbyprovidingatleastthirty(30)dayswrittennoticetotheother.Either
partymayrefusetoextendorrenewthethreeyeartermforanyreasonornoreason.

ByclickingAccept,yourepresentthatyouareauthorizedtoenterintothisagreement(includingtheNAMGCA)onbehalfofyourAcademy.
