TERMS AND CONDITIONS


THESE TERMS AND CONDITIONS ("TERMS AND CONDITIONS") STATE IMPORTANT REQUIREMENTS
REGARDING YOUR USE OF Core IT Resolve MANAGED SERVICE AND YOUR RELATIONSHIP WITH Core
IT Resolve . YOU SHOULD READ THEM CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION AND
INSTRUCTIONS SUCH AS HOW LONG IT LASTS, FEES FOR EARLY TERMINATION, OUR RIGHTS TO
CHANGE ITS CONDITIONS, LIMITATIONS OF LIABILITY, PRIVACY, AND SETTLEMENT OF DISPUTES BY
ARBITRATION INSTEAD OF IN COURT. IF YOU ACCEPT THIS AGREEMENT, IT WILL APPLY TO ALL YOUR
SERVICES FROM US, INCLUDING ALL YOUR EXISTING TERMS.

AGREEMENT
THESE TERMS OF USE, TOGETHER WITH EACH ACCEPTED PLAN PURCHASED BY YOU, ANY
ADDITIONAL TERMS MENTIONED IN YOUR PLAN AND THE PRIVACY POLICY, STATE THE ENTIRE
AGREEMENT BETWEEN YOU AND Core IT Resolve (THE "AGREEMENT"). THE PURCHASED PLAN WILL
FORM THE PART OF THE 'AGREEMENT' ONLY IF THE SAME HAS BEEN ACKNOWLEDGED BY Core IT
Resolve IN WRITING OR BY AN E-MAIL. YOU MUST AGREE TO THE TERMS OF USE IN ORDER TO BE
ELIGIBLE TO USE THE Core IT Resolve (DEFINED BELOW).

DEFINITIONS
Certain terms defined in these Terms and Conditions are also used in the Privacy Policy and are
incorporated by reference to these Terms and Conditions.
Content
Software, Materials, Services and other related information are collectively referred to as Content.
You or you
You means you individually, any person, including any employer that you are acting on behalf of.
CORE IT RESOLVE CERTIFIED TECHNICIAN/(S)"
"CORE IT RESOLVE Certified Technician means" technicians and specialists certified by CORE IT RESOLVE to
perform the Services under this Agreement.

"SUBSCRIPTION BASED PLANS"


"Subscription Based Plans" or "Subscription/(s)" are tenured Subscription plans offered by CORE IT
RESOLVEthat are active for a specified period and will not include any incident based plans such as "Per
Incident Plan" or the like.

"SERVICES" AND "CORE IT RESOLVEPORTAL"


All references to "Services" refer to any CORE IT RESOLVEservice plan that you enter into with CORE IT
RESOLVE through use of the CORE IT RESOLVE website located at www.coreitresolve.com (the "CORE IT
RESOLVE Portal") or by calling the CORE IT RESOLVE phone number mentioned on the CORE IT RESOLVE
website. These Terms of Use govern all plans available through the CORE IT RESOLVE website, and any use of
the CORE IT RESOLVE portal. In the event of any conflict these Terms of Use control any valid Plan Order form
that you submit requesting Services ("Plan Order").

CONTENT
All content present on this site is the exclusive property of CORE IT RESOLVE. The software, text,
images, graphics, video and audio used on this site belong to CORE IT RESOLVE. No material from
this site may be copied, modified, reproduced, republished, uploaded, transmitted, posted or
distributed in any form without prior written permission from CORE IT RESOLVE. All rights not
expressly granted herein are reserved. Unauthorized access or use of the materials appearing on this
site may violate copyright, trademark and other applicable laws, and could result in criminal or civil
prosecution.

PAYMENT
If you initially purchase a Per Incident, Monthly or Yearly plan, you need to pay before your service is
delivered. For a Per Incident account owner, your payment will be one time only. For a monthly or
yearly account owner, service must be redeemed within the specified subscription period after
which it is no longer usable and any unused portion is considered expired and non-refundable.
Sessions cannot be carried forward beyond their specified term. Upon monthly or yearly renewal
session count begins once payment is received.

CREDIT CARD BILLING


You may be asked to provide us with a credit card number from a card issuer that we accept in order
to activate your Service. You hereby authorize CORE IT RESOLVE to charge and/or place a hold on
your credit card with respect to any unpaid charges for Services or any related equipment. You
authorize the issuer of the credit card to pay any amounts described herein without requiring a
signed receipt, and you agree that these charges are to be accepted as authorization to the issuer of

all such amounts. You authorize CORE IT RESOLVE and/or any other company who bills products or
services, or acts as billing agent for CORE IT RESOLVE to continue to attempt to charge and/or place
holds with respect to all sums described herein, or any portion thereof, to your credit card until such
amounts are paid in full. You agree to provide CORE IT RESOLVE with updated credit card
information upon CORE IT RESOLVE request and any time the information you previously provided
is no longer valid. You acknowledge and agree that neither CORE IT RESOLVE nor any CORE IT
RESOLVE affiliated company will have any liability whatsoever for any non-sufficient funds or other
charges incurred by you as a result of such attempts to charge, and/or place holds on, your credit
card. If you mistakenly provide a debit card number, instead of a credit card number, you authorize
all charges described herein to be applied to such debit card unless and until you provide a credit
card number. In the event you are enrolled, or later enrol, in an automatic payment or electronic
funds transfer plan, you agree that all sums described herein may be charged, at CORE IT RESOLVE
option, to the account number provided for such automatic payment or electronic funds transfer
plan. When payment is made by credit card or debit card, payment will also be subject to the terms
and conditions established by the credit or debit card issuer.

REFUND POLICY
For subscription based plans, a full refund will be issued if CORE IT RESOLVE has not been able to
resolve even a single issue for you within the first 3 days of the subscription.
If there are one or more resolved issues, the fees for the subscription Service will not be refundable.
Notwithstanding this CORE IT RESOLVE may, at its sole discretion and on a case by case basis, agree
to a refund of Subscription fees after deducting charges for servicing the Customer.
For incident based plans, you will be eligible for refund when any of the following criterions are met:
-You have all the prerequisites which were required to resolve the problem and Issue was not
resolved till the time account was active.
-The issue is out of scope for the particular plan
-3 days have not passed after the issue was last worked upon by a CORE IT RESOLVE technician.

ECH BILLING
E-check payment is a no-fee alternative to credit card payment which directly debits your personal
checking or savings account. Allow 2-3 banking days for the charge to hit your personal bank
account. Please double check the routing and account number entered online to avoid returned
check fees.E-payments made with incorrect numbers will not be recognized by your financial
institution, and the payment will bounce within one to five business days, and you will be assessed
a < $25> returned check fee. For savings accounts, and other questions concerning your personal
bank accounts, please contact your financial institution.

LIMITATION LIABILITY
IN NO EVENT SHALL CORE IT RESOLVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE
LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL
DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF
CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER,
RESULTING FROM YOUR ACCESS TO AND USE OF THE WEBSITE, (III) ANY UNAUTHORIZED ACCESS
TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR
FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTIONS OR CESSATION OF
TRANSMISSION TO OR FROM OUR WEBSITE, (V), ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE
WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (VI)
ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND
INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR
OTHERWISE MADE AVAILABLE VIA THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT,
TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE
FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
YOU SPECIFICALLY ACKNOWLEDGE THAT CORE IT RESOLVE SHALL NOT BE LIABLE FOR USER
SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND
THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
THE WEBSITE IS CONTROLLED AND OFFERED BY CORE IT RESOLVE FROM ITS FACILITIES IN DELHI,
INDIA. THOSE WHO ACCESS OR USE THE WEBSITE FROM OTHER JURISDICTIONS DO SO AT THEIR
OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.

SCOPE OF SERVICE
You may initiate the Services via telephone, via the Site, or other means made available by CORE IT
RESOLVE. CORE IT RESOLVE will use commercially reasonable efforts to answer your technology
question and resolve your technology problem for a fee as set forth in the Site or as quoted on the
telephone, as applicable. CORE IT RESOLVE may provide certain portions of the Services via remote
control session, online chat or e-mail. We may set forth limits to the technology we support. Certain
Services may have minimum system requirements.
CORE IT RESOLVE Services may include Services that are available on a one-time basis, for a fee
("Individual Services"); as well as subscription Services, which are an entitlement to more than one
Service over a period of time, for a recurring fee ("Subscription Services").
For Subscription Services, the applicable fees will depend on the type of subscription that you
purchase, and the duration of the subscription. Unless you have purchased a special or trial offer
Subscription Service that specifically provides otherwise, a one time set-up fee applies to all

Subscription Services. For Personal and Business Subscriptions, the minimum subscription duration is
six (6) months.
Unless you have purchased a special or trial offer Subscription Service that specifically provides
other terms for cancellation and/or refund, you may cancel any Subscription Service within five (5)
days following your purchase of the Subscription Service, by contacting CORE IT RESOLVE.
Otherwise, the fees for the Subscription Service are not refundable.
By authorizing Us to charge Your credit card for Your Subscription Service, You further authorize
CORE IT RESOLVE to continue to charge Your credit card (or a replacement card, if the credit-issuing
entity informs CORE IT RESOLVE that a replacement card has been issued) for all fees associated with
the Subscription Service, including renewals. You must contact CORE IT RESOLVE if you do not wish
to renew Your Subscription Service; if you do not contact CORE IT RESOLVE, we are not going to auto
reniew your services.

MEMBER CONDUCT
You understand that the Website and the Service are available for your personal, non-commercial use only. You
agree not to knowingly create channel names (which shall, without limitation, constitute User Submissions) that
infringe on a trademark, copyright or other proprietary rights. You also agree not use the Website and Service in
such a way as to prevent or interfere with the usage of others. You acknowledge and agree that in the event you
permit User Submissions by other users to your channel, you shall be solely responsible for ensuring that such
User Submissions comply with the terms of this Agreement. CORE IT RESOLVE reserves the right to
discontinue access to all or any part of the Website and/or the Service to any user whose usage is deemed, in
CORE IT RESOLVEs sole discretion, to interfere with or discourage the reasonable usage of the Website and
the Service by others.

DISCLAIMER
CORE IT RESOLVE is not associated, affiliated, consorted, and connected with any type of software or
service identified as rogue or similar to disrupt a user's computer experience. CORE IT RESOLVE
doesn't promote or sell any software identified as rogue or similar to its subscribers in any way.
CORE IT RESOLVE experts may need to install certain tools to fix or repair your computer properly,
these tools will be completely uninstalled and none will be left once the problem has been solved.
The site, and all content provided on or through the site, are provided on an "as is" and "as
available" basis, except where expressly provided otherwise. CORE IT RESOLVE Station expressly
disclaims all warranties of any kind, whether express or implied, including, but not limited to, the
implied warranties of merchantability, fitness for a particular purpose and non-infringement with
respect to the site and all content provided on or through the site. CORE IT RESOLVE Station makes
no representation or warranty as to: (a) the site or content meeting your expectations; (b) the site
will be available on a continuous, secure or error-free basis; (c) the quality of any content purchased
or obtained by you on or through the site will meet your expectations; or (d) all other trademarks,

company names, product names and brand names are the property of their respective owners, and
CORE IT RESOLVE disclaims any ownership in such third-party marks. CORE IT RESOLVE bears no
affiliation to any third party referenced on this site, unless such relationship is expressly specified
herein. For permitted use and specific warranties, please contact the relevant third party/(ies).
This site and/or its content may not be extracted; published; disseminated; or reproduced in
material form; and/or may not be incorporated into any contract and does not constitute a contract
or a commitment to any specific terms, without the express written permission of CORE IT RESOLVE.
CORE IT RESOLVE reserves the right to make ongoing changes or updates to, and monitor the use of,
the site and content provided on or through the site at any time without notice.

NOTE
On your billing statement the transaction is going to reflect under the merchant name of CORE IT
RESOLVE. And CORE IT RESOLVE is an independent service provider and not associated with any
third party.
