TRUST DEED
THIS DEED OF TRUST is made at New Delhi on this the [INSERT] day of
[INSERT], 2013 BETWEEN:

Ms. Ayesha Christina Kant, daughter of [INSERT], resident of


[INSERT],

(hereinafter

referred

to

as

the

SETTLOR

and

the

MANAGING TRUSTEE which expression shall, unless repugnant to the


subject or context hereof, include her heirs, executors, administrators and
assigns) of the ONE PART
AND

(hereinafter,

with

the

inclusion

of

the

Managing

Trustee,

collectively referred to as the Trustees which expression shall


include, unless repugnant to the context, hereof, all other Trustees
for the time being and from time to time of Trust hereby created) of
the OTHER PART:

WHEREAS the Settlor is desirous of making an endowment for charitable


purposes for the benefit of the public.
NOW THIS DEED WITNESSETH AS FOLLOWS:

1.

The Settlor hereby irrevocably transfers, conveys and assigns unto


the Trustees all that the property mentioned and described in the
schedule hereto belonging to the Settlor valued at Rs. [INSERT]/(Rupees [INSERT] only) to hold the same (together with all and any
other properties and/or funds as may hereinafter by the Settlor or by
any other person or persons be assigned, bequeathed, delivered and
transferred to the Trustees for the Trust and purposes herein
provided) upon Trust and for the purpose hereinafter mentioned, the
Trust property(ies) and/or fund together with the investments and
income thereof being hereinafter referred to for the sake of brevity
as the Trust Fund and the said Trust hereinafter referred to as
the Trust.

2.

The name of the Trust shall be NEIGHBOURHOOD WOOF.

3.

The Trustees and the Settlor hereby declare that the Trustees of the
Trust shall hold and stand possessed of the Trust Fund, which
expression shall include, all the singular moneys, securities, stocks,
shares, properties, interests and investments and the proceeds and
conversions hereof as may be acquired or received by the Trustees
from the Settlor or any other person or persons from time to time or
as may come to their hands by virtue of these presents or by
operation of law or by virtue of the powers and authorities vested in

them or any of them as specified hereinafter or otherwise however


in relation to these presents including any donation or contribution
as may be received by the Trustees and all accretions to the Trust
Fund from time to time upon the Trusts and subject to the powers,
provisions, agreements and declarations hereinafter contained and
or declared of and concerning the same.

4.

The objects of the Trust shall be:

i.

To bring much needed efficiency to the Animal Birth Control


Programme, prescribed by the World Heath Organization and the
Central Government as the most humane solution to the stray
dog population crisis.

ii.

To give Delhi a quick, responsive animal ambulance service


and helpline. (our vehicle will not be registered as an ambulance.
For all purposes it is an animal transport vehicle)

iii.

Raise the standard of veterinary care that is currently available


for dogs.

iv.

Establish and operate a state of the art surgical unit,


outpatient clinic and cremation service, wherein stray/homeless
animals have free tickets to whatever is required.

v.

An

aggressive Anti

Cruelty patrol.

From local protests,

confiscation, legal aid, collecting evidence, supporting human


victims.
vi.

Education and Awareness, so the local public is aware of what


needs to be/ is being done for their local stray dogs.

vii.

An adoption programme to encourage and facilitate adoption


of abandoned and street dogs.

viii.

Resource

mobilization

and

funding:

From

collection

of

donations in kind: newspaper, food, medicines, shelter, etc to


raising funds for all our road campaigns , building human
resources for animal welfare.
ix.

To manage and run a volunteer service and support group. It


may be worth to differentiate. Our current volunteers work for
Neighbourhood Woof. They manage our current work load: picking
up dogs, checking houses of potential adopters, fostering, picking
up dogs for neutering, interacting with local dog lovers and so on.
The volunteer service i refer to here is somewhat different. This
group will participate in the animal welfare SHELTER closest to
them. A NW volunteer will supervise a roster and their activities
because animal shelters DO not have the time to do this and end
up missing out on much needed help.

Merchandising , Promotion and Publicity

xi.

Partnerships with international and internal welfare groups.


Partnerships with private and public international and national
enterprises to promote this cause.

xii.

To do all other lawful acts, deeds, matters and thin whatsoever


without limitation to the afore-going which are incidental or
conducive to the attainment of the objects of the Trust;

PROVIDED THAT the income and property of the Trust howsoever derived
shall be applied solely in and towards the objects of the Trust as set forth
above, and the same shall be deemed to be held in Trust on the obligation
that they shall be exclusively so utilized and for no other purpose AND no
part of the income or property aforesaid shall be paid, used, applied or
transferred, directly or indirectly, by way of dividend, bonus or otherwise,
or for the benefit of the Settlor or Trustees or to any one or more of them,
provided that this shall not prevent payment in good faith of remuneration
to any person for service rendered.

5.

(a)

The Trustees shall out of the income of the Trust fund pay for
the

proper

maintenance

and

upkeep of

the properties

comprised in the Trust properties and other expenses in


connection with the management of the Trust.

(b)

The surplus income of the Trust fund shall be used by the


Trustees for the furtherance of the aforesaid objects of the
Trust.

(c)

If the income of the Trust fund shall not be sufficient to meet


the expenses mentioned in sub-clauses (a) and (b) above, the
Trustees may pay the same out of the corpus of the Trust Fund.

6.

(a)

The Trustees named herein and the Settlor shall be the first
Trustees of the Trust.

(b)

There shall not be at any time in respect of the Trust less than
[INSERT] Trustees or more than [INSERT] Trustees.

(c)

Subject to the sub-clause (b) above, the power to appoint a


new Trustee or new Trustees shall vest in the continuing or
surviving Trustee(s) for the time being provided that so long as
Ayesha Christina Kant shall be a Trustee, the power to appoint
new Trustees shall vest in her exclusively unless she shall
decline to exercise the power.

(d)

The Trustee shall act on the basis of a resolution passed by


majority at a meeting of the Trustees or by circulation. Not less
than 2 (Two) Trustees shall be present at a meeting to form a
quorum. So long as Ayesha Christina Kant is alive no meeting
shall take place unless she is present or has authorised the
convening of such meeting in writing. In the event of an

equality of votes, so long as Ayesha Christina Kant shall be a


Trustee, she shall have a second or casting vote, and in her
absence, the oldest Trustee by age present shall have a
second or casting vote.
(e)

Any Trustee may resign by giving notice in writing to his/her


co-Trustees, and any Trustee, other than Ayesha Christina Kant,
shall also cease to be a Trustee if requested in writing by at
least two-third of the Trustees.

7.

The Trustees shall be entitled to appoint by resolution one or more


among them as the Chairman of the Trust, one or more among them
as the Managing Trustee(s) for the management of the day-to-day
affairs of the Trust and Secretary of the Trust or in the conduct of any
particular business or businesses of the Trust and the Trustee may
unanimously delegate upon the Managing Trustee or Trustees or any
one or more amongst the Trustees any and all such powers as they
deem fit inclusive of the power to operate upon any bank or other
account maintained by the Trust within such limits, if any, as the
Trustees may in the circumstances deem fit. The first Managing
Trustee of the Trust shall be Ayesha Christina Kant. The first
Chairman of the Trust shall be [INSERT]. The first Secretary of the
Trust shall be [INSERT].

8.

Without prejudice to any other power of the Trustees in the


management and execution of the Trust, the Trustees may employ
solicitors, counsel, agents of all kinds, auditors bankers or brokers,
managers, contractors and/or such other officials or servants
whatsoever as may be necessary in or relative to or to transact all or
any of the matters required to be done in relation to the Trust and/or
as may be deemed necessary by the Trustees for the purpose of the
Trust and upon such terms and conditions as the Trustees in their
discretion prescribe or deem fit, and may vest in or delegate to any
such person or persons such powers as the Trustees may consider
necessary. AND any Trustee(s) hereunder who should be employed in
any profession or business shall be entitled to and may be paid all
usual and proper charges for any business or work done by her or
his firm.

9.

(a)

True accounts shall be kept of all sums of moneys received and


expended by the Trust and the matters in respect of which
receipt and expenditure take place, and of the properties
credits and liabilities of the Trust.

(b)

The accounting year of the Trust shall be from the 1st day of
April of each year to 31st day of March of the following year.

(c)

At least once in every year the Accounts of the Trust will be


examined and audited and the correctness of the Balance

Sheet and Income & Expenditure ascertained by one or more


auditors.
10.

In the event the Trustees finding at any time that it has become
impossible to carry out the purpose of the Trust on account of any
exceptional circumstances and/or that the objects of the Trust of any
part thereof can be carried out more conveniently or usefully by
some other Trust society or institutions, then the Trustees shall have
the powers if they think it to be expedient and in the interest of the
object of the Trust, to transfer the assets and liabilities of the Trust or
any part or parts thereof, subject to the conditions and/or Trusts, if
any attached to the same as specified herein to any other charitable
Trust, society or company or institution capable of carrying out the
said objects and upon transfer of entire assets and liabilities,
thereupon the Trustees shall stand discharged.

11.

None of the Trustees shall be personally responsible for any losses


incurred by the Trust in respect of any dealings carried out on behalf
of the Trust unless the same is due to their own fraud misconduct or
misappropriation but otherwise the Trustees shall be indemnified
from and out of the funds and moneys of the Trust against any
losses or damages which the Trustees might suffer in regard to any
act or deed in the performance of their duty(ies) including any fines

or penalties that may be imposed under any enactment for the time
being in force.

12.

The Trustees shall by majority resolution have power to add to/other,


extend and to modify any of the provisions of this Trust Deed as long
as they are not in conflict with the object and purposes of the Trust.
