Non-Disclosure and Confidentiality Agreement

(Agreement)
I, _______________________, understand and agree that in my participation in one or
more case studies with LL Global, Inc. and/or its wholly owned subsidiaries (LL Global, Inc.):
During this participation, I may become aware of confidential information including, but not
limited to, trade secrets, business methods, research, financial information, sales and marketing
techniques, personnel information, compensation plans, products and services of LL Global, Inc.,
or of its member companies for which LL Global, Inc. provides services (collectively called
Confidential Information); and
I should only review and work with material, printed or otherwise, that have been provided to me
for my participation in one or more case studies, and that I should never review any information
or material about a member company without express approval, and I should not participate in or
monitor conversations related to LL Global, Inc.s business that does not directly concern my
participation in said case study; and
I shall not disclose or use for my own benefit any Confidential Information except as required by
my participation in one or more case studies. I acknowledge that this obligation shall apply both
during my participation and after, in one or more case studies, and shall apply to any future
employment I may engage in; and
Improper disclosure of Confidential Information could be detrimental to LL Global, Inc., and to
its member companies for which it provides services; and
Improper use or disclosure of the Confidential Information may subject me to liability for
damages, punitive damages and attorneys fees incurred by LL Global, Inc., and/or its member
companies for any harm that results from such use or disclosure; and
By executing this Agreement, I have created legal obligations on my part and violations related
to the terms and conditions of this Agreement will result in:

My participation in one or more cases studies being immediately terminated; and

I may be subject to legal action against me in the United States; and

This Agreement shall be governed by and construed and enforced in accordance with the laws of
the United States and the State of Connecticut without giving effect to conflicts of law principles.
In the event that either party pursues an action against the other to enforce or protect its rights
under this Agreement, the parties agree that the federal or state courts of Hartford County,
Connecticut shall have sole and exclusive jurisdiction over the matter. The parties waive any
objection which they may have based on improper venue or forum non conveniens for such
action in such court, and
LL Global, Inc. will be the sole and exclusive owner of all right, title, interest and ownership
throughout the world in any work product and intellectual property rights thereto, that I may
develop as a result of participating in one or more case studies (Work Product). I hereby

assigns to LL Global, Inc. any and all right, title and interest (including any goodwill) in the
Work Product that I may now or hereafter possess in the Work Product, and any and all
modifications and/or derivative works thereof. I agree to execute all documents and take all
actions that may be necessary to confirm such right, title and interest.
In no event shall LL Global, Inc. have any obligation or liability for any exemplary, punitive,
incidental, indirect, special or consequential damages (including, without limitation, any
damages arising from loss of use or lost business, revenue, profits, data or goodwill) arising in
connection with this Agreement, whether based on contract, tort (including negligence), strict
liability, or any other theory or form of action, even if either Party has been advised of the
possibility thereof. The total amount of liability of LL Global, Inc. under this Agreement shall
not exceed the amounts recoverable from its insurance coverage.
The parties have caused this Agreement to be executed as of this 26th day of January, 2015.
