It is hereby agreed that the Buyer agrees to buy and the Seller agrees to sell the following goods under
the terms and conditions as stipulated below:
1 - Term of goods:

The above prices understood are Ex-work at the buyers warehouse in Singapore with the below

All the goods and their accessories must be brand-new, synchronous, made in the year of
2003 or 2004.
All the goods must be made by PROMAX in USA and supplied with Certificates as below:
* Certificate of Quality (02 originals) issued by PROMAX (USA) to below companies:

2 - Packing and marking:

2.1 Packing: All the goods shall be delivered in carton cases in conformity of the manufacturers
export standard packing, suitable for transportation by air.
2.2 Marking: Each goods shall be marked by manufacturers standard marking, suitable to the
nature of the goods and to avoid wrong address delivery.
3 - Term of shipment: The delivery time: within 02 days after receipt of advance payment.
Partial shipment is not allowed.
Transshipment is prohibited.

------------------------------------------4 - Term of payment: TTR 100% in advance.
5 - Insurance of the goods: Insurance for the goods will be arranged by the Seller and at the Sellers
account covering 110% CIF value.
6 - Warranty and claim:
6.1 The Seller guarantees that the goods supplied under this Contract to be made by and 100%
brand new, the quality fully in compliance with technical standards, specified in the contract.
The goods are fully guaranteed for normal use, covering period 12 months from the shipment
date.
6.2

Should any shortage, defects or latent defects be revealed or should the quality of the goods
not conform to technical requirements of the contract, the Buyer shall have right to make claim
to the Seller.

6.3

To substantiate the claims, the Buyer shall submit to the Seller the documents with the
participation of the inspection company or insurance company in Vietnam certifying the causes
of the defect. These documents shall be legal for the Buyer to make claims.

6.4

In case of the claim proved to be corrected, the Seller shall immediately but not later than 30
days from the date of the claim replace the defective or improper goods the other ones of
perfect quality for the Buyer free of all charges or may compensate immediately or otherwise by
the Seller subject to prior consent of the Buyer.

7 - Force majeure:
7.1 Should any circumstance arises out preventing either party from shortly or partly carrying out its
obligation under the contract, namely acts of God, government restriction, war, military actions of
any nature, the time stipulated for the performance of the obligations of the contract should be
extended for and as long as the period of consequence of force majeure lasts.
7.2 In the event of this circumstance continue for more than 60 days, either the party shall have the
right to refuse to continue the performance of its obligations without the right for indemnification of
any losses from the other party.
7.3 The party unable to carry out its obligations under this contract shall promptly advice to the other
party and submit the sufficient Certificate of operation and duration of force majeure issued by
the Chamber of commerce and industry of the Sellers or the Buyers country.
8 - Other conditions
8.1 All the amendments and additions of this contract shall be valid only to be made in written form
and dully agreed by both parties.
8.2 Neither the party has the right to transfer his rights and obligations under this contract to any third
party without a written consent of the other party.
8.3 This contract is made in 04 originals in English, each party keeps 02 copies with equal value and
shall be effective from the date of signing.
We, the undersigned hereby confirm and agree the terms and the conditions stated herein.
