AGREEMENT TO SELL

This AGREEMENT TO SELL is executed at Gurgaon on this ____ day of


________ 2012
BY AND BETWEEN
Shri Gopal Dulani son of Shri Ram Chand Dulani resident of
.. hereinafter referred
to 'VENDOR' of the FIRST PART.
AND
Mr. Ankur Aggarwal son Shri .. resident of House no.
.hereinafter referred
to 'VENDEE' of the OTHER PART.
WHEREAS the expressions Vendor and Vendee shall mean include their
respective, heirs, successors, administrator, legal representatives, nominees,
assigns etc.

WHEREAS the Vendor is/are the absolute owner of Flat / Apartment bearing
no. 603, in Tower no. 25 admeasuring 2562 Sq.feet. situated in ORCHID
PETALS, Sector 49, Sohna Road, Gurgaon (Haryana) by way of Conveyance
Deed / buyers agreement dated 19.04.2011 have been purchased from M/s
Orchid Infrastructure Pvt. Ltd. (hereinafter referred to as the PROPERTY)
AND WHEREAS the Vendor for his/her/their legal needs and requirements
has/have agreed to sell the said property for a sum of Rs. 1,30,00,000/- (Rupees
One Crore Thirty Lac only) to the Vendee and the Vendee has agreed to
purchase the same from the Vendor the following terms and conditions of this
Agreement.
That the total sale consideration for the above-mentioned transaction is settled
between the parties for an amount of Rs. 1,30,00,000/- (Rupees One Crore
Thirty Lac only) including the Hundred Percent Cost, Car Parking, Interest,
Deposits and other charges i.e. (EDC/IDC, IFMS, Misc. Charges etc.) payable to
the builder.
That the Vendor has received a sum of Rs. ./- (Rupees

...only) from the Vendee, in the following mode : Cheque no.

the above amount is against the part payment of total sale considerations as
settled. The Vendor acknowledges the receipt of the same and the balance
amount towards the full discharge of total sale considerations of above said
property shall be paid by the Vendee within 30 days from the date of execution of
this agreement to sell i.e. on or before 31.08.2012.
(a)

VENDOR

That the Vendor doth hereby sells, grants, conveys, transfer and
assign all their rights, titles, interests, claims and benefits, all ways,
paths, passages, liberties, privileges, easements, appendages and
appurtenances whatsoever in the said Flat / Apartment bearing no.
603, in Tower no. 25 admeasuring 2562 Sq.feet. situated in ORCHID
PETALS, Sector - 49, Sohna Road, Gurgaon (Haryana) alongwith all
and every ownership rights in the said property, to the Vendee TO
HAVE AND TO HOLD THE SAME and to deal with the same in any
manner the Vendee likes, unto the Vendee, ABSOLUTELY &
FOREVER.

(b)

That the Vendor has assured the Vendee that he/she/they has/have full
unfettered and unrestricted right to sell the said property to the Vendee
by way of this agreement to sell, and excepting the Vendor no body
else have any right, title, claim or interest of any nature whatsoever in
the said property. It is further declared that the Vendor have full &
irrefutable rights to sell the said property and if it is proved otherwise
Vendor undertakes to reimbursed to the Vendee in double of amount
sale value.

(c)

That the said property hereby sold is free hold and free from all kind of
encumbrances such as prior sale, mortgage, gift, will, litigation, lines,
disputes, lease, loan, surety, security, injunction, stay order,
acquisition, family and religious disputes, income tax and wealth tax
attachments, or any other registered or unregistered encumbrances
etc. And if it is proved otherwise then the Vendor shall be liable and
responsible to indemnify all the losses/ damages, thus suffered by the
Vendee.

(d)

That the Vendor shall deliver the proprietary possession of the said
property to the Vendee on receipt full and final payment of total sale
consideration as settled on execution of this Agreement to Sell and the
Vendee shall take the physical possession of the said property directly
from M/s Ansal Properties and Infrastructure Limited,

(e)

That this Agreement is irrevocable and binding on both the parties and
their respective heirs and successors.

(f)

That the pending completion of the sale deed the Vendor shall not
enter in any Agreement of Sale with respect to the said property or any
part thereof nor the Vendor shall in any manner create any charges,
mortgage and or deal with the said property in any manner.

(g)

That the Vendor admit that the he/she/they has/have left with no right,
title, interest, claim or lien of any nature whatsoever in the said
property, hereby sold, and the same has become the absolute property
of the Vendee, with the right to use, enjoy, sell and transfer the same
by whatsoever means they likes, without any demand, objection, claim
or interruption by the Vendor or any person claiming under or in trust
for him/her/them.

(h)

That the Vendor shall hand over all original papers pertaining to the
said property to the Vendee, on receipt of full and final payments.

(i)

That all the expenses for the stamp duty, registration, engrossing and
other incidental charges for the sale deed has been borne and paid by
the Vendee.

(j)

That the all expenses for the transfer of the said property have been
borne and paid by the Vendor.

(k)

That all the cost /interest /charges payable to the Builder till the date of
this agreement is paid by the vendor. In case any charges interest is
levied by the Builder pertaining to the period prior to the Date of this
agreement to sell and the same is paid by the Vendee to the Builder
the same shall be remembrance by the Vendor to the Vendee.

(n)

That the Vendor is/are liable to sign any other document (s) in future
required by M/s Ansal Properties and Infrastructure Limited or any
other concerned authority in connection with change of title of
ownership of the above said Property / Flat / Apartment in the name of
or his/her/their
any nominee (s).

IN WITNESSES WHEREOF, both the parties have signed this agreement to sell
