This agreement is made on _____________________ (Date / Year) between Royal Machineries Corporation

and Anwar Group of Industries for annual maintenance of 02 (Two) nos. forklift (1. LINDE FORKLIFT,
Model-H20D-03, Sl No-H2X351N00044 & 2. HYUNDAI FORKLIFT, Model-30DF-7, Sl No-0504) at
Anwar Jute Spinning Mills Ltd., Meghnaghat, Gozaria, Munshigonj.
General Terms & Conditions:
Period of Contract: The contract is valid for one year from the date of signing of MOU on AMC
depends on condition of the Forklifts. This may be renewed from year to year subject to rendering of
satisfactory service & fulfilling the term & conditions.
2. Condition of Forklift: The Forklifts are expected in good working condition while accepting the
contract.

3. Payment Term: For AMC, payment will be made on quarterly basis (25% of order value of AMC) after
completion of the said quarter subject to their satisfactory performance to be certified by customer / user.
4. Basic Help: All recommended lubricants, oils, etc. is in the scope of the customer. In addition, we
request the customer to provide basic help to our technician like the material handling equipment,
semiskilled labour, etc.
5. Replacement of Parts: Maintenance of the forklifts includes supply & replacement of parts free of cost
except some consumable items. Annexure is enclosed for components not covered under AMC. However
the Royal Machineries Corporation may provide such components and the price may be fixed at the time
of signing of AMC.
6. Prevent Maintenance: Periodical preventive maintenance will be made once every month.
7. Additional Charges: The AMC cost includes the traveling cost for rendering service through out the
year for specified location.
8. Working Hours: The maintenance work shall normally be done during working hours of the customer.
However, in case of emergency maintenance may have to be done beyond office hours and even on
holidays prior arrangement through proper communication should be worked out in all cases by the
service team of Royal Machineries Corporation.
9. Reporting Authority: The Service team will be allowed to handle the respective equipments only with
permission of the authority of factory.

Extra Works: We can also undertake overhaul/repairs of subassemblies / assemblies at an extra cost.
11. Preventive Maintenance Spare Parts: In order to ensure minimum downtime the customer is advised
to order and stock all the required spares for Preventive Maintenance Contract (PMC) in advance. The
list of spares will be supplied or can be requested. In any case our service team will hand over such list
while finalizing the contract.
12. Preventive Maintenance : In order to get the best results, it is obvious that the customer should carry
out the routine maintenance as per the guidelines given in manual. Preventive maintenance shall be
carried out as per the laid down format enclosed. However, we will be open to carry out any job over
and above the scope of preventive maintenance.
13. Ensuring The customer is expected to keep available the said machine / s or other facilities. In case of
any difficulty the date should be changed in advance by mutual consent. Alternatively the visit will be
treated as completed.

Response Time: Normal response time for repair is 24-hours from the actual time of reporting the
problem to the Second party.

Court of Law: Disagreement if any, arising out of the contract shall be settled by either party in a
court of law under the jurisdiction of the High Court of Orissa.

Final Authority: The final authority for payments will be Head of the Organization offering the
AMC.
17. It is possible that machine covered under the plan can breakdown. Our services will in any case be
available in such event at an extra cost.
18. Either party shall entitled to terminate the agreement at any time giving one months advance notice,
and the customer shall be entitled to refund of the advance on pro-rata basis for the unexpired period
of the agreement.
19. If prior to offering the machine for PMC the machine is offered for overhauling, a lump sum
quotation towards service charges will be offered with concessional service charges as above.
20. If there is any breakdown visit in between 2 AMC visits, the same can be adjusted in the total
number of AMC visits or, if desired, can be charged extra.
