I hope all is well with you
I have been asked to clear a potential conflict.
We have been asked by Warner Music Group to assist them in European aspects of "Project Rosetta", which is the sale by Sony/ATV Music
Publishing LLC of certain music catalogues which it is required (pursuant to commitments given to the European anti-trust authorities) to dispose
of consequent on its purchase of EMI's music publishing business. The main sale documents are being negotiated by a US firm and Olswang's
involvement relates solely to providing supporting counsel to the lead US firm in relation to the European parts of the business and undertaking
the European due diligence.
We do not represent Sony/ATV in any of our offices, but as you will appreciate, we are nevertheless required to seek your consent prior to taking
these instructions.
My understanding is that Sony/ATV and its advisers are keen to proceed very quickly to conclude the sale so a prompt response would be
appreciated.
