1.
Introduction
1.1.
The 236th meeting of the Executive Board of the National
Highway Authority was held at 1000 hours on Jun 18, 2014 at the
NHA Head Office Auditorium, Islamabad. Mr Shahid Ashraf Tarar,
Chairman NHA presided. List of participants is at Annex-A.
1.2.
The meeting commenced with recitation of verses from the
Holy Quran and Urdu translation.
2.
2.1.
The Chairman extended warm welcome to the participants
of meeting in general and the Member (Infra) Planning Commission in
particular being his first meeting.
2.2.
The Chairman informed that revised feasibility study by
Chinese firm for Karachi - Lahore Motorway (KLM) has been
completed and PC-I of Multan - Sukkur Section of KLM has been
cleared by CDWP for onward submission to ECNEC. He further
informed that the Prime Minister of Pakistan has released Rs 65.5
billion for land acquisition of the project and land acquisition
proceedings are underway.
2.3.
The Chairman narrated that on the directives of the Prime
Minister of Pakistan, a non binding MoU has been signed with M/s
Hydro (Qatar) on Jun 30, 2014.

3.2.
The Secretary NHA added that following working papers

replied that the project is already completed; however, consultant will
stay there till Sep-2014 for clearance & finalization of accounts of the
project.

6.2.
6.3.
The Chairman asked about the status of project and
desired that project be started.
6.4.
The JS MoC (Chief - NTRC) enquired about change in
design. The GM (ADB) explained that the reasons for such change
were mostly due to Super Floods-2010 and unprecedented rains in
2011. The Member (Planning) further explained that design
improvements of old culverts were also warranted.
6.5.
The Member (Infra) Planning Commission observed that
extension of time and variation orders / addenda be considered
keeping in view national policies. The JS MoC (Chief-NTRC) stated
that we should have learning experience to minimize the variation
orders. She further deliberated that escalation be allowed after careful
studies and fixing responsibilities on consultants and the supervising
officers of NHA. The Member (Infra) supported the version and
emphasized that we should make the design consultants accountable
in this regard.
6.6.
The Chairman appreciated the concern of Members and
agreed to curb the tendency of variation orders. He added that basic
problem mostly relates to funding as against demands of NHA. The
Member (Infra) assured to provide sufficient allocation of funds in
future. The Chairman further added that NHA will review SOPs and
efforts shall be made to minimize EoTs / VOs/ Addenda, as far as
possible.
6.7.
On query from the Chairman, it was informed that there
is no additional financial effect. On another query from the JS MoC
(Chief-NTRC) it was informed that there would be bare minimum staff
as per actual field requirements.

Proposal
7.1.
The Executive Board is requested to approve the proposed
toll rates (rationalized). The new rates shall be applicable wef 1st Jul,
2014.

7.2.

7.3.
The Chairman NHA explained about the status of NLC,
FWO and auction plan of toll collection contracts. He apprised that
NHA is going into BOT mode, for its operations & construction works,
in a big way and M-2 shall be taken over soon on financial close.
7.4.
The IG (NH&MP) enquired about the procedure of award
of contracts to NLC. The Chairman informed that NLC will participate
through open competition. The IG (NH&MP) further asked about the
ETTM System. The Chairman informed that motorways toll are
already on ETTM, which will be further improved and will be
developed on BOT basis through banks, headed by MCB. He further
informed about discussion with the Prime Minister and increase /
rationalization of toll rates on motorways & national highways.
7.5.
The JS MoC (Chief-NTRC) referred study for traffic count
in 2006 and she suggested that base price or reserve price be
evaluated by 3rd party. The Chairman explained that by installation of
ETTM System, the purpose as mentioned by the honorable Member
will streamline the revenue generation and restriction to pilferage.
7.6.
The JS MoC enquired about the consultation with
stakeholders ie truckers, in this regard. The Chairman informed that
NHA would be soon taking them on board.
7.7.
The Member (Planning) observed that we should adopt
diligence procedure by conducting performance audit of operation of
toll plazas through 3rd party evaluation for categorization with an aim
for fair assessment of traffic flow and revenue collection. The Member
(Infra) supported the view point.
7.8.
The Chairman explained that since we are going for BOT
contracts, NHA has been going to set the platform, build a better
culture to ensure fair and satisfactory performance as well as
collection of revenue.
7.9.
The VP-NESPAK observed that good practices be ensured
and public convenience be seen in such contracts by arranging
appropriate traffic flow lanes as well as time fixation for clearing a
vehicle and NHA should develop control rooms to ensure efficient and
smooth working of the toll plazas. The GM (Revenue) explained that
concern of honorable Members are covered in the agreement and
remaining point be added in the key performance indicators (KPIs).
The Chairman further explained that with the implementation of
ETTM, management & operation of toll plazas will improve. The JS
(Budget) suggested that monitoring of toll plazas through CCTVs can
be made.
7.10.
The Chairman conveyed that NHA may also consider to
include KPIs for convenience of public and 3rd party performance
audit / evaluation.
7.11.
The VP-NESPAK highlighted the earlier decision of the
NHA Executive Board in 2013 for increasing the toll rates and
suggested that instead of one time increase of 50% in motorway tolls it
may be done in two stages. Initially 25% increase may be allowed,
which shall be followed by another increase of 25% later after six
months are so. The Chairman explained the increase in toll rates as
discussed with the Prime Minister. He suggested that the Board may
approve the proposal and give some time to NHA which will show the
results and better road condition.
7.12.
The VP-NESPAK suggested that for PPP projects a
standard Model Concession Agreement similar to neighboring country
India may be prepared to form the basis of competitive bidding. The
bidding criteria may be the Viability Gap Funding (VGF) demanded by
the bidders while keeping all others parameters including the toll
rates, concession period, etc, same for all bidders. He also suggested
hat in order to protect the road user interests, fixation of toll rates
should remain with NHA. The Member (Planning) viewed that the
proposal should be discussed with the stake holders in the first
instant. The Chairman while supporting the above deliberations
informed that the increased rates are yet lower than the international
standards and he further apprised that the Prime Minister has
directed to increase the toll rates wef Jul 1, 2014.
7.13.

The Executive Board approved rationalization of toll rates
applicable on national highways and motorways with effect from Jul 1,

Proposal
8.1.
The Executive Board is requested to approve the renaming
of Bhera Interchange on M-2 as Pir Muhammad Karam Shah
Interchange Bhera.
Deliberation
8.2.
The Member (Operations) presented the case. He
explained that the interchange was named as Pir Muhammad Karam
Shah Interchange Bhera at the time of inauguration by the then
Minister for Communications on Feb 25, 1999 as engraved on the
inaugural plaque still in place.

8.3.
The Member (Infra) Planning Commission opined that
Federal Government Policy may be consulted in this regard. The IG
(NH&MP) and Member (Planning) observed that this will become
precedent for renaming of almost every interchange; therefore, we may
not decide the case till criteria is established. The Chairman
supported the version and desired that the Operation Wing may
collect such policy from the Federal Government and also consult
Capital Development Authority (CDA) whose most of the roads are
carrying names of various personalities. He further desired to put up
previous approval with respect to the inaugural plaque.
8.4.
The Joint Secretary (Budget) Finance Division suggested
that the matter may be referred to the Cabinet Division as there is a
policy in this regard in the Federal Government under which this type
of cases are considered and decided.
8.5.
The Board deliberated and deferred the case for
resubmission after clearance of observations / suggestions mentioned
above.

The NHA Executive Board considered the working paper
regarding Renaming of Bhera Interchange as Pir Muhammad Karam
Shah Interchange Bhera on M-2 and deferred its decision until
provision of Federal Government Policy in this regard and previous
approval.

The Chairman enquired about financial impact of two
qualifications pointed by Audit in respect of:a.

The Member (Infra) Planning Commission enquired about
engagement of Auditors. The Member (Finance) informed that the
Auditors are taken out of panel of State Bank. The Members desired
for provision of copies of audit report. The JS (Budget) asked about fee
paid to the Auditors. The Member (Finance) informed payment of Rs
3.9 million to the Auditors.

9.5.
On query from the Member (Infra) regarding liabilities
outstanding against NHA, the Member (Finance) explained the
relevant factors and aspects of the liabilities. The Chairman informed
that since major portion of liabilities relates to the releases of PSDP,
which is being treated as Cash Development Loan (CDL), NHA is
trying to convert these loans into grants or GoP equity; since NHA is a
government organization engaged in developing and maintaining road
assets for the country. The Member (Finance) also added that in this
context, besides hiring a firm of Chartered Accountants, a Professional
Valuation Firm from the Panel of Valuers maintained by Pakistan
Banks Association has also been hired, through due competitive
process; to revalue the NHA fixed Assets.
9.6.
On an enquiry by the VP-NESPAK regarding the
adjustment of RMA funds used by NHA, the Member (Finance)
clarified that during the last 2-3 years the volume of RMA funds used
for the development projects has substantially remained static and the
figure is expected to further come down in the future. The balance of
RMA funds utilization as of Jun 30, 2013 is Rs 2.574 billion, whereas,
the amounts serviced during years ended Jun 30, 2011 and 2012 are
Rs 1.590 billion and Rs 0.654 billion respectively.
9.7.
The Board accorded the approval of NHA Entity Financial
Statements for the year ended Jun 30, 2013, however, the Board also
required that copies of the Financial Statements be forwarded to
individual Members for their information alongwith a resume of the
Auditors, M/s Hyder Bhimji & Co (Kreston International) and they
may be called upon to remain in attendance during the next meeting
to respond to any queries that the Members may require them to
answer.

Council is the authority competent in this regard.

The VP-NESPAK suggested that since methodology for
beautification of road seems major part of this scheme, therefore, an
appropriate experienced consultant be hired for the purpose of proper
landscaping, plantation and beautification of this portion of the road.
13.4.
The Board deliberated and cleared the proposal subject to
fulfillment of ecological requirements.

amounting to Rs 466,070,872/- (Rupees four hundred sixty six million,

M-1 Regions under AMP 2012-2013 to Lowest
Evaluated Bidders
14.
Proposal
14.1.
The Executive Board is requested to accord approval for
the award of Periodic Maintenance Works on Motorway M-1 to the
lowest evaluated bidder ie M/s Karcon (Pvt) Ltd at his quoted bid price
of Rs 384,389,874 which is 7.70% below the Engineers Estimate
based on CSR-2011+15%.

The VP-NESPAK enquired to the effect that whether it is
the part of Annual Maintenance Plan already approved by the Board
or otherwise? The Member (Ops) informed that this is not the part of
that approved plan but it is a leftover work of 2012-13 AMP.

14.4.
The JS MoC (Chief - NTRC) observed that M/s Karcon Ltd
were probably at the stage of black listing in NHA, whereas, they have
been considered for award of this contract. The Chairman explained
that although it is a fact that at some time M/s Karcon was not
dealing with NHA works appropriately, however, with the passage of
time they have improved their performance and most of the issues
have been resolved. NHA is getting lot of guarantees and assurances
in respect of contracts and performance from the said contractor.
Hence, the firm is recommended for award of works on merit being
lowest evaluated bidder.
14.5.

15.3.
The VP-NESPAK observed that qualitative performance of
contractors & works be ensured through independent entity. The
Member (Ops) informed that NHA is going for 3rd party evaluators for
such works. On query from Member (Infra) Planning Commission
about strategy of maintenance works, the Member (Ops) explained the
methods and procedures of awards and execution of maintenance
works.
15.4.
The JS MoC observed that are there any yardsticks with
NHA to ensure quality of works where contracts are awarded at
substantially lower rates against Engineers Estimates. The Member
(Ops) explained the benchmarks for assuring the quality of works ie
scrutiny of rate analysis and provision of guarantees from the
contractors.
15.5.
On query from VP-NESPAK, the Member (Ops) informed
that maintenance works on M-3 are going to be taken up for the 1st
time since its completion.
15.6.
The Chairman observed that we should not agree to
approve lowest bids of 43.22% below, 25% and 29% above in respect
of contracts of Punjab-North (Sl 10), Balochistan-North (Sl 6) and
Balochistan-South (Sl 3), respectively. Further three contracts will be
retendered where bids were non-responsive.
15.7.
The Board deliberated and cleared the proposal excluding
the two contracts mentioned at Para 15.6 above.

Promotion of NHA Officers Against Regular Posts in

16.
Proposal
16.1.
The Executive Board being competent authority for
appointment to the posts in BS-18 and 19 under Sub Rule 6(2) of
NHAs Appointment & Promotions Rules, 1995 is requested to accord
approval for promotion of officers recommended by DPC wef Jun 5,
2014 (the date of DPC meeting).

It was observed by the Board Members that officers whose
deferment was made due to non completion of PERs and subsequently
completed PERs may also be promoted. The Director (Personnel)
confirmed that deficient PERs of Mr Sham Sundar (2011-12) and Mr
Muhammad Hanif (2008 & 2013) have been received in Admn Wing.
Hence, the Board also directed for their promotion as the reason for
deferment has been removed.

financing. The Chairman explained that it will be done through
bundling of revenue sharing and cross funding from other sections of

desired in a special Board meeting this month.
