- INTERMED S.R.L., residing at , Romania, represented by , in capacity of , hereinafter
called Commission representative
Art.1. Obiectul contractului
1.1. Prezentul contract are ca obiectiv stabilirea drepturilor si obligatiilor partilor, in scopul
incheierii de contracte externe de import-export.
1.1. The present agreement has as object the establishment of fundamental rights and
obligations of the parties, as to the export/import contracts conclusions.
1.2. Comisionarul poate incheia in mod valabil in nume propriu sip e contul Comitentului,
contracte de export pentru produse din programul de fabricatie al Comitentului, cat si
contracte de import pentru productie, retehnologizare, dezvoltare, completare, in baza
solicitarilor si intereselor Comitentului exprimate in scris.
1.2. The Commission representative may conclude in their own name and or on the
Manufacturers account valid export contracts for goods of the Manufacturers production
programme, as well as import contracts for manufacturing, technological renewal,
development and completion, grounded on the Manufacturers written requests and interests.

1.3. Pentru fiecare tranzactie de export-import intre Comitent si Comisionar, vor fi fi incheiate
intelegeri separate ale caror clause vor fi puse de accord cu cele din prezentul contract.
1.3. Arrangements are to be made between the Manufacturer and Commission representative
for each export/import transaction and whose terms shall agree to and be alike with those in
this agreement.

Art. 2. Durata contractului

Prezentul contract intra in vigoare la data semnarii sale de catre ambele parti, fiind valabil pana
la
Daca niciuna din parti nu-l denunta in scris, cu 30 de zile inainte de data expirarii, valabilitatea
contractului se prelungeste cu
Art. 2. The validity period of the agreement
The present agreement shall come in force at the date of its signing by the two parties, being
valid by
Unless any of the parties doesnt denounce it, in writing, 30 days prior to expiration, the
validity of the agreement shall be extended by
Art. 3. Obligatiile partilor
Obligatiile Comitentului privind operatiunile de export:

3.1.1. Comitentul intocmeste si transomite Comisionarului, in termen de 5 zile lucratoare de la

data primirii cererii acestuia, ofertele si/sau documentatiile tehnice complete, astfel incat
Comisionarul sa poata negocia pe aceasta baza, cu partenerii externi incheierea contractelor.
3.1.1 The Manufacturer shall draw up and convey to the Commission representative the offers
and/or the technical documentation, within 5 working days from the receipt of its inquiry, so
that the Commission representative may negotiate on this ground, with the foreign partners,
the cpnclusion of the contracts.
3.1.2. Comitentul produce marfurile la termenele si in conditiile tehnico-calitative din
contractile de export, asigurand ambalarea si marcarea marfurilor in conformitate cu
prevederile contractuale.

3.1.2. The Manufacturer shall produce the goods at the dates and quality terms stated in the
export contracts, ensuring the packing and the marking of the goods in conformity with the
contracts provisions.
3.1.3. Comitentul expediaza marfurile, pe baza dispozitiei de livrare primate din partea
Comisionarului, la termenele si adresele din contractele de export, suportand costul
eventualelor prestatii necesare: conservarea, incarcarea, transportul si asigurarea pana la
frontiera, cheltuielile portuare, etc.
3.1.3. The Manufacturer shall dispatch the goods on the basis of the delivery order received on
the behalf of the Commission representative, at the dates and at the addresses stipulated in the
export contracts, bearing the costs of the possible necessary services: the preservation, the
loading, the shipment and the insurance up to the border, etc. All these expenses shall be
covered from the export price.
3.1.4. Comitentul trebuie sa-l anunte prin fax pr Comisionar, cu 5 zile inainte de data
expedierii/livrarii, ca marfa este pregatita de incarcare.
In acelasi termen el trebuie sa transmita Comisionarului cate un exemplar din urmatoarele
documente: facture, avizul de expediere, lista de ambalaj, certificatele de calitate si de garantie,
procesul verbal de receptive semnat de reprezentantul Comisionarului.
3.1.4. The Manufacturer shall notify by fax the Commission representative, 5 days prior to
delivery, that the goods are ready for loading.
Within the same period, he shall convey to the Commission representative, a copy of the
following documents: invoice, delivery note, packing list, quality and warranty certificates,
reception statement signed also by the Commission representatives delegate.
3.1.5. Comitentul asigura calitatea marfurilor livrate, luand masuri pentru rezolvarea, pe
cheltuiala sa, a tuturor reclamatiilor cantitative sau calitative aparute din vina sa, in termenele
si in conditiile prevazute in contractele de export.
3.1.5. The Manufacturer shall guarantee the quality of the delivered goods, taking measures for
the settlement, on its expenses, of the all complaints regarding the quality and the quantity of
the goods arisen by its fault, at the dates and in the terms specified in the export contracts.
3.1.6. Comitentul trimite Comisionarului toate cererile de oferta primate de la clientii externi
contactati de acesta, intreaga corespondenta externa, in vederea incheierii contractelor
purtandu-se prin intermediul Comisionarului.

3.1.6. The Manufacturer shall send to the Commission representative all the inquiries received
from the foreign customers contacted by the latter, all the international correspondence
concerning the contracts conclusion being held through the Commission representative.
3.2. Obligatiile Comitentului privind operatiunile de import:
3.2.1. Comitentul intocmeste documentatia tehnica si specificatiile privind obiectul importului,
cu indicarea standardelor interne si international si cu asigurarea fondurilor necesare pentru
plata importului.
3.2. The Manufacturer obligations regarding the import operations:
3.2.1. The Manufacturer shall draw up the technical documentation and the specifications
regarding the object of the import, indicating the domestic and international standards and
providing the funds needed for the payment of the import.
3.2.2. Comitentul remite Comisionarului punctual sau de vedere ethnic si commercial asupra
ofertelor prezentate de acesta, in termen de 7 zile de la primirea lor, sau cu cel putin 3 zile
inainte de expirarea termenului de valabilitate in vederea incheierii contractului de import.
3.2.2. The Manufacturer shall send to the Commission representative his technical and
commercial point of view regarding the offers presented by the latter within 7 days from their
receipt, or at least 3 days prior to the expiration of the validity term with a view to conclude the
import contract.
3.2.3. Comitentul acorda Comisionarului sprijinul tehnic de care acesta are nevoie pentru
clarificarea problemelor care apar pe parcursul negocierilor de perfectare a contractelor de
import.
3.2.3, The Manufacturer shall grant to the Commission representative the technical support
that this needs in order to clarify the problem that may arise during the negotiations for
concluding the import contracts.
3.2.4. Comitentul suporta, separat de pret, cheltuielile de transport si asigurare pana la
destinatie, daca, prin conditia de livrare din contractai de import aceste cheltuieli nu sunt
incluse in pretul contractual.
3.2.4. Apart from the price, the Manufacturer shall bear the transport and insurance costs if,
according to the delivery terms in the import contracts, these expenses are not included in the
agreed price.

3.2.5. Comitentul achita contravaloarea marfurilor importate, la termenele prevazute in

contractele de import, precum si toate cheltuielile suplimentare efectuate de Comisionar, pe
baza documentelor justificative, prezentate de acesta si acceptate de Comitent.
3.2.5. The Manufacturer shall pay for the imported goods at the dates as stipulated in the
import contracts and shall bear all the additional expenses made by the Commission
representative, on the basis of the probatory document presented by this and accepted by the
Manufacturer.
3.2.6. Comitentul plateste taxele vamale stabilite prin legislatia in vigoare, la destinaie. In cazul
in care aceste taxe vor fi achitate de Comisionar, Comitentul i le va rambursa in termen de 10
zile de la receptia marfurilor la destinatie.
3.2.6. The Manufacturer shall pay the customs duties at the destination, according to the
legislation in force. In the event that these taxes are paid by the Commission representative,
the Manufacturer will refund them within 10 days from the reception of the goods at the
destination.
3.2.7. Comitentul receptioneaza marfurile importate, cu respectarea prevederilor din
contractele de import si din legislatia interna in vigoare, transmitand furnizorului extern, direct
sau prin intermediul Comisionarului, toate reclamatiile cantitative sau calitative, la termenele si
in conditiile prevazute in contractele de import.
3.2.7. The. Manufacturer shall made the reception of the imported goods, under the
observance of the provisions in the import contract and in the local legislation in force;
conveying to the foreign supplier, directly or through the Commission representative, all the
complaints regarding the quantity or the quality, at the dates and in the terms stipulated in the
import contracts.
3.2.8. Comitentul va raspunde oricrei solicitari a Comisionarului privind derularea contractelor
de import in maximum 7 zile de la primirea acesteia.
3.2.8. The Manufacturer shall respond to any request made by the Commission representative
regarding the carrying of the import contracts in maximum 7 days from its receipt.
3.3 Obligatiile Comisionarului privind operatiunile de export:
3.3.1. Comisionarul prospecteaz pietele externe, in colaborare cu Comitentul, pentru
cunoaterea cerintelor acestora, in vederea gasirii de clienti pentru marfurile oferite de
Comitent.
3.3. The Commission representative's obligations regarding the export operations:

3.3.1. The Commission representative shall prospect the international markets, in cooperation
with the Manufacturer, in order to become aware of their demands, with a view to finding
customers for the goods offered by the Manufacturer.
3.3.2. Comisionarul transmite Comitentului toate cererile de oferta, in 48 de ore de la primirea
acestora de la partenerii sai externi.In acelasi interval de timp difuzeaz ofertele pentru
marfurile Comitentului, urmarind prin tratative directe sau prin corespondenta obtinerea celor
mai favorabile conditii comerciale pentru Comitent.
3.3.2. The Commissin representatives shall convey to the Manufacturer all the inquiries within
48 hours from their receipt from the foreign partners.
Within the same period the Commission representative shall send the offers for the
Manufacturer's goods, seeing to obtain, through direct negotiations or through
correspondence, the most favourable commercial terms for the Manufacturer.
3.3.3. Comisionarul desfasoara o activitate de promovare a marfurilor Comitentului prin
trimiterea in strainatate, pe cheltuiala sa, de cataloage, prospecte, pliante, participarea la
targuri si expozitii si prin orice alte mijloace eficiente.
3.3.3. The Commission representative shall promote the Manufacturer's goods by sending
overseas, on its expenses, catalogues, prospects, brochures, by participating to fairs and
exhibitions and by any efficient means.
3.3.4. Comisionarul negociaza si incheie contracte de export cu avizul Comitentului si in
concordanta cu interesele acestuia, solicitand, ori de cate ori este necesar, ca delegatii
Comitentului sa participe la negociere. Contractele de export incheiate vor respecta cu strictete
conditiile tehnice si comerciale din ofertele Comitentului, prevazand clauze asiguratorii in
privinta incasarii conrtravalorii marfii livrate.
3.3.4. The Commission representative shall negotiate and conclude export contracts with the
approval of the Manufacturer and in conformity with the latter's interest asking, whenever it is
necessary, for delegates of the Manufacturer to participate in the negotiation. The concluded
export contracts shall observe strictly the technical and commercial terms stipulated in the
Manufacturer's offer, providing insurance clauses regarding the collecting of the payments for
the delivered goods.
3.3.5. Comisionarul transmite Comitentului, in maximum 5 zile lucratoare de la semnare, o
copie a contractelor de export incheiate, asigurand secretul comercial al operatiunii.

3.3.5. The Commission representative shall convey to the Manufacturer, in maximum 5 working
days from the conclusion, a copy of the signed export contracts, ensuring the commercial
secrecy of the operation.
3.3.6. Comisionarul transmite Comitentului, in concordanta cu prevederile contractelor de
export, dispozitiile de livrare si documentele necesare expedierii marfurilor. In cazul livrarii la
export "Via mare" expedierea se va face in baza acceptului portuar emis de autoritatile
competente, care va fi comunicat de Comisionar, in 48 de ore de la primire, Comitentului.
3.3.6. The Commission representative shall convey to the Manufacturer, in conformity with the
provisions of the export contract, the delivery instructions and the necessary documents for the
dispatch of the goods. In case the export goods are delivered by sea, the dispatch will be made
on the basis of the port acceptance issued by the competent authorities, which shall be
conveyed by the Commission representative to the Manufacturer in 48 hours from the receipt.
3.3.7. Comisionarul intocmeste toate documentele necesare derularii contractului de export
(documentele de transport, de asigurare, de vamuire etc), ocupandu-se, de livrarea si incasarea
contravalorii marfii livrate. Deconteaza Comitentului contravaloarea marfurilor incasata de la
partenerii externi, in cel mult 5 zile lucratoare de la data incasarii.
3.3.7. The Commission representative shall draw up all the necessary documents for the
carrying of the export contract (the shipment documents, the insurance, the custom clearance
documents etc.), taking care of the delivery and cashing of the equivalent value of the goods.
The Commission representative shall discount to the Manufacturer the equivalent value of the
goods cashed from the foreign partners within at most 5 working days from the date of cashing
in.
3.3.8. Comisionarul urmareste derularea contractelor de export, informandu-l pe Comitent
asupra tuturor dificultatilor, in termen de 48 de ore de la aparitia acestora.
3.3.8. The Commission representative shall watch the carrying of the export contracts,
informing the Manufacturer about the all problems within 48 hours from their occurrence.
3.3.9. Comisionarul reprezinta si apara interesele Comitentului in cazul litigiilor, proceselor antidumping etc, pe riscul si cheltuiala acestuia.
3.3.9. The Commission representative shall represent and defend the Manufacturer's interests
in the event of litigation, of anti-dumping procedures etc, on their risk and expense.
3.4. Obligatiile Comisionarului privind operatiunile de import:

3.4.1. Comisionarul prospecteaza piata externa pentru a pune la dispozitia Comitentului

ofertele care-l intereseaza.
3.4. The Commission representative's obligations regarding the import operations:
3.4.1. The Commission representative shall prospect the international market in order to put at
the Manufacturer's disposal the offers that interest them.
3.4.2. Comisionarul incheie contractele de import pe baza avizului Comitentului, impreuna cu
delegatii acestuia, remitand Comitentului o copie, in maximum 3 zile lucratoare de la semnare.
3.4.2. The Commission representative shall conclude the import contracts on the basis of the
Manufacturer's approval, together with the latter's delegates, sending the Manufacturer a copy
in maximum 3 working days from the conclusion.
3.4.3. Comisionarul se ocupa de aducerea in tara a marfurilor importate, conform clauzelor din
contractele de import (manipulare, transport, vamuire, etc).
3.4.3. The Commission representative shall take care of the bringing in the country of the
imported goods in conformity with the import contracts clauses (handling, carriage, custom
clearance etc.).
3.4.4. Comisionarul se ocupa de rezolvarea reclamatiilor Comitentului, la termenele si in
conditiile prevazute in contractele de import.
3.4.4. The Commission representative shall deal with the settlement of the Manufacturer's
complaints, at the dates and in the terms stipulated in the import contracts.
3.4.5. Comisionarul intocmeste formalitatile necesare pentru decontarea cu Comitentul.
3.4.5. The Commission representative shall draw up the necessary formalities for the
Manufacturer's settlement.
3.4.6. Comisionarul sustine si apara interesele Comitentului, precum si drepturile acestuia,
rezultate din contractele de import, in fata instantelor judecatoresti sau a arbitrajelor
competente, cu participarea delegatilor imputerniciti ai Comitentului.
3.4.6. The Commission representative shall support and defend the Manufacturer's interests, as
well as their rights resulting from the import contracts, before the law or arbitration court, with
the participation of the mandatories of the Manufacturer.
Art. 4. Comisionul

Comisionul de 5% va fi dedus de Comisionar din valoarea Ex Works, conform INCOTERMS 2000),

a fiecrui contract de export-import.
Art. 4. The commission
The 5% commission shall be deducted by the Commission representative from the Ex Works
value, according to INCOTERMS 2000, of each export/import contract.
Art. 5. Alte clauze
5.1. Comisionarul se obliga sa prezinte Comitentului, lunar, informatii privind potentialele
afaceri de pe diverse piete.
Art. 5. Other clauses
5.1. The Commission representative bind themselves to present the Manufacturer, monthly,
information regarding potential business on various markets.
5.2. Comisionarul se angajeaza sa respecte intocmai dispozitiile Comitentului referitoare la
pietele si produsele pentru care poate actiona in calitate de Comisionar, avand in vedere
specificul activitatii Comitentului si existenta altor contracte de comision ale Comitentului cu
terte firme.
5.2. The Commission representative bind themselves to obey strictly the Manufacturer's
instructions regarding the markets and the products for which he can act in capacity of
Commission representative, given the specific of the Manufacturer's activity and the existence
of other Manufacturer's commission agreements with third parties.
5.3. In cazul in care una una din parti nu isi poate indeplini obligatiile contractuale din motive de
forta majora, aceasta va fi absolvita de raspundere.
Imposibilitatea survenita in executarea obligatiilor contractuale, din cauza de forta majora,
trebuie adusa la cunostinta celeilalte parti in termen de 3 zile de la data aparitiei cauzei
respective, actele doveditoare urmand a fi prezentate in termen de 10 zile de la aceeasi data.
Data incetarii cazului de forta majora va fi adusa la cunostinta celeilalte parti in termen de 3 zile
de la data disparitiei cauzei respective, precizandu-se si cand va fi reluata indeplinirea
obligatiilor.
5.3. Should a case of force majeure prevent one of the parties from honouring their contracting
obligations, this will be absolved of any responsibility.
The notification of the impossibility of execution of the contracting obligations occurred in case
of force majeure shall be dispatched to the other party within 3 days from the date it occurred,
the probatory documents having to be presented within 10 days from the same date.

The notification of the date of termination of the force majeure shall be dispatched to the other
party also within 3 days from the date of termination of the force majeure, with a specification
of the date when the fulfillment of the obligations will recommence.
5.4. Litigiile se judec de catre instantele judecatoreti, conform procedurii Dreptului Comun.
5.4. The disputes shall be settled by the courts of law according to the common law procedures.
5.5. In cazul reorganizarii, fuzionarii sau dizolvarii uneia din parti, aceasta va garanta celeilalte
parti derularea contractelor in curs, indicand totodata care sunt noii agenti economici care au
devenit succesori in drepturile si obligatiile care deriva din prezentul contract si anexele la
acesta, aflate in derulare, pana la livrarea marfurilor exportate sau plata celor importate.
5.5. In the event of restructuring, merging or dissolving of one of the parties, this will guarantee
the other party the running of under way contracts, indicating, at the same time who are the
new companies that have become the successors in the rights and obligations which proceed
from the present agreement and its annex until the delivery of the exported goods or the
payment of those imported.
5.6. Acest contract este guvernat de legea romana.
Prezentul contract s-a incheiat in doua exemplare, cate unul pentru fiecare parte, ambele
considerate originale, cu aceeai valabilitate.
