International Technical Support Agreement

This ACME International Technical Support Agreement (Agreement) covers support services of
Machines either manufactured or sold by Manufacturer (Mfr.). This Agreement is entered into
between the ACME Lead Company specified below ("ACME) and Mfr.
The Agreement is written with the understanding that the Lead Countries are bound by its
terms. ACME and Mfr. will distribute copies of the Agreement to their respective countries where
applicable. The respective countries will acknowledge acceptance of these terms through a
Statement of Work (SOW) and/or an applicable Local Transaction Document which
incorporates this Agreement by reference.
This Agreement, including Part 1 - General, Part 2 Country Unique Terms, the Transaction
Documents (including the SOW and any attachments to such SOW, and any Local
Transaction Document is the complete agreement between the parties regarding transactions,
and replaces any prior oral or written communications between the parties. By signing below,
both parties agree to the terms of this Agreement. No representations, terms, or agreements,
other than those set forth herein have been relied upon or shall be binding upon any of the
parties or imputed to any of them. Once signed, 1) unless prohibited by local law or specified
otherwise, any reproduction of this Agreement, made by reliable means (for example photocopy
or facsimile) is considered an original and 2) all Machines and services under this Agreement
are subject to it.
By its signature below, Mfr. represents and warrants that it has all necessary corporate power
and authority to execute or direct the execution of this Agreement (including without limitation
Part 1 - General, Part 2 Country-Unique Terms, SOW, attachments and Local Transaction
Documents) on its own behalf, as well as on behalf of its Subsidiaries and Related
Companies which may, if allowed by this Agreement, perform certain obligations. If any portion
of this Agreement is signed by Mfr.s authorized agent, Mfr. will concurrently provide ACME or its
local domestic or international Subsidiaries (collectively "ACME/Local ACME") with a letter
stating that such agent is authorized to sign such document, which letter shall be attached as an
exhibit to such document. This Agreement has been duly authorized by all required corporate
action and no other action on the part of Mfr. is necessary to authorize the execution and
performance hereof. Mfr. irrevocably guarantees performance by its Subsidiaries and Related
Companies of their obligations (if any) under this Agreement, and acknowledges and agrees
that this guaranty is without regard to any lack of validity or enforceability of any portion of this
Agreement or any document that incorporates it by reference.
