How to Start a Business in Romania?
For many young managers, the law seems to be an abstract field, the domain of
attorneys, lawyers and barristers who are supposed to learn all those difficult regulations by
heart. Unfortunately, we regret to inform those of you who want to run profitable businesses
that basic notions of law are required if you are to take responsibility for your actions.
Therefore, let us think of an aspect of law which comprises the body of rules,
governing the dealings between persons in commercial matters1. Can you guess the
concept? Oh, yes, it is business law, also called commercial law or mercantile law, which
clearly regulates the legal dealings of a firm. According to the Encyclopaedia Britannica,
business law can be divided into two main areas: the regulation of commercial entities by
the laws of company, partnership, agency, and bankruptcy and the regulation of commercial
transactions by the laws of contract and related fields.
In this context, when a person or some partners want to start a business, they should
first decide on the type of commercial entity suitable for their line of business. In Romania,
according to the Romanian Business Law Treaty (Stanciu D. Crpenaru, 2012), the following
types of commercial companies operate: general partnership, limited partnership, joint-stock
company (sometimes called PLC in the UK- public limited company or Inc.- incorporated
company in USA), limited partnership by shares, limited liability company (Ltd.), or
European company (SE- Societas Europaea). We could add to this list the NGO, the nongovernmental organization, or the sole proprietorship/ trader, which exist in many European
countries. However, the most frequent forms of business in Romania are joint stock
companies and limited liability companies.
Assuming that the legal requirements have been met, before launching into trade, it is
advised to check what experienced business people have to say about their success stories.
The first step to follow is finding out why is important for you to become an entrepreneur in
order to create your own brand2. A distinction is often made between running a business
solely for profit and identifying a gap in the market for your own creative ideas. Pragmatic
executives would suggest that theres no point in going into business unless you can make
profit immediately; otherwise this is not a good deal and you will begin to lose time and
money.
Both competitors and potential clients are the next to take into consideration. Contact
customers to research their receptiveness to your products or services and the differences and
novelty they expect from you that the competition cannot give. Ideally, you should offer

something better for half the price which, impossible as it may seem, can be achieved by
combining several services with innovation.
Wherever your business is based, one cannot ignore the European context and the
commercial laws of the Union. Imagine your firm as part of a globalized market and evaluate
it accordingly. A visionary professional stops to ponder the economic situation and starts to
think big. Why shouldnt you see yourself as if doing business in Paris? Could your
organization survive if your employees were paid at European level? Would your sales/
business contacts be relevant in the global market? Dont expect a smooth and easy journey;
after all, Going into business for yourself, becoming an entrepreneur, is the modern-day
equivalent of pioneering on the old frontier (Paula Nelson- American author).3
And by the way, dont forget the tools and resources necessary to write an attractive
business plan and to choose a location which is customer-friendly!

C. FOCUS ON VOCABULARY

1. Sole Trader

a) It is a limited liability company (limited number of partners,


no more than 50), holding in common capital funds, usually
divided into shares between the owners. Decisions are made by
a majority vote in the General Meeting of the shareholders and

partners. They are jointly liable for the debts and obligations of
the relationship.
g) It consists of one or more general partners who manage the
business and one or more limited partners who contribute
capital (money or other property), but do not participate in the
management.

The gerund is used after:

INFINITIVE OR GERUND?
Some verbs and adjectives can be followed by either Infinitive or Gerund, with or
without differences in meaning.

I. Verbs taking Infinitive or Gerund WITHOUT a great difference of meaning:


attempt, begin, cease, continue, commence, detest, enjoy, finish, intend, like, love, hate,
omit, plan, prefer, propose, recommend, start; it needs/ requires/ wants; cant/ couldnt
bear.
I like working in the morning. (more typically U.K.)

E. COMMUNICATION SKILLS
1. Read the text below. Work with a partner and find a solution to this problem. In light
of the following facts, advise the company as to its rights, if any, under Romanian or EU
law.
Chocolat Suisse is a major Swiss producer of fine chocolates. It sends a shipment of
chocolate to its distributor in Romania, but the shipment is refused entry at Ndlac Customs.
The reasons given by the customs officials for refusing entry are:
a. The chocolate boxes are not labeled in Romanian. There is a legislative
requirement that all food imported into Romania must be labeled in Romanian;
b. The chocolates are packed unsatisfactorily according to the consumer protection
standards;
c. The Swiss chocolates contain additives which are not allowed in chocolates
marketed and sold in our country.
In addition, Chocolat Suisse have also been told by La Doi Pai, a supermarket chain
to whom it had sold large quantities of chocolates, that they will not be stocking the Swiss
product, as part of their Fabricat n Romnia campaign, which encourages shops to sell
Romanian products, to the detriment of the ones of foreign origin.
