Party B, a professional law firm in Vietnam, is lisenced to provide any legal
services required by Party A as above-mentioned.
V VY, NAY, Bn A v Bn B TI Y ng k kt Hp ng ny vi cc iu
khon v cc iu kin sau y:
NOW, THEREFORE, Party A and Party B HEREBY agree to enter into this Contract
under following terms and conditions:

Cc cng vic c th m Bn B s tin hnh c quy nh ti iu 2 di y.
Party B shall provide any advice and assistance to Party A so that the aforesaid objectives
could be achieved.

Article 3.
Obligations of Party A
3.1
cho Bn B thc hin cc cng vic v cung cp dch v nh quy nh ti Hp
ng ny mt cch c hiu qu, Bn A c ngha v cung cp cho Bn B cc h tr
v tin hnh nhng cng vic sau:
In order to facilitate Party B in legal service, Party A is obliged to:
a. U quyn cho Bn B thc hin cc cng vic v dch v nh c qui inh ti
Hp ng ny;
Authorize Party B to conduct any/all works indicated in the scope of this
Contract.
b. Cung cp tt c cc vn bn, ti liu v cc thng tin cn thit khc theo yu
cu ca Bn B;
Provide any neccessary document(s) and information at the request of
Party B.
c. To iu kin tt nht cho Bn B trong vic trao i/lm vic vi cc chuyn
gia c lin quan v cc c quan c thm quyn Trung ng v a
phng thc hin cc cng vic ca Bn B.
Create favorable conditions for Party B to disscuss/deal with related
expert(s) and national or local State authorities in the course of contract
performance.
3.2
Bn A phi tr cho Bn B ph dch v nh c qui nh ti iu 5 di y.
Party A shall pay service fee to Party B as agreed in Article 5 below.

Work schedule and contract term:

Hereby, the parties mutually agree the following work schedule:
a. Chun b d tho ti liu;
Drafting required documents included in application file;
b. Tham vn vi cc cn b c lin quan, ly kin gp v xut ca h v
cc d tho ti liu nu trn;
Consulting relevant officers/experts on the draft of required documents;
c. Hon thin cc bn d tho ti liu cui cng;
Completing and finalizing application file;
d. trnh h s ln cc c quan c thm quyn;
Lodging application file to competent authorities;
e. Theo di qu trnh nh gi v xem xt ca cc c quan c thm quyn;
Following up and reviewing the approval/licensing progress of competent
authorities:

Obtaining results from compentent authorities;
g. Sau khi t c t c quan c thm quyn trnh b H s

Upon obtaining result, lodging any other application file (if any) to

Following up and updating consideration and approval process of
competent authorities;

4.2

Thi gian d tnh / Term of service

Ph thuc vo vic cung cp nhng thng tin, ti liu mt cch y v kp thi
t Bn A v vic phi hp cht ch ca Bn A trong sut qu trnh Bn B thc hin
cc cng vic, thi gian d tnh Bn B tin hnh cc cng vic v dch v s
theo lch biu di y:
Given that Party A provides required information and documents in full and on
time and closely coordinate with Party B in the course of service performance,
term of service is as follows:

Application preparation shall be finished by Party B within

Service fee and payment

thanh ton cho Bn B mt khon ph dch v trn gi l s c thanh ton theo

Upon considering the scope of work indicated herein, Party A shall pay a package

Payment shall be made by cash or wire transfer in Vietnam Dong (at the foreign
exchange rates posted by [name of bank] at the payment date) to the bank account

iu 6.
Thu v chi ph
Article 6.
Tax and fees
Ph dch v trn cha bao gm 10% thu gi tr gia tng (VAT), cc ph v l ph chnh
thc nh nc, chi ph thc t hp l cho vn phng phm, lin lc quc t, i li v n
.. theo yu cu ca cng vic (nu c).
The foregoing service fee is exclusive of 10% Value-Added-Tax (VAT), statutory fees,
actual expenses for stationery, communication, travel, accommodation, etc (if any).

ngy Bn B gi ngh thanh ton cho vic thanh ton cc khon tin theo tin nu
trn s c tnh cng vo cc khon tin thanh ton ca ln thanh ton .

Any tax, fees or expenses incurred on or before the date of payment request sent by Party
B shall be charged in such payment request..
iu 7.
Chuyn nhng
Article 7.
Assignment
Cc Bn ti y thng nht ng rng bt k Bn no ca Hp ng ny cng c th
chuyn nhng quyn v ngha v ca mnh theo Hp ng ny cho (cc) bn th ba vi
iu kin l vic chuyn nhng phi c s chp thun v ng trc ca Bn kia
bng vn bn.
The parties mutually agree that either party has right to assign its rights and obligations
herein to the third party if it is agreed by the parties.
iu 8.
Hiu lc, sa i v chm dt Hp ng
Article 8. Effectiveness, amendment and termination of services
8.1
Hp ng ny c hiu lc k t ngy k.
This Contract takes effect as from the signing date.
8.2
Hp ng ny c th c sa i bng vn bn gia cc bn.
This Contract may be amended and modified only by a written instrument signed
by the parties.
8.3
Hp ng ny s chm dt trong cc trng hp sau y:
This Contract shall be terminated in the following cases :
a.
Cc Bn hon thnh ton b ngha v ca mnh theo Hp ng;
All obligations herein are completed.
b.
Cc Bn tho thun vic chm dt Hp ng ny. Trong trng hp ny,
c hai bn s tho thun v cc iu khon v iu kin chm dt Hp
ng;
The parties mutually agree to terminate this Contract. In this case, the
terms or conditions for contract termination shall be agreed by the parties.
iu 9. Bo mt
Article 9.
Confidentiality
Tt c trao i, thng tin, ti liu, vn bn, ti liu v tho thun gia Bn A v Bn B s
c coi l ti sn ring ca cc bn v s c cc bn lu gi mt cch cn mt v mi
bn ch c tit l ra ngoi khi c s ng trc bng vn bn ca bn kia.
Any communication, exchange of information and documents and agreements between the
parties shall be considered as their private properties and shall be confidential. Any
disclosure by a party must be consent in advance by the other party.

Article 10.

Gii quyt tranh chp

Dispute settlement

Bt k tranh chp no pht sinh t Hp ng ny s c gii quyt trc ht bng vic

thng lng gia cc bn. Trng hp thng lng khng t hiu qu, cc bn c th
yu cu To n c thm quyn ca Vit Nam gii quyt tranh chp.

Any dispute arising from this Contract shall be settled by negotiation. If failure to
negotiate, the parties shall request competent court of Vietnam to settle.

Article 11.
Counterparts
Hp ng ny c lp thnh hai (02) b gc; mi b gc gm mt (01) bn bng Ting
Anh v mt (01) bn bng ting Vit. Cc bn c gi tr nh nhau. Mi bn gi mt (01)
b.
This Contract shall be made into two (02) sets of originals in English and Vietnamese with
the same validation. Each party shall keep one (01) set.

IN WITNESS WHEREOF, the parties have executed this agreement on the day and date
