ACG SOFTWARE

1.1

Supported Software
(a)

The below table identifies the ACG Software with respect to which Dell will initially provide the Services. The Parties recognize that, as provided
in the Agreement, the types of ACG Software will change over time. Such changes will be documented in accordance with procedures to be set
forth in the Policies and Procedures Manual.

(b)

The below table also specifies certain tasks (i.e., Incident Capture, Resolve Configuration, Install and End user Assistance) with respect to the
Software for which the Service Desk may or may not have responsibility. In the 30 days after the Effective Date, the Parties will review ACGs
existing service desk documentation and complete the table. Based upon that review, Dell will assume responsibility for any tasks currently
performed by ACGs IT service desk (being replaced by Dell pursuant to the Agreement) for which ACG provides or has provided Dell with
documentation which is sufficient for Dell Service Desk to assume responsibility for the task. The Parties recognize that, as provided in the
Agreement, such responsibilities will change over time and such changes will be documented in accordance with procedures to be set forth in the
Policies and Procedures Manual.

(c)

As provided in Exhibit 3, the Service Levels for First Contact Resolution and Time to Resolve will not apply with respect to tasks for which Dell
is not responsible. Specifically, calls to the Service Desk related to such tasks shall not be considered Resolvable Calls or Incidents for purposes
of Exhibit 3. The Parties recognize that, as provided in the Agreement, the Equipment set forth Appendices 7-A and 7-B will change over time.

(d)

Capitalized terms used but not defined in this Exhibit shall have the meanings specified in the Agreement and Exhibit 1. The following defined
terms used in this Exhibit shall have the meanings specified below:
Incident
Capture

shall mean that Dell will receive calls related to this Software, collect information about the Incident that has
occurred, create an Incident record within the service management tool, and either resolve the Incident or assign it to
the proper assignee group.

Resolve
Configuration

shall mean that Dell will diagnose and identify Application configuration Incidents, then correct the configuration or
re-install the Application on the affected Equipment.

Install

shall mean that Dell will install this Software for any End Users who call and for whom ACG can provide an efficient
means for determining authorization for use.
