was organized in 1996 headed by its Chief Executive Officer Atty.
Leopoldo P. Dela Rosa. Its offices are conveniently located at Room 307
CCI Building 1091 Conception Street, Ermita, Manila near Manila City
Hall.

Since 1996 and continuously up to the present time, Ez2 Kollect


has expanded its services and business. More and more business has
relied on the Extra-Judicial and Judicial means of collecting accounts.

Starting as an ordinary Collection Agency in 1996 through the

Our office is happy to submit this Collection Proposal to service


your collection problems. Our Collection Firm has been in the Collection
Business since 1996 up to the present time.
We have adequate personnel and facilities necessary for the
handling of Collection Cases. Our staff consists of several Assistant
Lawyers, Verifiers, Investigators, legal Researchers, Writ Enforcers and
Messenger. Our office is equipped with complete law book such as

CONTRACT OF SERVICES

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Service is entered into by and between:

EZ2 KOLLECT BUSINESS CENTRE, INC., a corporation duly


organized and existing under the Laws of the Republic of the Philippines,
with office address at suite 306-307 CCI Building, 1091 Concepcion St.
Ermita Manila, herein represented by its President, ATTY. LEOPOLDO P.
DELA ROSA herein referred to as the FIRST PARTY;
-AndTRUMED PHARMACEUTICALS is duly organized and existing
under and by virtue of the laws of the Republic of the Philippines, with
address at No. ______________ represented by MR. RAYSUN ARELLANO
herein referred to as the SECOND PARTY.
WITNESSETH:

1.

WHEREAS, the Second Party engages the services of the First


Party for the purpose of collecting the following accounts, to wit:

And such other accounts which maybe referred from time to time;
2.

WHEREAS, the First Party hereby accepts said referral of the


above-stated accounts and undertake to collect the same for and
in behalf of the Second Party.

3.

WHEREFORE, it is mutually agreed;

4.

That in consideration of the foregoing, the Second Party agrees


and binds himself/herself to pay the following amounts;

a.) A Processing Fee of __________ Philippines Currency Shall be paid

upon referral of every documents such as Bouncing Checks, Sales


Invoice and/or Delivery Receipts or per account.

b.) For Metro Manila cases, a Collection Fees representing Fifteen

Percent (15%) of amount collect.


c.) For provincial cases a collection Fees representing Eighteen

Percent (18%) of amount collected.


d.) In cases wherein the obligation is satisfied through levy and/or

garnishment of properties and/or goods, said Collection Fees shall


cover (15%) in Metro Manila cases or (18%) in Provincial cases.
5.

That, the liability for Collection Fees of the Second Party to the
first party shall apply only in cases wherein the First Party shall
be able to and actually collect the Account so referred, (NO
COLLECT NO PAYMENT BASIS);

6.

That, the First party is authorized to sue and to take all lawful
ways and means for recovery concerned account/s; with written
consent of the second party.

7.

That, no Appearance fees shall be charged upon the Second Party


by the First Party in case an account requires the filing of suit in
court;

8.

That, the payment of litigation expenses, with written consent


such as Filing Fees, Summons Fees, Sheriffs Fees and other
shall be for the account of the Second Party.

9.

That, First Party undertakes to sue not only for the Principal
Obligation but also for the reimbursement of litigation and
judicial expenses incurred by the Second Party;

10. That, the First Party shall submit a Status and / or Progress
Report of the Account /s so referred every 30 days from the time
of the referral of the Second Party.
11. That, the parties hereby agree to adhere strictly to the foregoing
terms conditions of this Contract of Services.
12. That, the collection charges of the first party shall be based on
net proceeds after Taxes and other deductibles;

13. In case the amount collected by the first party, shall be less than
the amount referred to by the second party, collection charges of
the first party shall be based on the actual amount collected.
14. The first party for purposes of collection shall require only photocopies of actionable document and in no way shall require the
production of the original documents, the first party shall require
the production of documents in case of litigation. The original
documents shall be handcarried by the authorized representative
of the second party. The same shall be brought to the court
And/or the Quasi-Judicial Body for purposes of identification
and/or comparison. The original documents shall be office of the
second party.
15. In cases wherein the Debtor of the second party manifest its
intention to pay any amount the first party herein shall bring the
Debtor to the nearest Bank to secure a Managers Check and/or
cashiers check payable to the name of the second party.
16. It is hereby agreed that there shall be no employer/employee
relationship between the first party and the second party herein.
17. The second party is absolve of any liability that may arise in the
collection system that may be employed by the first party.
18. In case of any amount collected by the first party, the same shall
be transmitted within 24 hours by the first party unto the second
party.
19. In case where there is a need to litigate, the first party shall notify
the second party and the first party shall secure the consent of
the second party.
20. Collect charges of the first party (15% or 18%) shall be based on
the amount actually collected.
