OracleCorporation(NASDAQ:ORCL)andSunMicrosystems(NASDAQ:JAVA)announced
todaytheyhaveenteredintoadefinitiveagreementunderwhichOraclewillacquireSun
commonstockfor$9.50pershareincash.Thetransactionisvaluedatapproximately$7.4
billion,or$5.6billionnetofSunscashanddebt.Weexpectthisacquisitiontobeaccretiveto
Oraclesearningsbyatleast15centsonanonGAAPbasisinthefirstfullyearafterclosing.We
estimatethattheacquiredbusinesswillcontributeover$1.5billiontoOraclesnonGAAP
operatingprofitinthefirstyear,increasingtoover$2billioninthesecondyear.Thiswould
maketheSunacquisitionmoreprofitableinpersharecontributioninthefirstyearthanwehad
plannedfortheacquisitionsofBEA,PeopleSoftandSiebelcombined,saidOraclePresident
SafraCatz.
