STRATEGIC ALLIANCE AGREEMENT

This Strategic Alliance Agreement is entered into as of ___________ by and between Christopher
Nicole C. Ocsing, with a principal location at #17-E 1st Avenue, Barangay Bagong Lipunan ng
Crame, Cubao, Quezon City (CNJ Video Production), and ____________________, with a
principal location at ____________________________________.
RECITALS:
A. CNJ Video Production provides video and photo coverage on Weddings and Debuts and Samahang
Musikero Pinas provides events management/organizing to Weddings and Debuts. These services do
not compete with one another and differing functions. However, video and photo coverage and events
management/organizing are complementary, and purchasers of one service are often interested in
purchasing the other service.
B. The parties to this agreement wish to join in a strategic alliance under which each party will
provide the services to their clients, with the goal of increasing sales of both services.
AGREEMENTS:
1. Each of the parties will make a good faith. Specifically, CNJ Video Production will only provide
video and photo services to the clients of Samahang Musikero Pinas, while Samahang Musikero Pinas
will only provide events management to clients and will recommend the services of CNJ Video
Production. Each parties can promote the other service of the party or vice versa. Considering that
both services are complementary.
1a. CNJ Video Production is the only service provider on clients of Samahang Musikero
Pinas
EXEMPTION: If the client of Samahang Musikero Pinas already availed video and photo
services to other firms, Samahang Musikero Pinas must inform any of the contact person of
CNJ Video Production.
2. This agreement will remain in effect for 1 year. A party may renew this agreement by giving at least
60 days notice to the other.
3. A contact person for each will coordinate the efforts of that party under this agreement. The initial
contact person for each party is as follows:

A partys contact person may be changed at any time by giving notice of the change to the other party.
The notice must include the name and contact information for the new contact person. The contact
person for each party must be available at reasonable times and on reasonable notice to meet with,
converse with, or otherwise communicate with the contact person for the other party regarding issues
arising under this agreement.
4. This agreement does not create a joint venture, partnership, or principal-agent relationship between
the parties and nothing in this agreement may be used to imply such a relationship. Neither party has
the right, power, or authority to obligate or bind the other in any manner unless authorized in writing
by the other party in a specific instance. The parties do not intend to share profits or losses arising
from the sale of CNJ Video Production or sale of Samahang Musikero Pinas.
5. This agreement does not give either party any ownership rights or interests in the other partys trade
name, trademarks, copyrights, patents, trade secrets, know-how, proprietary data, confidential
information, or other intellectual property. Each party agrees to comply with the instructions of the
other regarding the use of the other partys intellectual property in the promotion of the other partys
services, including trademarks, copyrights.
6. Each of the parties agrees not to hire or engage in any attempt to hire employees of the other party
during the term of this agreement and for a period of one year following its termination. Likewise ,
each of the parties agrees not to engage or attempt to engage the others party independent contractors
during that period of time.

This agreement will be governed by and must construe in accordance with the laws of the Republic of
the Philippines.
This agreement constitutes the entire agreement between parties pertaining to its subject matter and
supersedes all prior contemporaneous agreements, representations, and understandings of the parties.
