THE KASHF FOUNDATION PROVIDENT FUND TRUST DEED

This declaration of Trust is made at Lahore on _____ day of _______ 2008, by


Kashf Foundation, having its registered office at 19-A, Aibak Block, New Garden
Town, Lahore , hereinafter referred to as KASHF, (which expression shall mean
and include wherever the contest so demands or requires its successors and
assigns) through its Chief Executive Officer, Ms. Roshaneh Zafar, OF THE ONE
PART
AND

all employees of the Kashf Foundation, hereinafter referred to as the Trustees,


(which expression shall include, wherever the context demands or so requires the
successor Trustees for the time being) OF THE OTHER PART.
WHEREAS the Kashf Foundation has decided to establish a Provident Fund for
the benefit of its employees and is required in this behalf to execute a Trust Deed
in order to obtain recognition for the Fund as per provisions of the Income Tax
Ordinance, 2001, and to ensure the administration and operation of the Fund in
accordance with law.

AND WHEREAS the Trustees have consented to act as Trustees of the Kashf
Foundation Provident Fund.
NOW THIS TRUST DEED WITNESSES and it is hereby agreed and declared as
under: 1.

A Provident Fund entitled the Kashf Foundation Provident Fund is hereby


established and constituted as a Trust Fund upon and subject to the
provisions of this Trust Deed.

2.

The Fund shall vest in the Trustees and shall be governed and
administered in accordance with the provisions of this Deed and the
Kashf Foundation Provident Fund Rules.

3.

This Trust shall not be revocable except with the consent of all the
beneficiaries and save in the event of Fund being wound up in accordance
with the provisions of Rule-57.

4.

The Fund shall consist of the contributions of the Members, the


contribution of the Kashf Foundation and the income arising from the
investment thereof and of any other constitutions of the Fund which may
be received by the Trustees.

5.

The custody, management, investment and control of the Fund shall vest
in the Trustees.

6.

The number of Trustees shall not be less than three nor more than six, one
of them shall be the Chairman of the Trustees. The Trustees shall include
one Trustee representing the professional staff of the Kashf Foundation
and one Trustee representing the support staff of the Kashf Foundation.
The following shall be the first Trustees: i.

7.

The term of office of a Trustee including the first Trustees shall be three
years from the date of appointment except that the Board of Directors of
the Kashf Foundation may, in its discretion, remove a Trustee from office
prior to completion of his term and appoint another Trustee in his place.
All subsequent appointments including re-appointments, shall be made
by the Board of Directors of the Kashf Foundation. A Trustee shall be at
liberty to retire from his office through written intimation addressed to the
Chief Executive of the Kashf Foundation.

In case of disagreement amongst the Trustees the decision of the majority


shall prevail. In case of equality of votes, the Chairman shall have a second
and casting vote. The quorum for a meeting of the Trustees shall be two if
the Chairman is present and three if he is not present.

9.

The Fund shall vest in and be held by the Trustees for the purposes
specified in this Deed and the Kashf Foundation Provident Rules. The
Trustees for the time being shall have all the powers, authorities and
discretions necessary or expedient for the carrying out and fulfillment of
these purposes.

10.

The Secretary of the Fund shall be appointed by the Trustees. The


Secretary shall be an accountant but shall not himself be a Trustee. Subject
to the control, direction and superintendence of the Trustees the Secretary
shall be responsible for maintaining the books and record of the Fund
including the individual accounts of the Members, and for implementing
the decisions of the Trustees.

11.

The decision of the Trustees on all matters and disputes shall be final.

12.

A Trustee or the Trustees for the time being shall not, at any time, be made
liable for any more money than shall actually have come into his or their
hands or the loss or variation in the price of investments or for the failure
of any bank or institution in which moneys of the Fund are kept or
invested or dishonesty of the Secretary or servant or other person with

whom any part of the Fund may be deposited or be placed in charge or for
any act other than his or their own, immediate and respective willful acts,
deeds, neglects and defaults.
IN WITNESS WHEREOF the Kashf Foundation has set its common seal and the
Trustees have set their respective signatures on the day of the year first above
written.
