CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:


This Contract to Sell is made and executed this [] day of [],at [], by and between:
[] and hereinafter referred to as the SELLER
- and [] and hereinafter referred to as the BUYER.
WITNESSETH;
WHEREAS, the SELLER is the legal registered owner of a [], covered by [] issued by
the Register of Deeds of [] (Property), more particularly describes as follows:

WHEREAS, the SELLER has offered to sell and the BUYER has agreed to purchase the
above mentioned property under the terms and conditions herein set forth below;
NOW THEREFORE, for and in consideration of the total sum of [] (Php[]), and of the
covenants herein after set forth, the SELLER agrees to sell and the BUYER agrees to buy the
Property subject to the following terms and conditions:
1.

The total consideration shall be [] (Php[]), payable as follows:

1.1.
The Seller hereby acknowledges receipt of the amount of [] (Php[]),
representing earnest money covered by [], check no. [], dated [] which forms part of the
purchase price of the Property.
1.2.
The amount of [] (Php[]), representing the down payment shall be payable by
the BUYER to the SELLER upon receipt of the notice of approval of the sale of the Property by
SELLERs Board of Directors;
1.3.
The remaining balance in the amount of [] (Php[]) shall be payable within thirty (30)
days from receipt of notice of approval of sale.
2.
Payments shall be payable to []. In case any of the checks representing the
payments for the balance provided in paragraphs 1.2. and 1.3. hereof is dishonored by the
drawee bank, the earnest money in the amount of [] (Php[]), shall be forfeited in favor of
the SELLER.
All payments herein agreed to be made by the BUYER shall be paid at the principal office of the
SELLER.
3.
Capital Gains Tax, Documentary Stamp Tax, Transfer Tax, Registration and notary fees
and expenses and all other related taxes, fees and expenses due and payable in connection
with the transfer of the title of the Property from the SELLER to the BUYER shall be for the
account of the BUYER.
4.
Possession to the Property shall be delivered by the SELLER to the BUYER upon full
payment of the total consideration.
5.
Upon full payment of the total price, the SELLER agrees to sign and execute a DEED
OF ABSOLUTE SALE in favor of the BUYER. The SELLER shall likewise execute and/or
deliver any and all documents, including but not limited to the original copy of Condominium

Certificate of Title, Tax Declaration/s and all other documents necessary for the transfer of
ownership from SELLER to the BUYER.
The certificate of title of the Property shall be delivered by the SELLER to the BUYER free from
any lien and encumbrances except those that may be provided in the Amended Master Deed
with Declaration of Restrictions, Land Registration Act, and those other existing annotation/s
appearing on the title.
