SALES REPRESENTATIVE AGREEMENT

This Sales Representative Agreement (the Agreement) is made and effective [DATE],
BETWEEN:

SPYDA NETWORK (the "Company"), a corporation organized and existing

under the laws of the FEDERAL REPUBLIC OF NIGERIA, with its head office
located at: #8 OMOBA OLUKOLU STREET, IGBO-EFON. LEKKI. LAGOS
STATE.

AND:

SALES REPRESENTATIVE AGREES TO:

1. Represent and Market the Company's products/services in the geographic area known as

2. Accurately represent, defend and state Company policies to all potential and present customers.
3. Promptly mail in all leads and orders to the Company as soon as they come.
4. Inform the Company of all problems concerning Company customers within the sales territory.
5. Inform the management, on plans to represent any other business firm. In no event shall sales
representative represent a competitive company or product line either within or outside the
designated sales area.
6. Communicate with the Company via phone calls, SMS, BBM or Whatsapp with reasonable
frequency to discuss sales activity within the territory.
7. Provide company 14-days' notice should the Representative intend to terminate this Agreement.
8. Employee shall not at any time or in any manner, either directly or indirectly, divulge, disclose or
communicate to any person, firm, corporation, or other entity in any manner whatsoever any
information concerning any matters affecting or relating to the business of employer, including but
not limited to any of its customers, the prices it obtains or has obtained from the sale of, or at
which it sells or has sold, its products, or any other information concerning the business of
employer, its manner of operation, its plans, processes, or other data without regard to whether
all of the above-stated matters will be deemed confidential, material, or important, employer and
employee specifically and expressly stipulating that as between them, such matters are
important, material, and confidential and gravely affect the effective and successful conduct of the
business of employer, and employers good will, and that any breach of the terms of this section
shall be a material breach of this Agreement.
9. Return promptly all materials and samples provided by the Company to the Representative, if
either party terminates this agreement.

THE COMPANY AGREES TO:

1. Pay the following commissions to the Sales Representative:
a) N5000 per client (as transportation cost) for good Leads as soon as client shows interest
to buy products or use companys services.
b) 10% of sales or services generated by sales representative as soon as client makes a
complete payment.
2. To negotiate in advance of sale the commission percentage to be paid on all orders that the
Company allows a quantity discount or other trade concession.
3. Commissions on refunds to customers or merchandise returned by the customer in which a
commission has already been paid to the Representative shall be deducted from future
commissions to be paid to the Representative by the Company.
4. To provide the Sales Representative with reasonable quantities of information and documents
concerning companys products and services required for sales purposes.
5. To set minimum monthly quotas after consultation with the Sales Representative.
6. To grant Representative 14-days' notice should the Company wish to terminate this Agreement.
7. This constitutes the entire Agreement.
8. This agreement shall be binding upon the parties and their successors and assigns.
