CONDITIONS:

QUANTITY:

Annual 12 Months Contract on a FOB Rotterdam basis, a total quantity of

be agreed between buyer and seller

AVAILABILITY:

The commodity shall be available not later than April 2012

SHIPPING TERMS:

FOB Rotterdam in Tank

PRICE:

$13.50 / $10.50 less NWE Platt per barrel at time of lifting

DISCOUNT (d):

Price is $13.50 / $10.50 less NWE Platt per barrel at time of lifting.

COMMISIONS:

$3.00 Commissions (split $1.50 to Seller`s Side / $1.50 to Buyer`s Side) is

payable by the Seller

PROCEDURES:
9.1.
Seller and Buyer signs the Contract after review and modifications.
9.2
Seller provides Partial Pop (a-g), Seller and Buyer split payment for Pumping Fee of 700.000
USD each to be paid within 24 hrs of receipt of Partial POP and finalizing SPA delivery as per 3.1 (this
transportation fee is to be paid only once and only for first delivery of product needed for verification
of this SPA)

b. Transport Agreement from the shipping company
c. Affidavit and Letter of Affirmation
d. Registered Contract
e. Export license
g. Passport of the product.
9.3.
Seller provides Commercial invoice, Tank Receipt No., SGS Report and Dip Test Authorization
upon arrival in Rotterdam. (with in 24 hrs)
9.4.
Buyers bank issues MT103/23 for the lift able portion of the allocation and an IRDLC financial
instrument for the remaining portion of the monthly allocation to Seller's bank within 24 hours after
verification. Verification to be conducted no later than 48 hours from release of SGS. (first lift able
quantity will be determent after finalization of this SPA it wont be less than 500.000 bbl and not
more than 1.500.000 bbl)

Sellers Bank sends Full POP to Buyers Bank
9.7.
Seller transfer Title afterr Buyer has activated Buyer's Financial & Payment Instrument.
9.8
Buyers Bank swifts RDLC/SBLC to Sellers Bank in the Contract, by his Bank on the name to
and to the Bank of the Seller, requisites of which the Seller undertakes to provide to the Buyer within
w
two (2) international banking days from the date of issuance of POP.
Alternative procedure:

9.4.
Seller confirm acceptance of issued
