inparticulartheHONGKONGCOMPANIESORDINANCE1984",locatedat20F,Office
20A,CheukNangPlaza,250HennessyRoad,Wanchai,HongKong,hereinafterreferredtoas
ONETHOR.
B.Anypersonorlegalentitywhofilledpersonaldata,recordingyouragreementtoallsuch
termsafterdeclaringthatunderstoodtheentirecontentsofthisinstrument,acceptedbyfreeand
informedthroughthewebsitewww.onethor.com,hereinafter"PARTNERS"
2TheUSER'SACKNOWLEDGEMENTandTERMSOFUSEacceptance
Byaccessingorusingourwebsite,youexpresslyagreetobecomesubjecttothetermsand
conditionsofthisagreement.Ifyou,forwhateverreason,donotagreetoallthetermsand
conditionsofthisagreement,thenyoumaynotaccessthewebsiteoruseanyserviceor
productsmarketedbyONETHORSYSTEMSCOMPANYLIMITED,andtheirlocalbusiness
partners,authorizedtousethemarkONETHOR,properlyappointedbythis.
ThesetermsandconditionsareconsideredanofferbyONETHOR,acceptanceisexpressly
limitedtotheseterms.
Thiswebsiteisavailableonlytoindividualswhoareatleast18yearsofageorolderandarefully
ableandcompetenttoenterintotheterms,conditions,obligations,affirmations,representations
andwarrantiessetforthinthisagreement,andtorespectandcomplywiththetermsofthis
agreement.
Theinformationandfeaturesincludedinthiswebsitearesubjecttochangeatanytimewithout
notice.Byaccessingorlinkingtothiswebsite,youassumetheriskthattheinformationonthis
websitemaybechangedorremoved.
Youacknowledgeandagreethatitisyourresponsibilitytoreviewthiswebsiteandthis
agreementperiodicallyandtobeawareofanymodifications.Yourcontinueduseofthiswebsite

2.1PARTNERSANDINTERNATIONALUSERS
Itisaninternationalnetworkofsellingproductsandservicestousersproperlyregisteredwiththe
system,anexclusiveshoppingclub.TheServiceiscontrolled,operatedandadministeredby
ONETHOR,headquarteredinHongKong.IfyouaccesstheServicefromalocationoutside
HongKong,youareresponsibleforcompliancewithalllocallaws,includingtheprincipaland
accessorytaxobligations,aswellastheinformationneededtosendvalues
toothercountries,

thecompetentauthorities,exemptingalreadyONETHOR.Itisalsostipulatedthatthe
PARTNERwillnotuseaccesstocontentthroughONETHORinanycountryorinanymanner
prohibitedbyanylaws,restrictionsorregulations.
2.2GUARANTEERENOUNCE
TheWebsitesareprovidedasitis.TheONETHORSYSTEMSCOMPANYLIMITEDandtheir
suppliesandlicensorsdisclaimallwarrantiesofanykind,eitherexpressorimplied,including,

withoutlimitation,thewarrantiesofmerchantability,fitnessforaparticularpurposeand
noninfringement.
NeitherONETHORSYSTEMSCOMPANYLIMITEDoritssourcesandlicensorsmakeany
warrantythatthesitewillbeerrorfreeorthatyouraccesswillbecontinuousoruninterrupted.
2.3LIMITEDLIABILITY
InnoeventshallONETHORSYSTEMSCOMPANYLIMITED,itssuppliersorlicensors,beliable
withrespecttoanysubjectmatterofthisagreementunderanycontract,negligence,strict
liabilityorotherlegalorequitabletheoryfor:
1Anyspecial,incidentalorconsequentialdamages,orequity.
2Thecostofprocurementofsubstitutegoodsorservices,or
3fortheinterruptionoftheuserorthelossorcorruptionofdata.
ONETHORSYSTEMSCOMPANYLIMITEDwillhavenoliabilityforanyfailureordelaydueto
mattersbeyondhiswill,unforeseeablecircumstancesormajorforce.
Theprovisionsofthisarticleshallnotapplytotheextentprohibitedbyapplicablelaw.
2.4TYPOGRAPHICALERRORS
InthecaseofaproductorserviceONETHORSYSTEMSCOMPANYLIMITEDbelistedwithan
incorrectpriceduetotypographicalerrororerrorinpricingreceivedfromoursupplies,ONE
THORSYSTEMSCOMPANYLIMITEDshallhavetherighttorefuseorcancelanyordersplaced
foraproductorservicelistedattheincorrectprice.TheONETHORSYSTEMSCOMPANY
LIMITEDhastherighttorefuseorcancelanyorderswhetherornottheorderhasbeen
confirmedandyourcreditcardcharged.Ifyourcreditcard,PayPal,builtinaccountorbank
accounthasalreadybeenresponsibleforthepurchaseandyourorderiscancelled,theONE
THORSYSTEMSCOMPANYLIMITEDshallissueacredittoyouraccountintheamountofthe
incorrectprice.
2.5MULTILEVELMARKETINGENTERPRISINGTHE"PARTNER"
Willonlybeconsidered"PARTNER"byONETHORSYSTEMSCOMPANYLIMITEDthenatural
orjuridicalperson,beingoneandtheirrepresentativesthoroughlytrainedbyONETHOR
SYSTEMSCOMPANYLIMITEDintheproceduresofdirectsalestoconsumersoftheproducts
orservicesornewentrepreneurs,properlyregisteredinthecomputerizedsystemwithyour
correctandupdatedregistrationinformation.
2.5.1Thepartnermaychangeitslegalpersonalitywithoutlossofitspositioninginthenetwork
andwithoutprejudiceofthevaluesthatmakejussofaroftheregistryalteration,providedthatit
isestablishedthatitisthesameperson,withacostof$100,00dollarsor100pointsforthe
alteration.
2.5.2ItisuptothePARTNERifyouusealllawfulmeansavailableforthemarketingofgoods
orservicesofONETHOR,includingelectronicordigitalmedia,beingpreviouslyapprovedbythe
communicationsteamofONETHORbyemailmedia@onethor.com,exceptthoseexpressly
excludedfromcommunicationpolicyofONETHOR.
2.5.3ThePARTNERcanchangetheirregistrationdata,suchasnumberingofdocumentation
enteredwrong,email,telephones,bankingdata,providedthatitisprovedbymeansofofficial
documentationofyourcountryandthepaymentofafeeof$15,00dollarsor15pointsasa
chargeforthisservice.

3THECONTRACTUALOBJECT
Theobjectofthispartnershipagreementconcludedbetweenthepartiesinvolvestheprovisionof
reciprocalservicesbetweentheparties,implyingthatrelationshipinmutualrightsand
obligationsasbrokendowninthefollowingclausesandconditions.

4SERVICESCONTRACTORS
Itiscompulsoryreciprocalservicesbetweentheparties,aslistedbelow.
4.1SERVICESTOBEPROVIDEDBYONETHOR
Developingdigitaladvertisingtoindividualsandorganizations
Disseminationofdigitaladvertisingonsocialnetworksandvariouswebsites
Developingapplicationsformobiledevices(tablets,Smartphones,notebooks,etc.)
SendingtextmessagesviaSMS
PromotionalelectronicmailingssegmentedSubmission
Electroniccustomwebsitedevelopment
Commercialadviceforstructuringthebusinesschain
Offeredtechnicaltrainingonproductsandservices.
Searchofnewtechnologiesonglobalmarket.
ProvidingproductsandservicesmanufacturedbylocalaccreditedPARTNERS.
4.1.1Printedmaterialsuchasbusinesscards,folder's,flyers,pamphlets,posters,displays,
orplates,orvariationsofthesetracksforadvertisingarenotincludedintheservicesand
materialsprovidedbyONETHOR.
4.1.2Theprovisionoftheaboveaswellasothersimilarmaterialscanbeaccomplished,
however,byadecisionofONETHOR,oranyrelatedentity.
4.2SERVICESTOBEPROVIDEDBYPARTNERS
MarketingofgoodsandservicesofferedbyONETHORandtheirPARTNERSaccredited,
licensedandfranchised
DisseminationthroughspecificmethodologyandsystembroadcastadvertisementsbyONE
THORinitscommunicationchannelswiththe"PARTNER"
Trainingbusinessgroupformedbythe"PARTNER"ortheONETHORwhodeemsnecessaryto
thesmoothrunningofbusiness
TrainingofbusinesschainintheMultilevelMarketingModel(hereinafterreferencedbyacronym
MMN)
4.2.1PARTNERisexpresslywarnedthatitisforbiddentopresentonbehalfofONETHOR
beforepublicorprivateinstitutions,orareauthorizedtoenterintocommitmentsonbehalfof
ONETHOR.
4.2.2PARTNER,toenrollandacceptthecontentsofthisagreement,youmaynotbepartof
anotherMLMcompanywhoseactivitiesaresimilartothis,orthat,somehow,maycreatea
conflictofinterest.
5MULTILEVELMARKETINGSYSTEM
TheoperationsofONETHORthesearekindofmarketinggoodsorservicesthroughdirect
sales,conductedbythisortheiraccredited,licensedorfranchised,branchedatvariouslevelsof
remuneration,beingsubsidizedbytheresaleownconsumptionandconcessionsaswellasthe
partnershipofnewentrepreneursthatmakeupthenetworkofsales,concessionsand
consumption,andmaystillbeinthenetincomeinaccordancewiththeremunerationpolicyof

thecompanyandthesafetymarginsaswellasthesustainabilityofthecompanythrough
distributioncontract.PARTNERShasautonomyintheorganizationandmanagementofits
activities,wheretheoperationsindicatedPARTNERSresultinbenefitstoparticipants,the
modelssetbyCOMPENSATIONPLAN(ANNEXI)andotherstandardsONETHOR,including
LETTEROFETHICALPRINCIPLES(ANNEXII)
5.1MultilevelMarketingsystemfromONETHORSYSTEMSCOMPANYLIMITEDisdirectedto
thepurchase,saleandresaleofownproductsandservicesandthirdparties,notmerely
financialoperations,featuringintheabsenceofanycommitmenttofinancialreturnfixedtothe
partners,norseekstoprovideeconomicadvantagesforthesimplerecruitmentofpeopletothe
network.
5.2ItisforbiddentocollectanymonetaryvaluebyindicatingthenewPARTNERSatthe
businessnetwork,giventhatthenewPARTNER,entersthepurchasesofproductsandservices
ONETHORwiththetitleof"CUSTOMERDISTRIBUTOR",freeofchargeandnotthrough
onerousregistrationformavailabletonewPARTNERS,whichmayholdaPRIMEPURCHASE
onthedesiredvalue.
5.3Theusermustbeclearthatthegainsthatcanbeobtainedwillbehelddirectlyofthe
profitabilityoftheirownactivitiesand,eventually,ofcompensationarisingfromtheoverall
performanceofyournetworkandONETHORSYSTEMSCOMPANYLIMITED,andthereisno
promiseorcommitmenttoreturnofamountspaidinconnectionwiththehiringortheacquisition
ofproductsand/orservices,toalesserorgreaterspentvalue.
5.4ONETHORSYSTEMSCOMPANYLIMITEDreservestherightatanytimeandunilaterally,
amendtheprovisionsofthisinstrumentandotherstandardsthatfocusontherelationshipwith
thePARTNER,declaringthePARTNERbeawareoftheprovisionsthatareinforce,thenwith
whichexpresslyagree,underpenaltyofthediscontinuityofthepartnerlinkwiththeONETHOR
SYSTEMSCOMPANYLIMITEDandisyourresponsibilitytocheckeveryaccess,theconditions
applicableatthetime.
5.5ThevalidityofcontractualorothernormativeofONETHORSYSTEMSCOMPANY
LIMITEDwillbefixedintheveryactthatestablish.

6MEMBERSHIPANDMAINTANANCEOFTHEAGREEMENTOFPURCHASE
ANDSALEOFPRODUCTSANDSERVICES
6.1theconclusionandvalidityofthisinstrumentareconditioned,cumulatively:
a.ThepriororconcomitantElectronicregistrationformavailableonthewebsiteofONETHOR
andexpressacceptanceofthetermsandconditionsofthisagreement
b.AdherencetoBUSINESSPLANONETHORwithoutmonetaryoranyonerouscost
c.Thatmembershipisbyanindividualgreaterandable,orbylegalpersonwhosesocialobject
isnotconflictingwiththetermsofthisinstrument
d.ThatthereisacceptanceofONETHORPARTNERSHIPAGREEMENT,whichshallbe
expresslyandformallycommunicatedtotheallegedadherent.
6.1.1thepresentinstrumentshallbeinforcebetweentheparties,fromthedateofthelastof
theaforementionedeventsandwillremainsoaslongasitsprovisionsarecompliedwith,and
maybeamendedorterminatedasprovidedinclausesofthesetermsandconditions.
6.2ONETHORSYSTEMSCOMPANYLIMITEDmaydenytheallegedmembershipofany
persontothegroup,especially(butnotlimited)whentheapplicantdoesnotfulfillthe

requirementshereinorthathasalreadybeenpreviouslyexcludedfromONETHORSYSTEMS
COMPANYLIMITEDorwhoalreadyhaspreviouscontractwithONETHORSYSTEMS
COMPANYLIMITEDterminatedsojustifiedor,whentheyprovidedfalseinformation,distorted,
incomplete,notconsistentwiththeprinciplesofethicsordevoidofcorresponding
documentation.
6.3Eachpersonorentitymayparticipateonlywitharegistry,identifiedthroughTAX
IDENTIFICATIONDOCUMENTofyourcountry,itisalsoforbiddentoPARTNERengageinother
businessesthatarenotyours,exceptforauxiliarystructure(network)downward.
6.4THEPARTNERmaychooseontheirPRIMEPURCHASEwhichproductsofferedbyONE
THORtheywillreceive,aswellaschoosingthemodeofdeliveryandshippingtotheformof
paymentofthesame,andthevalueofPRIMEPURCHASEreferencetosetthetitleofPartner,
DISTRIBUTORINDEPENDENT,DISTRIBUTORINDEPENDENTPLUS,DISTRIBUTOR
INDEPENDENTMASTERorDISTRIBUTORINDEPENDENTPREMIUM.
6.5ThevalueofPRIMEPURCHASEisnotreturnableandthedeliveryisnotincluded,it
focusesonthecommissioningofthenetwork,aswellasyourpaymentwillbeentitledtoshare
inanyawardsforconsumptionbypersonsindicatedfromthePARTNERforyourbusiness.
6.5.1Thedeliveryandanytaxdutyarenotincludedinthevalueoftheproduct,becausethey
variefromregiontoregion,thetotalamountofdeliverywillbecalculatedaccordingtothe
amountofproductsandsize,thepartnermaychoosetopaythevalueofthedeliveryoreven
financesuchvaluebymeansmadeavailableinthesystem.
6.6PerformaPRIMEPURCHASEoraBUYRESALEalonealreadyrepresentstheacceptance
ofthePARTNERtermshereofandotherrulesattachedoravailableontheONETHORwebsite.
6.7ForwhichthePARTNERkeepcurrentandcontinueenjoyingtherightsprovidedbythis
instrument,thesameshall,promptly,makeaminimumpurchaseofservicesorproducts,as
stipulatedincurrentperformance,policyorperformtheoperationoractivityestablishedbythe
companyfortheperiodtobedetermined.
6.8onlythepartnerwhoiscurrentwiththeirobligationsmayreceiveanypaymentinpoints,
bonus,Commission,feeorawardintheCOMPENSATIONPLAN,aswellastheonlypartner
whoiscurrentwithitsobligationsmayenjoytherightsconferredupon
6.9AdherencetothePARTNERthiscontracttranslatesintofullandexplicitagreementthese
clausesandimmediateandautomaticrevocationofanyexistingconflictingclausesinthe
previouscontracthavingjoinedbythePARTNERandwhichisinforcebetweentheparties.
Henceforththelegalrelationsbetweentheparties,includinginrelationtopreviouscontract
accededbyPARTNER,willbeexclusivelygovernedbythetermssetoutinthiscontract.

7PARTNERRIGHTSANDOBLIGATIONS
7.1ThePARTNERafterregisteredwillbeentitledtopurchasegoodsandservicesfor
consumptionandresaleavailablebyONETHORandtheirauthorizedsuppliers,andkeepingin
compliancewithitsobligations,shallbeentitledtoparticipate,atitsexpense,meetings,
trainings,fairs,conventionsandconferencesONETHOR,whicharequalifiedaccordingtothe
requirementsoftheevent,inadditiontoacquiringcollateralondirectsales.
7.2THEPARTNERmustcomplywiththenormativeandethicalpreceptsdefinedhereinand
thoseissuedbytheWorldFederationofDirectSellingAssociations(WFDSA),aswellas
complywiththerules,regulations,termsandconditionsofONETHORSYSTEMSCOMPANY

LIMITEDanditspartners,inREGULATION,THEPARTNER'SMANUAL,theCOMPENSATION
PLAN(ANNEXI),theCHARTEROFPRINCIPLES(ANNEXII)andothernormativebody
establishedbyONETHOR.
7.3APARTNERmaynotusethetrademarksofONETHORanditsSUPPLIERSinrespectto
therulesofintellectualpropertyprotectionandstrictlypermittedbythisCONTRACT,bythe
LETTEROFETHICALPRINCIPLESandotherrulesestablishedbyONETHOR.
7.4TheuseofONETHORSYSTEMSCOMPANYLIMITEDprescribingmayoccuronlytofulfill
thepurposesofthisagreementandtopromotetheproductsandserviceslinkedtoit,its
noncompliancecauseforterminationofthecontract.
7.5ThePARTNERcanusethepointsgeneratedbythesystem,exclusivelyforpurchases,pay
billsandtransferfundstotheaccount'drafts,inordertoapplyforconversionofpointsintocash
andtransferitsduetotheCARDONETHORindicatedbyPARTNER,itbeingexpressly
forbiddentotransfersuchamountsfromotherPARTNERSaccounts,exceptinthecaseofitem
7.6and7.6.1,whichdoesnothavethispurpose,underpenaltyofsuspensionandfreezefor12
monthsfromaccountIcomment.
7.6ThePartnermaytransferyourpointstootherpartner,LIMITEDtothetotalincomegainin
thenetworkascommissionsandbonuses,theamountsdebitedalreadybeenusedforrequests
suchwithdrawals,transfersandpaymentsofinvoices.
7.6.1ThePartnermayreceivepointsfromotherpartnersastransfer,iftheyarequalifiedtodo
so,ie,sincetheamountreceiveddoesnotexceedthevaluegeneratedinthegainsofthesales
team,ascommissionsandbonuses.

8TERM,OWNERSHIPTRANSFER,TERMINATIONANDCANCELLATIONOF
CONTRACT
8.1LinkingthePARTNERwillbevalidforcertainperiodoftwelve(12)months,countedfrom
thedateofyouracceptanceofthisagreement.
8.1.1ThetimelimitmaybereneweduponexpressrequestfromthePARTNERinthissense,
aslongasformalized90(ninety)daysbeforetheendofthethencurrenttermanduponpayment
oftheamountstipulatedinthepricelistinforceatthetimeofrenewal,whichwillbeparceledout
in3timesofequalvalue.
8.1.2Thetransferofownershipoftheaccountpartnerwillleadtothesettlementofbalancesof
allaccountslinkedtothesameSOCIALSECURITYNUMBER,SSNorTAXIDDOCUMENT.
8.1.3ThePARTNERmaycancelthiscontractwithin07(seven)workingdayscountingfrom
theinitialdateofregistrationorthepaymentoftheMEMBERSHIPFEEdefinedinthetableof
PricesfromONETHORSYSTEMSCOMPANYLIMITED.IfthecancellationisreceivedbyONE
THORSYSTEMSCOMPANYLIMITEDwithinthisperiod,anypaymentmadetoONETHOR
SYSTEMSCOMPANYLIMITEDthetitleofMEMBERSHIPFEE,willberefundeduponreceiptofa
signedrequest,datedandnotarizedinnotoriouspublicornotarypublic,sentviamailorfax.
8.1.4CancellationoutsidetheabovehypothesisbemereliberalityofONETHORSYSTEMS
COMPANYLIMITEDandwilldependontheexpresswrittenrequestofthePARTNERand
eventualreimbursementofvalueswillbe25%discountinrespectofadministrativecosts,5%on
thecontractvalue,thevaluesofthediscountservices,productsandotherbenefitsreceivedby
thePARTNERinanycapacity.

8.1.5Cancellationrequestswillnotbeacceptedbyphoneoremail.
8.2inadditiontotheothereventscontemplatedhereinandinlegislation,eitherpartymay
terminatethisagreementimmediatelyandsojustifiedincaseof:
a.Insolvencyorbankruptcyoftheotherparty
b.Inactionoftheotherpartyincomplyingwithitsobligationsoranyviolationofthetermsor
conditionsofthisagreement,theCompensationPlanorothernormsofONETHORSYSTEMS
COMPANYLIMITEDoritspartners
c.Defaultorbreachofobligationsbythepartner
d.Occurrenceofforcemajeureorunforeseeablecircumstancesthatwouldprohibitcompliance
withtheobjectofthiscontract
e.Endoftheterm,forwhateverreason,ofthecontract.
f.Theinvoluntarynoncompliancebythepartiesobligationsdoesnotgeneratedutytoreturnor
compensationofanykind,unlessarrearsvaluesatthedateofimpossibility
g.IntheeventthePARTNERdevelopanothermultilevelmarketingactivitytoONEcompetitor
THORSYSTEMSCOMPANYLIMITED,practicingtheActofunfaircompetition,suchinformation
maybeprovenbymeansofcomplaintstotheofficialchannelsofthecompany,orthroughthe
ownstaffspecializedinsearchofthisinformation.
g.1willbeconsideredbyONETHORSYSTEMSCOMPANYLIMITED,thedevelopmentof
othermultilevelMarketingactivity,bythepartner,airingthroughsocialnetworkspubliclyknown
andnotoriousofotherbrands,privatemeetings,dulydocumented,useofuniformsaswellas
anymeansofbrandpromotioncompetitor
g.2Establishinganadministrativeprocess,respectingtheuniversalrightsofthecontradictory
andampledefense,whichwillculminateinadecision.
g.3IncaseofadecisionthatprovesactsprohibitedbythisPARTNERagreement,thisappeal
willfitirrevocablewithinfifteen(15)days.
h.Ifapositionbecomesvacant,theexclusionofaCONTRACTORPARTNERbynothiring
secondyear(orlater)ofthis,orevenbyhiringsecondyearorlaterwithoutpaymentofthevalue
ofnewpurchase,thiswillbelongtheONETHOR,includingtheirremuneration,andmayalienate
therightsofthepositiontoanotherpartnerortoperformthedeletionpositioninthesales
network.
8.3AnyattemptedtransferorassignmentofthisAgreementbyPartnerwithouttheexpress
writtenconsentoftheONETHOR,atthediscretionofONETHOR,motivatedresultin
terminationofthiscontractandentailthepenaltiesprovidedforinthiscontract,regulationand
CHARTETHICALPRINCIPLES.
8.4Intheeventofbreachofanyconditionorcontractualobligationortheotherstandardsofthe
ONETHORSYSTEMSCOMPANYLIMITEDorservicesandsecondaryoradditionalactivities
thatmaybedevelopedbyONETHORSYSTEMSCOMPANYLIMITED,willbeappliedtothe
PARTNER,cumulativelywitheventualplannedpenalty,fineisn'tthecompensatory10(ten
percent)oftheamountequivalenttoallamountsreceivedbythepartnerduringthetermofthe
contract,inadditiontoanyindemnificationfordamagescausedtoONETHORSYSTEMS
COMPANYLIMITED,andeventualshutdownofthePARTNERconsumernetwork.

8.5Ifthepartnercontractisterminatedsojustified,theONETHORSYSTEMSCOMPANY
LIMITEDmaydenyyouthesamereturntoaccedetotheservicesortoagroupofONETHOR
SYSTEMSCOMPANYLIMITED,foraperiodof12(twelve)monthsfromthedateoftermination.
8.6ThePARTNERagreestocomplywithalllocal,municipal,state,federalandinternational
lawsandregulations,beingsolelyresponsibleforallactsoromissionsperformedwithhis
password,evenonthecontentofyourtransmissionsthroughthesystem,stillagreeingthat
thereshouldaspecialway:
a)Slander,defame,disturbingthepeaceofothers,stalk,threatenorotherwiseviolatetherights
ofthirdparties,suchasrightsofprivacyandpublicity

9CONFIDENTIALITY
9.1Thepartiesundertaketomaintainthemostcompleteandabsolutesecrecyand
confidentialityonanyconfidentialinformationoftheotherpartytowhichyouhaveaccessinthe
courseoftherelationshipbetweenthepartiesorasaresultofit,eitherthroughverbal
communications,documentsorforvisitingand/orfacilitycontactswithcustomers,suppliersor
partnersoftheparties,andmaynot,underanypretext,directlyorindirectly,byhimselforbya
thirdparty,divulge,reveal,takeadvantage,reproduce,useorknowledgeofsuchinformationto
thirdparties,exceptforthecasesdefinedbylaworbyexpressjudicialdetermination.
9.2Theobligationofconfidentialityprovidedforhereinshallsubsistevenafteritsterm,foran
indeterminateperiod.
9.3ThePARTNERexpresslyauthorizesONETHORSYSTEMSCOMPANYLIMITEDto
disclosetothirdparties,inwholeorinpart,theinformationarisingfromtheexerciseofthe
activitiesdescribedhere,includinginformationfromthePARTNER.
9.4ThePARTNERexpresslyauthorizesONETHORSYSTEMSCOMPANYLIMITEDtouse,
reproduce,modify,publishand/orlicensephotographicmaterialsthatrepresentyourimage
audiovisualand/orand/orregisteryourvoice,aswellasquoteopinionsexpressedbythe
partner,personalhistory,infullorinparts,tobeusedinpromotionsorothermeansof
advertising,withouttherighttoremunerationforsuchuse.
9.5ThePARTNERdeclares,underpenaltyoflaw,thattheinformationheprovidedtothe
websiteofTHORONEaretrue,accurateandcomplete,pledgingtokeepthemupdated,
especiallythephysicalmailingaddresswhosewrong,incompleteinformation,inconsistent,
impossibletosendproducts.

10INTELLECTUALPROPERTY
10.1DeclarethepartiesthatONETHORSYSTEMSCOMPANYLIMITEDisthesoleownerand
holderofallandanygoodsorresultsoftheuselicensefromONETHORSYSTEMSCOMPANY
LIMITEDandtheservicesobjectofthiscontract,includingdrawings,processes,formulas,
experimentalworkordevelopment,strategies,methods,computerprograms,databases,

systems,equipment,studies,reports,analyses,plans,assets,mediaplanning,advertising
campaignsandadvertisingmaterials,marketingactivitiesandofanyandallintellectualproperty
rightsrelatingtofruits,goodsandservicesresults,patents,copyrightsandtrademarks.Thetitle
referredtointhisclauseisintegral,perpetual,irrevocableandvalidthroughouttheworld,foran
unlimitednumberofcopies,inanylanguage,forallformsofuseandinanyandallmedia,
including,butnotlimitedto,newspapers,magazines,leaflets,television,radio,theinternetand
anyotherexistingorthatmaybecreatedinthefuture.

11THEABSENCEOFLINKS
11.1Adherencetothisagreementdoesnotcreateanylink,laborobligationorsolidary
obligationbetweentheparties,oranyoftheiragentsoremployees,astheyarenotpresentthe
requirementsoftheemploymentrelationship,especiallythelegalsubordinationandpersonhood,
declaringexpresslythepartnerwhocelebratesthisinstrumentasaPARTNERandreselleras
anindependent.
11.2Similarly,thisinstrumentdoesnotcreatebetweenthepartiesanycompany,agency,
Association,jointandseveralliability,Consortium,oreconomicconglomerategroup.
11.3Incaseofgrievanceoranyotherjudicialorextrajudicialmeasurefiledagainstapartyfor
peoplewhomaintainedrelationshipwiththeother,thepartthatmaintainedtherelationshipwill
requiretheexclusionoftheinnocentpartyincourt,affirmingthattheyundertaketoreimburseall
theamountsthattheinnocentpartymayeventuallybeforcedtopayinconvictionsandcourt
costs,andAttorney'sfeesexpended.Orewillbepaybackwithin48(fortyeight)hourscounted
fromthereceiptoftherespectiverequest,inwriting,sentbytheinnocentpartytoanother.
Regardlessoftheinnocentpartymoodheremay,atitsdiscretion,notifytheotherthatthis
presentwarrantyincaseoflaborcomplaintsorotherprocessofitsresponsibility,guaranteethis
basedonthevaluecomputedbytheadvocatesoftheinnocentparty.Theguaranteemaybea
guarantor,bankguaranteeoranyotherwhich,byitsnature,ensurethesatisfactionofthedebtin
question.
11.4IncaseofanyjudicialorextrajudicialmeasuremovedagainstONETHORSYSTEMS
COMPANYLIMITEDasaresultofanycontractualorlegalinfractions,partner,evenifcarriedout
byONETHORSYSTEMSCOMPANYLIMITED,thepartiesagreethattheONETHOR
SYSTEMSCOMPANYLIMITED'sdisclaimsanyresponsibility,andshallrequesttheexclusionof
thepartnerONETHORSYSTEMSCOMPANYLIMITEDinmind,affirmingthattheyundertaketo
reimbursealltheamountsthattheONETHORSYSTEMSCOMPANYLIMITEDwilleventuallybe
obligedtopayinconvictionsandcourtcosts,andAttorney'sfeesexpended.Thereimbursement
shallbewithin48(fortyeight)hourscountedfromthereceiptoftherespectiverequest,in
writing,sentbyONETHORSYSTEMSCOMPANYLIMITEDtothepartner.Theindependent
herewilling,ONETHORSYSTEMSCOMPANYLIMITEDmay,atitsdiscretion,notifythe
PARTNERsothatthispresentwarrantyincaseofjudicialmeasureofitsliability,warrantythis
basedonthevaluecomputedbytheadvocatesofONETHORSYSTEMSCOMPANYLIMITED.
Theguaranteemaybeguarantor,bankguaranteeoranyotherwhich,byitsnature,ensurethe
satisfactionofthedebtinquestion.YoucanalsoONETHORSYSTEMSCOMPANYLIMITED,if
notofferedwithinthewarrantyprintedonnotification,retainanyinvoicesthevaluesintendedto
compensateherfortheamountsinvolved.

12GENERALPROVISIONS

12.1Anyandalltaxesdueonaccountoftheprovisionofservices,marketingorbrokering
servicesorproductsorthedevelopmentofanyoftheactivitiessetforthhereinaresolelythe
responsibilityofthepartytowhomthetaxableyearofthetributeisboundunderthetax
legislationofthecountryofresidence.
12.2ThetoleranceforaPARToveranother,aboutanyrightorobligationhereundershallnotbe
deemedmoratorium,novationorwaiverofanyright,beingmereliberality,itwillnotprevent
PARTtolerantofdemandfromtheotherfaithfulfulfillmentofthiscontractatanytime.
12.3ThisinstrumentbindinguponthePARTIESandtheireventualheirsorsuccessors,shall
notbesubjecttoassignment,whethertotalorpartial,inanyway,exceptwiththemutualwritten
consent.
12.4ThePARTIESundertaketoupdateyourregistrationdatatoinformtheotherofany
change.
12.5IfanyprovisionorconditionofthisAgreementoranyotherrulethatiseditedbyONE
THORwillbeconsideredvoidandunenforceablethisshallnotaffecttheother,whichsubsist
independently.Inthiscase,thepartiesundertaketoreplaceitwithanother,similaraspossibleto
theinvalid,seekingtherestorationoftheoriginalconditionsandbalanceofthisinstrument.
12.6Theterms,conditions,values,tablesandpercentageshereofandthecompensationplan
maybeamendedatanytimebyONETHOR,initssolediscretion,withoutnotice.
12.7ThePARTNERstateshavefulllegalcapacitytoenterintothiscontractandbefully
responsiblefortheinformationprovided.
12.8ThelistofPARTNERSONETHORmaybedisclosedintheTHORONEsite,andthis,in
itssolediscretionandatanytime,withoutnotice,mayaccreditneworoffexistingPARTNERS
PARTNERS.
12.9TheONETHORnotbeliableforanydamagesresultingfrompoorserviceprovisionor
defectsinproductssuppliedbytheirSUPPLIERSansweringeachoneindividuallyfortheir
responsibilities.
12:10Adherencetothiscontractispersonalandnottransferable.
12:11Underthelaw,theONETHORisobligedtoinformtheauthoritiesofanyexistingfinancial
activityaswellasretainthetaxdirectlyatsource,whichiswhywearePARTNERSwithhis
documentinvalidorinactiverecordsofindividualwillhavetheirprizes,commissionsor
paymentssuspendeduntiltheregularizationofthesamebytheappropriatebodies.
12:12ThisAgreement,initscurrentandasamendedbyONETHOR,andtherulestoedit
subsidiaries,constitutetheentireagreementwiththePARTNERformat.Anypromises,
representations,offers,orothercommunicationsnotexpresslyprovidedforintheContractshall
notbeacceptedasvalid,notforcingparties.
12:13Ifvariationsorchangesintheeconomytothepointofcompromisingthecontractual
equilibriumvalues
expressedhereat$(U.S.dollars)canbechangedtorestorethenecessary

balancebetweentheparties.
12:14TheONETHORmaycancelbyperformanceunderthiscontract,registrationof
PARTNERwhoviolatestheprovisionsofLETTEROFETHICALPRINCIPLESoranyofthe
dutiesallocatedtothem,aswellasduetomaterialharmfultootherpromotersandtheir
activities,orothersuppliers.

12:15NomatterwhatthetypeofpurchasebythePartner,theshippingchargedfordeliveryof
theproductsshallnotbeusedtocalculateappropriateawards.

13ACCEPTANCE,LAWSANDJURISDICTION
13.1Bybeingfairandcontracted,thepartiesexpresslyagreewithallthetermsofthe
agreementandtheseTermsandConditionsbysigningbelowforanylegalvalidity.
13.2ThisinstrumentshallbegovernedbythelawsofHongKong.
13.3ThepartieselecttheHighCourtofHongKong(ERA,PRC)astheonlyjurisdictionto
resolveanyissuesarisingfromthisinstrument,expresslywaivinganyother,moreprivileged.To
thisend,theONETHORkeepdepositedinhisoffice,acopyofthiscontractinEnglish,
accordingtotheapplicablelawsofHongKong(SAR,PRC),withappropriaterecordsandnotary
timbres.
Forbeingthatway,fairandcontractedthroughspecificmediuminavirtualenvironment,by
expressingtheirfreewillsdeterminationacceptthiscontract,assumingforitselftherightsand
obligationsarisingfromthesame.
